4. DURACIÓN Y RENOVACIÓN / DURATION AND RENEWAL

5. CONDICIONES ECONÓMICAS / FINANCIAL TERMS

6. OBLIGACIONES DEL FRANQUICIADOR / FRANCHISOR'S OBLIGATIONS

El Franquiciador se compromete a: (a) impartir formación inicial al Franquiciado y a su personal clave antes de la apertura de la unidad franquiciada / provide initial training before the franchised unit opens; (b) proporcionar el manual de operaciones con los estándares de marca y los procedimientos operativos / provide the operations manual with brand standards and operating procedures; (c) prestar asistencia técnica y comercial continuada durante la vigencia del Contrato / provide ongoing operational and commercial support; (d) gestionar el fondo de publicidad cooperativa para las acciones de marketing de la red / manage the cooperative advertising fund for network-wide marketing; y (e) mantener los registros de marca en la OEPM conforme a la Ley 17/2001 de Marcas durante toda la vigencia del Contrato / maintain the registered trademarks with the OEPM under Ley 17/2001 de Marcas throughout the term.

7. OBLIGACIONES DEL FRANQUICIADO / FRANCHISEE'S OBLIGATIONS

El Franquiciado se compromete a: (a) operar la unidad franquiciada estrictamente conforme al manual de operaciones y los estándares de marca / operate the franchised unit in accordance with the operations manual and brand standards; (b) pagar todos los cánones y royalties en las fechas establecidas / pay all fees and royalties on the due dates; (c) operar exclusivamente desde el local franquiciado en [Franchised Premises] dentro del territorio acordado / operate only from the franchised premises within the agreed territory; (d) mantener la estricta confidencialidad del saber hacer del Franquiciador, del manual de operaciones y de la información propietaria durante y después de la vigencia del Contrato / maintain strict confidentiality of the Franchisor's know-how, operations manual, and proprietary information; (e) cumplir toda la legislación española aplicable — incluyendo la normativa de salud y seguridad, la normativa de seguridad alimentaria (Reglamento CE 852/2004 si procede) y las obligaciones fiscales ante la AEAT / comply with all applicable Spanish laws; y (f) no operar ni participar en ningún negocio competidor dentro del territorio franquiciado durante la vigencia del Contrato / not operate or hold interests in any competing business within the franchised territory during the term.

8. LICENCIA DE PROPIEDAD INTELECTUAL / INTELLECTUAL PROPERTY LICENCE

El Franquiciador concede al Franquiciado una licencia no exclusiva e intransferible para usar las marcas y los materiales de marca [Franchise Name] ([Trademark Registration]) únicamente para la explotación del negocio franquiciado en el local y dentro del territorio acordados, durante la vigencia de este Contrato / The Franchisor grants the Franchisee a non-exclusive, non-transferable licence to use the [Franchise Name] trademarks and brand materials ([Trademark Registration]) solely for the operation of the franchised business at the franchised premises and within the agreed territory, for the duration of this Agreement. El Franquiciado no podrá registrar, impugnar ni utilizar las marcas licenciadas fuera de este ámbito / The Franchisee may not register, challenge, or use the licensed marks outside this scope. A la extinción o vencimiento del Contrato, el Franquiciado deberá cesar de inmediato todo uso de la propiedad intelectual del Franquiciador / Upon termination or expiry, the Franchisee must immediately cease all use of the Franchisor's intellectual property.

9. OBLIGACIONES DE NO COMPETENCIA / NON-COMPETE OBLIGATIONS

No competencia postcontractual / Post-contractual non-compete: Durante el período de 1 (un) año siguiente a la extinción o vencimiento de este Contrato, el Franquiciado no podrá, directa ni indirectamente, explotar ni participar en ningún negocio que compita con el sistema de franquicia [Franchise Name] dentro del territorio franquiciado / For a period of 1 year following the termination or expiry of this Agreement, the Franchisee shall not operate or participate in any business competing with the [Franchise Name] franchise system within the franchised territory. Esta restricción postcontractual se limita al territorio y al sector franquiciados, de conformidad con el Reglamento UE 330/2010 de exención por categorías para restricciones verticales y la Ley 15/2007 de Defensa de la Competencia / This post-contractual restriction is limited to the franchised territory and sector, consistent with EU Regulation 330/2010 and Ley 15/2007 de Defensa de la Competencia.

10. RESOLUCIÓN / TERMINATION

Cualquiera de las Partes podrá resolver este Contrato mediante notificación escrita a la otra Parte en caso de: (a) incumplimiento material de cualquier obligación que no sea subsanado en 30 días tras notificación escrita especificando el incumplimiento / material breach not remedied within 30 days of written notice; (b) insolvencia, quiebra o apertura de concurso de acreedores de la otra Parte conforme a la Ley 22/2003 Concursal / insolvency or commencement of concurso de acreedores under Ley 22/2003; (c) abandono o cierre prolongado del local franquiciado / abandonment or prolonged closure of the franchised premises; o (d) condena del Franquiciado por delito que cause perjuicio reputacional a la marca [Franchise Name] / conviction of the Franchisee of a criminal offence causing reputational harm to the [Franchise Name] brand.

A la extinción del Contrato, el Franquiciado deberá de inmediato: devolver el manual de operaciones y todos los materiales propietarios; cesar el uso de toda la propiedad intelectual; retirar toda la señalética y elementos de marca del local; y devolver o suprimir todos los datos de clientes y de la franquicia en cumplimiento del RGPD (Reglamento UE 2016/679) y de la Ley Orgánica 3/2018 (LOPDGDD) / Upon termination, the Franchisee must immediately return the operations manual and all proprietary materials; cease use of all intellectual property; remove all brand signage from the franchised premises; and return or delete all customer data and franchise-related data in compliance with the RGPD and Ley Orgánica 3/2018 (LOPDGDD).

11. LEY APLICABLE Y RESOLUCIÓN DE DISPUTAS / GOVERNING LAW AND DISPUTE RESOLUTION

Este Contrato se rige por la legislación española, principalmente el Real Decreto 201/2010, la Ley 7/1996 de Ordenación del Comercio Minorista, la Ley 17/2001 de Marcas y el Reglamento UE 330/2010 / This Agreement is governed by Spanish law, principally Real Decreto 201/2010, Ley 7/1996 LOCM, Ley 17/2001 de Marcas, and EU Regulation 330/2010. Los litigios se someterán primero a mediación ante la Asociación Española de Franquiciadores (AEF) o el servicio de mediación de la Cámara de Comercio correspondiente. En caso de fracasar la mediación, los litigios se resolverán ante el Juzgado de lo Mercantil de la jurisdicción acordada por las Partes / Disputes shall be submitted first to mediation under the auspices of the Asociación Española de Franquiciadores (AEF) or the applicable Chamber of Commerce mediation service. If mediation fails, disputes shall be resolved before the Juzgado de lo Mercantil of the jurisdiction agreed by the Parties.

What Is a Franchise Agreement Spain (Contrato de Franquicia)?

A Franchise Agreement Spain (Contrato de Franquicia) is the formal written agreement by which a franchisor (franquiciador) grants a franchisee (franquiciado) the right to operate a commercial business under the franchisor's brand, using the franchisor's proven business system, know-how, trademarks, and commercial methods, in exchange for an initial fee (canon de entrada) and ongoing royalties (royalties o cánones periódicos), in Spain under the regulatory framework established by Real Decreto 201/2010, de 26 de febrero, por el que se regula el ejercicio de la actividad comercial en régimen de franquicia y la comunicación de datos al registro de franquiciadores, and Articles 62–66 of the Ley 7/1996, de 15 de enero, de Ordenación del Comercio Minorista (LOCM).

The Ley 7/1996 (LOCM) defines franchising in Article 62 as an activity in which the franchisor grants the franchisee the right to exploit a business system relating to goods or services that the franchisor has developed with a distinctive sign or brand, in exchange for direct or indirect financial consideration. Spain has no standalone franchise statute — franchising is regulated principally through the LOCM and the Real Decreto 201/2010 implementing regulation, which established Spain's national Registro de Franquiciadores (Franchise Registry) administered by the Ministerio de Industria, Comercio y Turismo.

Franchisors operating networks in Spain with more than one franchisee must register in the Registro de Franquiciadores before commencing franchising activity under Article 3 of Real Decreto 201/2010. Registration requires the franchisor to provide: identity information, a description of the franchise system, a list of active franchisees, and the pre-contractual disclosure document (documento de información precontractual — DIP) that must be delivered to prospective franchisees at least 20 calendar days before signing any binding agreement or receiving any payment under Article 62 LOCM and Article 7 of Real Decreto 201/2010. Foreign franchisors entering Spain must register in the Registro de Franquiciadores and deliver a Spanish-language DIP.

When Do You Need a Franchise Agreement Spain (Contrato de Franquicia)?

A Franchise Agreement Spain is required whenever a business owner with a proven commercial concept grants another person the right to operate under their brand and system in exchange for fees — the Real Decreto 201/2010 and LOCM impose mandatory disclosure and registration obligations that attach from the first franchisee relationship.

The contract is needed when a Spanish food and beverage brand — a restaurant chain, coffee shop concept, or food retail format — expands its network by granting franchise rights to independent operators who invest in fitting out and operating franchise units under the brand's standards manual (manual de operaciones).

A Contrato de Franquicia is required when an international franchise network (McDonald's, Zara, Mango, or any foreign brand) grants master franchise rights (franquicia maestra) to a Spanish company for sub-franchising within Spain — the master franchisee takes on the obligations of a franchisor toward its own sub-franchisees, and must also register in the Registro de Franquiciadores.
