What Is a Commercial Licence Application Chile (Solicitud de Patente Comercial)?

A Commercial Licence Application Chile (Solicitud de Patente Comercial) is a mandatory municipal authorization governed by Decreto Ley 3.063 of 29 December 1979 (Ley de Rentas Municipales) Article 23 and Ley 18.695 of 31 March 1988 (Ley Orgánica Constitucional de Municipalidades), required for every natural or legal person conducting commercial, industrial, professional, or any other lucrative activity within the territorial jurisdiction of a Chilean municipality (comuna). Article 23 of DL 3.063 establishes that the exercise of any profession, trade, industry, commerce, art, or any other lucrative activity — whether primary, secondary, or tertiary — is subject to a municipal contribution (contribución de patente) payable to the Municipalidad where the activity is carried out.

Chile's 346 municipalities (Municipalidades), each headed by an Alcalde (mayor) and a Concejo Municipal (municipal council), administer the patente comercial system independently within their respective comunas. The Municipalidad of each comuna sets specific procedural requirements for the application, though the substantive legal framework is national under DL 3.063 and Ley 18.695. The Contraloría General de la República exercises oversight over municipal tax administration, and the Tribunales Tributarios y Aduaneros (TTA) hear disputes regarding patente comercial assessments.

The patente comercial tax (contribución de patente municipal) is calculated under Article 24 of DL 3.063 as a percentage of the taxpayer's capital propio (own capital) as declared in the annual income tax return filed with the Servicio de Impuestos Internos (SII). The tax rate ranges from 2.5 per thousand (0.25%) to 5 per thousand (0.5%) of capital propio, with a minimum annual payment of 1 UTM (Unidad Tributaria Mensual — approximately CLP 66,000–68,000 in 2025) and a maximum of 8,000 UTM. The patente is payable semi-annually — in the first and second semesters of each calendar year — at the Municipalidad's Tesorería Municipal or through online payment platforms offered by many municipalities.

Before applying for a patente comercial, the applicant must complete the Inicio de Actividades registration with the SII under Article 68 of the Código Tributario (DL 830 of 1974), obtaining a RUT (Rol Único Tributario) if the applicant is a legal entity. Natural persons use their RUN (Rol Único Nacional) assigned by the Servicio de Registro Civil e Identificación as their RUT. The SII's Inicio de Actividades declaration classifies the business activity according to the CIIU (Clasificación Industrial Internacional Uniforme) code system, which the Municipalidad then uses to verify that the requested patente corresponds to an authorized activity within the relevant zone under the municipal plan regulador comunal governed by DFL 458 of 1976 (Ley General de Urbanismo y Construcción).

The Dirección de Obras Municipales (DOM) of each Municipalidad evaluates patente comercial applications to verify compliance with urban planning regulations, building codes, health and safety requirements, and environmental standards. The Secretaría Regional Ministerial de Salud (SEREMI de Salud) may require a resolución sanitaria (health authorization) for activities involving food preparation, healthcare services, or hazardous materials under the Código Sanitario (DFL 725 of 1967). The Superintendencia del Medio Ambiente (SMA) enforces environmental regulations for activities subject to the Sistema de Evaluación de Impacto Ambiental (SEIA) under Ley 19.300 of 1994.

When Do You Need a Commercial Licence Application Chile (Solicitud de Patente Comercial)?

A Commercial Licence Application Chile is needed whenever any person or entity begins conducting commercial, industrial, professional, or other lucrative activities within a Chilean municipality. Article 23 of DL 3.063 of 1979 establishes the universal obligation — there are no exemptions based on business size, revenue level, or entity type, making the patente comercial one of the most broadly applicable requirements in Chilean business regulation.

A Solicitud de Patente Comercial is needed when forming a new business entity — whether a Sociedad por Acciones (SpA) under Articles 424–446 of the Código de Comercio, a Sociedad de Responsabilidad Limitada (SRL) under Ley 3.918, a Sociedad Anónima (SA) under Ley 18.046, or an Empresa Individual de Responsabilidad Limitada (EIRL) under Ley 19.857 — and the entity intends to operate from a physical location within a comuna. The application must be filed with the Municipalidad of the comuna where the business premises are located.

The patente is needed when a sole proprietor (persona natural con actividad empresarial) opens a retail store, restaurant, office, workshop, or any other commercial establishment. The SII's Inicio de Actividades declaration must be completed first, and the CIIU activity code assigned by the SII must be consistent with the patente category requested from the Municipalidad.

A patente comercial is required for professionals operating from a fixed office — lawyers (abogados), accountants (contadores), architects (arquitectos), doctors (médicos), engineers (ingenieros), and other professionals who provide services from a dedicated premises. Article 23 of DL 3.063 covers professional activities alongside commercial and industrial ones. The Municipalidad may issue a patente profesional with a reduced rate for qualifying professionals.

The application is needed when an existing business relocates to a different comuna — patentes comerciales are municipality-specific, and a new application must be filed with the receiving Municipalidad while cancelling (dar de baja) the patente in the originating municipality. Businesses operating in multiple comunas must obtain separate patentes for each location under DL 3.063.

A patente comercial is required for home-based businesses (microempresas en el hogar) under Ley 20.898 of 2016 (Ley de Microempresas Familiares), which created a simplified process for businesses operated from the owner's residence with limited employees and revenues. The Municipalidad issues a patente de microempresa familiar with reduced requirements.

Temporary commercial activities — trade fairs (ferias), seasonal markets, and pop-up events — also require a patente temporal from the Municipalidad, issued for a limited period under the municipal ordenanzas (local regulations) authorized by Ley 18.695.

What to Include in Your Commercial Licence Application Chile (Solicitud de Patente Comercial)

A Commercial Licence Application Chile under DL 3.063 Article 23 must contain specific information required by the Municipalidad to process the authorization and calculate the applicable patente tax.

Applicant Identification: Full legal name, RUT (Rol Único Tributario assigned by the SII), cédula de identidad number (for natural persons, from the Servicio de Registro Civil e Identificación), and registered domicile of the applicant. For legal entities — SpA, SRL, SA, or EIRL — the company's RUT, the Registro de Comercio inscription details (or Registro de Empresas y Sociedades — RES — inscription number for entities formed online), and the identification of the legal representative authorized to sign the application must be provided.

Business Activity Description: A precise description of the commercial, industrial, professional, or service activity to be conducted, referenced by the CIIU (Clasificación Industrial Internacional Uniforme) code assigned during the SII Inicio de Actividades process. The Municipalidad verifies that the declared activity is permitted within the relevant zone under the plan regulador comunal — the municipal zoning instrument approved under DFL 458 of 1976 (Ley General de Urbanismo y Construcción). Certain activities — nightlife establishments, industrial operations, fuel stations — require additional approvals from the SEREMI de Salud, Carabineros de Chile, or the Superintendencia del Medio Ambiente.

Business Premises: Complete address of the premises where the activity will be conducted, including the property's municipal rol number. The Dirección de Obras Municipales (DOM) verifies that the premises comply with building regulations, fire safety standards under the Ordenanza General de Urbanismo y Construcciones (OGUC), and accessibility requirements. The applicant must present the building's recepción final de obra (building completion certificate) or the certificado de informaciones previas (prior information certificate) from the DOM.

Capital Declaration: Declaration of capital propio (own capital) for patente tax calculation purposes under Article 24 of DL 3.063. For new businesses in their first year, the Municipalidad typically applies the minimum patente (1 UTM) or estimates capital based on the declared investment. For established businesses, capital propio is derived from the balance sheet filed with the SII in the annual income tax return (Formulario 22). The semi-annual patente payment ranges from 2.5 per thousand to 5 per thousand of declared capital propio.

SII Documentation: Certified copy of the Inicio de Actividades declaration filed with the SII (Form 4415 or online registration confirmation), showing the assigned CIIU codes and the registered address. The SII also provides the Certificado de Situación Tributaria confirming that the applicant has no outstanding tax obligations — many municipalities require this certificate as a prerequisite.

Health and Safety Authorizations: Where the activity involves food preparation, healthcare, education, or hazardous materials, the applicant must present the corresponding resolución sanitaria from the SEREMI de Salud under the Código Sanitario (DFL 725/1967), fire department (Bomberos de Chile) clearance, and any environmental approvals required by the SEIA under Ley 19.300.

Lease or Ownership Documentation: Evidence of the applicant's right to use the premises — either a property deed registered at the Conservador de Bienes Raíces (for owners) or a valid lease contract under the Código Civil Articles 1915–1977 (for tenants). Some municipalities require written landlord authorization for the tenant to conduct the specified commercial activity from the leased premises.
