What Is a Property Handover Record Spain (Acta de Entrega de Vivienda)?

A Property Handover Record Spain (Acta de Entrega de Vivienda) is a formal written document prepared at the moment of physical delivery of a property (vivienda, local de negocio, or other inmueble) from the seller (vendedor) to the buyer (comprador) following execution of a contract of sale (contrato de compraventa) governed by Articles 1445–1537 of the Código Civil (Real Decreto de 24 de julio de 1889). The Acta de Entrega de Vivienda records the date and time of possession transfer, the physical condition of the property, meter readings, keys delivered, and any defects observed at handover, providing an authoritative factual record that protects both parties against future disputes on these matters.

Under Article 1462 of the Código Civil — which embodies the Roman law traditio principle — the delivery of the property to the buyer is the act that transfers possession and completes the sale from an ownership perspective. Article 1462.1 CC establishes that delivery (entrega) occurs when the vendedor places the comprador in possession of the thing sold — either by physical delivery (traditio real) or by the delivery of keys (traditio ficta simbólica) where the property is a building or dwelling. The Tribunal Supremo (Sala de lo Civil) has consistently held that the date of key delivery, as documented in the Acta de Entrega de Vivienda, is the decisive moment for determining when the buyer bears the risk of loss or deterioration of the property under Article 1452 CC.

For new housing developments (viviendas de obra nueva), the Acta de Entrega de Vivienda has additional legal significance under Ley 38/1999, de 5 de noviembre, de Ordenación de la Edificación (LOE). The LOE establishes a graduated system of liability periods for construction defects: the promotor (developer), constructor (builder), and arquitecto (architect) are each liable for defects discovered within 10 years (structural defects — Article 17.1.a LOE), 3 years (habitability defects — Article 17.1.b LOE), or 1 year (finishing defects — Article 17.1.c LOE) from the date of material completion (recepción de la obra). The Acta de Entrega de Vivienda to the buyer or tenant is the document that formally establishes the start of these liability periods for the individual purchaser, as confirmed by the Dirección General de Seguridad Jurídica y Fe Pública (DGSJFP).

The Ley 57/1968 (now largely superseded by Ley 20/2015 and the Código Civil protections) and consumer protection regulations under Real Decreto Legislativo 1/2007 (Texto Refundido de la Ley General para la Defensa de los Consumidores y Usuarios — LGDCU) impose specific obligations on professional sellers and developers in residential property sales — including the duty to deliver the property in the condition described in the sales contract, to provide the libro del edificio (building documentation file), and to obtain the cédula de habitabilidad (habitability certificate) or licencia de primera ocupación (first occupation licence) from the relevant Ayuntamiento before handover in most autonomous communities.

Property transactions in Spain must be registered in the Registro de la Propiedad under the Ley Hipotecaria (Decreto de 8 de febrero de 1946) to be effective against third parties. The escritura pública de compraventa executed before a notario under Article 1280 CC — which typically references or incorporates the physical handover — is the document presented to the Registro de la Propiedad for inscription. The Acta de Entrega de Vivienda serves as supplementary evidence of the factual aspects of the handover not always captured in the formal escritura.

When Do You Need a Property Handover Record Spain (Acta de Entrega de Vivienda)?

A Property Handover Record Spain is required in any residential or commercial property transaction in Spain where physical possession of the property transfers from the seller or developer to the buyer or tenant and a formal record of that transfer is needed.

The Acta de Entrega de Vivienda is needed at the completion of a second-hand (segunda mano) property sale — when the escritura pública de compraventa is executed before a notario and the seller simultaneously hands over the keys and possession to the buyer. The Acta captures the property's condition, meter readings, and keys at that precise moment, which the escritura does not always document in detail.

The document is required at completion of a new development sale (obra nueva) — when the promotor delivers the finished dwelling to the buyer for the first time. For new developments, the Acta triggers the LOE defect liability periods under Ley 38/1999 and is the moment when the buyer must examine the property and formally notify any visible defects (vicios aparentes) in writing to the developer. Silent acceptance of apparent defects at handover may prejudice the buyer's subsequent claims under the LOE.

An Acta de Entrega de Vivienda is needed when a property under a long-term rental agreement (arrendamiento) is sold to the tenant (derecho de adquisición preferente — right of first refusal under Article 25 LAU) and the occupying tenant simultaneously becomes the new owner, requiring formal documentation of the change in legal title while remaining in physical possession.

The record is required when a property is transferred as part of an inheritance (herencia) after the heirs have accepted the estate and the Acta de Declaración de Herederos and escritura de partición de herencia have been executed — the physical handover of the property from the estate administrator or co-heirs to the specific heir who has been allocated the property must be documented.

An Acta is needed for social housing (vivienda de protección oficial — VPO) transactions supervised by the autonomous community housing authority — these transactions require detailed handover documentation for administrative compliance with the VPO regime under the applicable autonomous community housing law.

What to Include in Your Property Handover Record Spain (Acta de Entrega de Vivienda)

A valid Property Handover Record Spain under Código Civil Article 1462 and, for new developments, Ley 38/1999 de Ordenación de la Edificación, must contain the following essential elements.

Party Identification: Full legal names and DNI/NIF/NIE (for individuals) or NIF/CIF and Registro Mercantil registration details (for legal entities) of the seller/developer (vendedor/promotor) and buyer (comprador). Where either party is represented by an agent, the representative's power of attorney (poder notarial) details must be stated.

Property Description: Full postal address, cadastral reference (referencia catastral) from the Sede Electrónica del Catastro, and Registro de la Propiedad registration details (finca registral, tomo, libro, folio) where the property is already registered. The surface area (metros cuadrados útiles and construidos), number of bedrooms, floor level, and any included ancillary spaces (parking, storage room, garden) must be described.

Sale Agreement Reference: The date and details of the compraventa agreement — whether preliminary private agreement (contrato privado de compraventa or arras contract under Article 1454 CC), the final escritura pública executed before a notario under Article 1280 CC, or a developer's pre-sale reservation contract (contrato de reserva o compraventa sobre plano).

Date, Time and Place of Handover: The precise date, time, and location of physical possession transfer. For new developments, this date starts the LOE liability clocks under Ley 38/1999. For second-hand sales, this is the date from which the buyer bears risk of loss under Article 1452 CC.

Keys and Access Devices: Itemised list of all keys, remote controls, access cards, alarm codes, and other access devices delivered to the buyer — same detail as for the Acta de Entrega de Llaves, identifying each by type and quantity.

Property Condition and Defects: Detailed description of the property's physical condition at handover — walls, floors, ceilings, windows, doors, kitchen, bathrooms, installations (electrical, plumbing, heating/air conditioning). For new developments, any visible defects (vicios aparentes) observed by the buyer at handover must be recorded — failure to record them may constitute acceptance under the doctrine of conformidad tácita. Forms-legal.com provides this Property Handover Record Spain template as a practical tool for documenting this critical moment.

Utility Meter Readings and Contracts: Readings from all utility meters — electricity (CUPS code from the factura eléctrica), water, and gas — at the precise handover date, to support the change of account holder (cambio de titularidad) with the respective utility suppliers. The buyer must notify the Distribuidora (electricity distribution company) and other suppliers of the change within 20 days under the applicable utility regulations.

Book of the Building (Libro del Edificio): For new developments, confirmation that the developer has provided the libro del edificio under Article 7 of Ley 38/1999 LOE — containing the project documentation, warranties, maintenance instructions, and quality control certificates. The buyer's receipt of the libro del edificio must be recorded in the Acta.

Signatures: Signatures of the seller/developer (or authorised representative), the buyer, and ideally a witness such as the real estate agent (agente inmobiliario or API — Agente de la Propiedad Inmobiliaria) or property manager (administrador de fincas) present at handover.

Additional compliance elements for a Property Handover Record Spain (Acta de Entrega de Vivienda) used in Spain include: Under the Ley de Arrendamientos Urbanos (LAU) 29/1994, Spanish tenancy law sets minimum duration (5 years individuals, 7 years entities) and deposit requirements. The Código Civil Articles 1445–1541 govern sale of property. The Ley Hipotecaria governs the Registro de la Propiedad. The Ley 5/2019 (LCCI) regulates mortgage lending with mandatory FEIN/FiAE disclosure. The Impuesto sobre Transmisiones Patrimoniales (ITP) applies to property transfers.
