What Is a Chattel Mortgage Agreement Spain (Acuerdo de Hipoteca Mobiliaria)?

A Chattel Mortgage Agreement Spain (Acuerdo de Hipoteca Mobiliaria) is a formal security agreement creating a mortgage charge (hipoteca) over specified movable property (bienes muebles) in favour of a creditor (acreedor hipotecario) as security for the repayment of a debt or the performance of an obligation, without requiring the debtor (deudor) to surrender possession of the mortgaged assets. The instrument is governed by the Ley de Hipoteca Mobiliaria y Prenda sin Desplazamiento de la Posesión, de 16 de diciembre de 1954 (LHMPSD), as complemented by the Reglamento del Registro de Bienes Muebles approved by Real Decreto 1828/1999, de 3 de diciembre.

Article 1 of the LHMPSD establishes the legal framework for two distinct security interests in movable property: the hipoteca mobiliaria (chattel mortgage) and the prenda sin desplazamiento de la posesión (non-possessory pledge). Both allow a debtor to grant a security interest in movable assets to secure a credit obligation while retaining physical custody and use of the collateral — a fundamental commercial advantage distinguishing these instruments from the traditional prenda with possession (prenda con desplazamiento) under Articles 1857 to 1886 of the Código Civil, which requires the debtor to transfer the pledged asset to the creditor or a third party during the security period.

The LHMPSD defines six categories of movable property eligible for chattel mortgage under Articles 12 to 54: (1) establecimientos mercantiles (business establishments — including commercial licences, trade name, clientele, and commercial furniture); (2) automóviles y otros vehículos de motor (motor vehicles, vessels, and aircraft registered in official registers); (3) aeronaves (aircraft registered in the Registro de Aeronaves); (4) maquinaria industrial (industrial machinery and manufacturing equipment); (5) propiedad intelectual e industrial (intellectual property — patents, trademarks, and utility models); and (6) mercancías y materias primas en almacén (warehoused goods and raw materials). The mortgageable property must be identifiable and registrable — generic descriptions of unidentified goods are insufficient.

The hipoteca mobiliaria must be constituted by notarial deed (escritura pública ante notario) under Article 3 of the LHMPSD and registered in the Registro de Bienes Muebles (RBM) established by Real Decreto 1828/1999, which replaced the prior Registro de Hipoteca Mobiliaria y Prenda sin Desplazamiento. Registration in the RBM is constitutive (constitutiva) — the security interest does not exist and is not enforceable against third parties until registration is completed. The RBM is a national online register accessible through the Colegio de Registradores de España, with territorial sections for each province.

The Ley Concursal (Real Decreto Legislativo 1/2020) classifies a validly constituted and registered hipoteca mobiliaria as a privilegio especial (special privilege) in the debtor's insolvency — the mortgagee creditor (acreedor hipotecario mobiliario) ranks ahead of ordinary creditors (acreedores ordinarios) and subordinated creditors (acreedores subordinados) with respect to the specific collateral in the insolvency proceedings (concurso de acreedores), under Article 270 of the Ley Concursal, subject to the administración concursal's powers to challenge transactions under Articles 226 to 233 (acciones rescisorias concursales) if the mortgage was created within the suspect period (período sospechoso) preceding insolvency.

The Chattel Mortgage Agreement Spain interacts with the IVA and ITPAJD tax framework — the constitution of the hipoteca mobiliaria is subject to the Impuesto sobre Actos Jurídicos Documentados (AJD) under Real Decreto Legislativo 1/1993 (Texto Refundido de la Ley del Impuesto sobre Transmisiones Patrimoniales y Actos Jurídicos Documentados — TRLITPAJD), at the AJD rate applicable in the relevant Comunidad Autónoma (typically 0.5%–1.5% of the maximum secured amount). The notarial escritura publi constitutiva of the hipoteca mobiliaria must be presented for AJD liquidation before the relevant Agencia Tributaria Autonómica within 30 days of execution, before the RBM will accept the registration. The Banco de España supervises credit institutions that commonly serve as mortgagee (acreedor hipotecario mobiliario) in these arrangements under Ley 10/2014.

When Do You Need a Chattel Mortgage Agreement Spain (Acuerdo de Hipoteca Mobiliaria)?

A Chattel Mortgage Agreement Spain is required whenever a lender (prestamista or entidad de crédito) requires security over a borrower's movable property to secure a loan or credit facility, and the parties wish to maintain the debtor's possession and use of the collateral throughout the loan term — particularly relevant for businesses that require their assets to remain operational while using them as loan security.

The agreement is needed when a Spanish industrial company (empresa industrial) seeks bank financing (financiación bancaria) secured by its manufacturing machinery (maquinaria industrial) — for example, CNC machines, printing presses, packaging lines, or agricultural equipment. The hipoteca mobiliaria allows the company to pledge the machinery as collateral for a term loan or credit line (línea de crédito) without surrendering the machinery to the bank, enabling continuous production operations while accessing the financing needed for growth or working capital.

A Chattel Mortgage Agreement is required when a vehicle fleet operator (operador de flota de vehículos) borrows against its registered fleet of trucks, buses, or commercial vehicles — the LHMPSD specifically identifies motor vehicles as eligible collateral under Article 19, with registration in the RBM's Sección de Bienes Muebles Registrables serving as constructive notice to subsequent purchasers and creditors. Fleet operators under the supervision of the Dirección General de Transporte Terrestre frequently use hipoteca mobiliaria arrangements with specialised transport sector lenders.

The agreement is needed when an entrepreneur or sole trader (autónomo) uses a commercial establishment (establecimiento mercantil) — including its trade name (nombre comercial), customer database (cartera de clientes), and commercial furniture — as collateral for a business loan (préstamo empresarial) under Articles 21 to 28 of the LHMPSD on hipoteca de establecimiento mercantil. The RBM registration puts third-party buyers or creditors on notice of the mortgage over the entire going concern.

A Chattel Mortgage Agreement is required when an intellectual property owner (titular de propiedad industrial) seeks to use registered patents (patentes), trademarks (marcas), or utility models (modelos de utilidad) registered in the Oficina Española de Patentes y Marcas (OEPM) as collateral for research and development (I+D) financing, under Articles 44 to 50 of the LHMPSD on hipoteca de propiedad intelectual e industrial. Technology companies and pharmaceutical laboratories in Spain regularly use IP hipoteca mobiliaria to access venture lending and growth capital.

The agreement is also needed when a wine producer, commodity trader, or food processing company wishes to use warehoused goods (mercancías en almacén) or raw materials as collateral for seasonal working capital financing (financiación circulante estacional), under Articles 51 to 54 of the LHMPSD, with the warehouse operator (almacenista) issuing a warrant (resguardo de depósito) that is endorsed as additional security to the lender.

A Chattel Mortgage Agreement is further required when a startup or innovative company wishes to grant a security interest over its entire IP portfolio — including OEPM-registered trademarks and patents, plus copyright works registered with the Registro de la Propiedad Intelectual — to secure a venture debt facility from a credit institution or specialised lender, enabling the company to access non-dilutive financing without issuing new equity to investors under the Ley 28/2022 de fomento del ecosistema de las empresas emergentes framework.

Under the Ley Cambiaria y del Cheque (Ley 19/1985), promissory notes and bills of exchange are governed in Spain. The Banco de España supervises banking under Ley 10/2014. The Comisión Nacional del Mercado de Valores (CNMV) regulates securities markets. The AEAT administers IVA (Ley 37/1992) and IRPF (Ley 35/2006). The Ley 3/2004 governs late payment in commercial transactions with statutory interest.

What to Include in Your Chattel Mortgage Agreement Spain (Acuerdo de Hipoteca Mobiliaria)

A valid Chattel Mortgage Agreement Spain under the Ley de Hipoteca Mobiliaria y Prenda sin Desplazamiento de la Posesión (1954) and Real Decreto 1828/1999 must contain the following essential elements to create an effective, enforceable security interest registrable in the Registro de Bienes Muebles.

Identification of Parties: Full legal name, NIF/CIF, registered address, and legal representative details of the mortgagor (deudor hipotecante — the debtor who grants the security) and the mortgagee (acreedor hipotecario — the lender who receives the security). Where the debtor and the mortgagor are different persons (tercero hipotecante), both must be identified and their relationship documented.

Description of Secured Obligation: The principal debt or credit obligation secured by the chattel mortgage — loan principal amount (importe del préstamo), credit facility limit (límite de la línea de crédito), applicable interest rate (tipo de interés — fixed or variable, specifying the reference rate: Euribor plus spread), default interest rate (interés de demora), repayment schedule (cuadro de amortización), and maturity date (fecha de vencimiento). The maximum secured amount (cifra máxima de responsabilidad hipotecaria) must be stated, covering principal, interest, and enforcement costs, under Article 12 of the Ley Hipotecaria (applicable by analogy).

Description of Collateral: A precise identification of the mortgaged movable assets (bienes muebles hipotecados) sufficient for registration in the Registro de Bienes Muebles — for motor vehicles: registration plate (matrícula), VIN (número de bastidor), make, model, and engine number; for machinery: manufacturer, model, serial number, and installation address; for IP rights: OEPM registration number, registration date, and territorial scope; for commercial establishments: trade name (nombre comercial), address, and main activity description. Generic or floating charge descriptions are not registrable under the LHMPSD.

Debtor's Possession and Use Rights: An express clause confirming the debtor's right to retain physical possession (posesión) of the mortgaged assets and use them in the ordinary course of their business, subject to: maintaining the assets in good condition; not disposing of, encumbering, or relocating the assets without the mortgagee's written consent; maintaining adequate insurance (seguro de daños) over the mortgaged assets naming the mortgagee as loss payee (beneficiario del seguro); and granting the mortgagee the right to inspect the assets periodically.

Mortgagee's Rights Upon Default: The procedure for enforcement (ejecución hipotecaria mobiliaria) in case of debtor default under Articles 86 to 94 of the LHMPSD — including the right to initiate the judicial enforcement procedure (procedimiento de ejecución sobre bienes hipotecados) before the Juzgado de Primera Instancia or, for credit institutions, the extrajudicial notarial enforcement procedure (venta extrajudicial ante notario) under Article 86 LHMPSD; the right to appoint a court-appointed administrator (depositario judicial) to take custody of the assets pending sale; and the priority of the mortgagee's claim over the sale proceeds against competing creditors.

Insurance: The debtor's obligation to maintain full-coverage insurance (seguro todo riesgo) over the mortgaged assets for not less than their replacement value (valor de reposición) with an insurer approved by the mortgagee; to name the mortgagee as additional insured and loss payee (cesionario del seguro) for claims exceeding a defined threshold; and to provide the mortgagee with annual insurance certificates.

Registration in the Registro de Bienes Muebles: Confirmation that the agreement will be executed as a notarial escritura pública and filed for registration in the territorial section of the Registro de Bienes Muebles (RBM) within 10 days of execution, and that the security interest is constituted upon registration. The mortgagee bears registration costs unless otherwise agreed.

AJD Tax Compliance: The party responsible for paying the Impuesto sobre Actos Jurídicos Documentados (AJD) under TRLITPAJD, calculated on the maximum secured amount at the applicable Comunidad Autónoma rate (typically 0.5%–1.5%), and the obligation to present the escritura to the Agencia Tributaria Autonómica for liquidation within 30 days of execution — a prerequisite for RBM registration acceptance.

Discharge and Release: The procedure for releasing (cancelación de la hipoteca) the chattel mortgage upon full repayment of the secured debt — the mortgagee must issue a notarial discharge deed (escritura de cancelación) and file it with the RBM within 10 days of debt settlement under Article 83 of the Ley Hipotecaria applied by analogy.
