3. ACUERDOS DE NIVEL DE SERVICIO (SLA) / SERVICE LEVEL AGREEMENTS

El operador logístico se compromete a cumplir los siguientes objetivos de rendimiento cuantificados / The logistics operator commits to meeting the following quantified performance targets:

El rendimiento del SLA se medirá mensualmente y se comunicará al cargador en los 5 días hábiles siguientes al final de cada mes. En caso de incumplimiento reiterado del SLA — dos meses consecutivos por debajo del objetivo — el cargador emitirá un requerimiento de mejora formal. El incumplimiento continuado tras un período de subsanación de 30 días constituirá causa de resolución anticipada conforme al artículo 1124 CC. Las penalizaciones por incumplimiento de SLA se aplicarán como cláusula penal conforme al artículo 1152 CC, con un límite máximo del 20 % de la cuota mensual por período. SLA performance shall be measured monthly and reported within 5 working days of month end. Service credits are applied as a cláusula penal under CC Article 1152, capped at 20% of monthly fee.

Todas las tarifas se indican sin IVA. El IVA se facturará al tipo general del 21 % conforme a la Ley 37/1992 del IVA. Para los servicios B2B intracomunitarios, se aplica la inversión del sujeto pasivo conforme al artículo 69 Ley 37/1992 cuando el cargador esté establecido en otro Estado miembro de la UE. All fees are stated exclusive of IVA at 21% under Ley 37/1992. Reverse charge applies for intra-EU B2B services under Ley 37/1992 Article 69.

Los intereses de demora devengarán al tipo de referencia del BCE más 8 puntos porcentuales conforme a la Ley 3/2004, de 29 de diciembre, de medidas de lucha contra la morosidad en las operaciones comerciales. Late payment interest accrues at ECB reference rate plus 8 percentage points per Ley 3/2004.

5. RESPONSABILIDAD SOBRE LAS MERCANCÍAS / LIABILITY FOR GOODS

La responsabilidad del operador logístico por las mercancías perdidas o dañadas en tránsito se rige por los artículos 47 a 62 de la Ley 15/2009. El artículo 57 Ley 15/2009 limita la responsabilidad del porteador a 4,50 € por kilogramo de peso bruto de las mercancías perdidas o dañadas para el transporte nacional. Para el transporte internacional por carretera, el Convenio CMR (ratificado por España mediante Instrumento de Adhesión de 12 de septiembre de 1973) limita la responsabilidad a 8,33 DEG por kilogramo. Domestic liability capped at €4.50/kg under Ley 15/2009 art. 57; international at 8.33 SDR/kg under CMR Convention.

Para los daños en el almacén, se aplican los artículos 303 a 310 del Código de Comercio. Las partes podrán acordar una cobertura de valor declarado (ad valorem) superior para mercancías de alto valor en la carta de porte conforme al artículo 58 Ley 15/2009. 6. PROTECCIÓN DE DATOS / DATA PROTECTION

Cuando el operador logístico trate datos personales de los clientes del cargador en relación con el cumplimiento de pedidos, el seguimiento de entregas o el tratamiento de devoluciones, el operador actúa como encargado del tratamiento conforme al artículo 28 del RGPD. Las partes suscribirán un acuerdo de encargo de tratamiento especificando las categorías de datos personales tratados, las finalidades del tratamiento, las medidas de seguridad técnicas y organizativas, y los procedimientos de conservación y supresión de datos. Ambas partes cumplirán el Reglamento (UE) 2016/679 (RGPD) y la Ley Orgánica 3/2018 (LOPDGDD). The parties shall enter into a data processing agreement (acuerdo de encargo de tratamiento) under RGPD Article 28 and comply with LOPDGDD.

7. DURACIÓN Y RESOLUCIÓN / DURATION AND TERMINATION

El presente contrato se inicia el [Start Date] y tiene un plazo inicial de [Contract Term], prorrogándose automáticamente por períodos sucesivos de un año salvo que cualquiera de las partes lo denuncie con un preaviso de [Notice Period] antes de la fecha de vencimiento. Cualquiera de las partes podrá resolver el contrato por incumplimiento esencial con [Notice Period] de preaviso escrito si el incumplimiento no es subsanado en los 30 días siguientes a un requerimiento formal escrito, conforme al artículo 1124 CC. Either party may terminate for material breach with [Notice Period] written notice if breach not remedied within 30 days of formal written demand per CC Article 1124.

A la resolución, el operador logístico: continuará prestando el servicio completo durante el período de preaviso; cooperará íntegramente en la transición ordenada de las mercancías, los datos de inventario y los registros del SGA al cargador o al nuevo proveedor logístico; y entregará una conciliación final de inventario en los 10 días hábiles siguientes a la fecha de extinción. Upon termination, the logistics operator shall continue services during the notice period and deliver a final inventory reconciliation within 10 working days of the end date.

8. LEY APLICABLE Y JURISDICCIÓN / GOVERNING LAW AND JURISDICTION

El presente contrato se rige por el Derecho español, principalmente la Ley 15/2009, de 11 de noviembre, del Contrato de Transporte Terrestre de Mercancías, la Ley de Ordenación del Transporte Terrestre (LOTT, Ley 16/1987), el Código de Comercio y el Código Civil. Las controversias derivadas del presente contrato se someterán a la jurisdicción exclusiva de los Juzgados Mercantiles o los Juzgados de Primera Instancia de [Contract City], con renuncia a cualquier otro fuero. A Logistics Services Agreement Spain (Contrato de Logística) is a formal written agreement between a shipper or principal (cargador or comitente) and a logistics operator (operador logístico) under which the logistics operator undertakes to provide an integrated set of supply chain services — including warehousing (almacenamiento), goods handling (manipulación de mercancías), transport coordination (coordinación de transporte), customs management (gestión aduanera), inventory management (gestión de inventario), order fulfilment (preparación de pedidos), and reverse logistics (logística inversa) — governed principally by Ley 15/2009, de 11 de noviembre, del Contrato de Transporte Terrestre de Mercancías, the Ley de Ordenación del Transporte Terrestre (LOTT, Ley 16/1987, de 30 de julio), its implementing Regulation (ROTT, RD 1211/1990), and the Código de Comercio (CCom) Articles 349 through 379 on transport and warehousing.

Ley 15/2009 del Contrato de Transporte Terrestre de Mercancías constitutes the foundational statute for all road freight transport contracts in Spain, replacing the pre-existing regulatory framework and aligning Spanish law with EU transport legislation. What to Include in Your Logistics Services Agreement Spain (Contrato de Logística)
