3. CONCESIÓN DE LA AUTORIZACIÓN DE USO

El titular autoriza al licenciatario, en su condición de socio cualificado de la entidad titular, a utilizar la marca colectiva [Mark Name] sobre los siguientes productos y servicios dentro de las clases de la Clasificación de Niza [Nice Classes]: [Permitted Uses].

4. NORMAS DE CALIDAD Y CUMPLIMIENTO

El licenciatario se compromete a cumplir en todo momento las siguientes normas de calidad conforme al reglamento de uso aprobado por la OEPM: [Quality Standards].

El titular tiene derecho a inspeccionar las instalaciones del licenciatario, solicitar documentación acreditativa del cumplimiento y realizar auditorías periódicas para verificar el respeto del reglamento de uso, de conformidad con las obligaciones de supervisión que incumben al titular conforme al artículo 63 de la Ley 17/2001 de Marcas. El incumplimiento de las normas de calidad constituye causa de suspensión o extinción de la presente autorización.

5. CONDICIONES ECONÓMICAS

6. DURACIÓN Y RENOVACIÓN

La presente autorización es válida desde el [Start Date] hasta el [End Date], salvo extinción anticipada. El registro de la marca colectiva en la OEPM debe renovarse cada 10 años conforme al artículo 31 de la Ley 17/2001 de Marcas — la caducidad del registro extingue automáticamente la presente autorización. La renovación de la autorización está condicionada al mantenimiento de la condición de socio del licenciatario y al cumplimiento continuado del reglamento de uso.

7. USOS PROHIBIDOS

El licenciatario no podrá: (a) utilizar la marca colectiva en productos o servicios fuera de las clases de la Clasificación de Niza cubiertas por el registro OEPM; (b) modificar la representación gráfica de la marca o combinarla con otras marcas sin el consentimiento escrito del titular; (c) usar la marca de un modo contrario a los valores del titular o que menoscabe el prestigio de la marca conforme al artículo 66 de la Ley 17/2001 LM; (d) sublicenciar o ceder el derecho de uso a terceros.

8. RÉGIMEN SANCIONADOR Y EXTINCIÓN

Las infracciones de las normas de calidad o de los términos de la presente autorización estarán sujetas al siguiente régimen sancionador graduado: (1) apercibimiento formal por escrito; (2) suspensión del derecho de uso hasta la subsanación en el plazo señalado; (3) extinción de la autorización por infracciones graves o reiteradas. Extinguida la autorización, el licenciatario deberá cesar de inmediato en todo uso de la marca colectiva y destruir o devolver todos los materiales en los que figure la marca. El titular notificará a la OEPM la retirada de la autorización conforme a los artículos 63–65 de la Ley 17/2001 LM.

9. LEGISLACIÓN APLICABLE Y RESOLUCIÓN DE CONFLICTOS

El presente acuerdo se rige por el derecho español — Ley 17/2001 de Marcas, Código Civil y, en su caso, el Reglamento (UE) 2017/1001. Los conflictos se resolverán ante los Juzgados de lo Mercantil conforme a la Ley Orgánica 8/2003, que ostenta competencia exclusiva en materia de propiedad industrial conforme al artículo 86.ter LOPJ.

What Is a Collective Mark Use Agreement Spain?

A Collective Mark Use Agreement Spain (Acuerdo de Uso de Marca Colectiva) is a formal contract governed by Articles 62 to 67 of Ley 17/2001, de 7 de diciembre, de Marcas (LM) and, for EU-wide marks, by Articles 74 to 82 of Reglamento (UE) 2017/1001 del Parlamento Europeo y del Consejo, de 14 de junio de 2017, sobre la marca de la Unión Europea (EUIMR), by which the owner of a collective mark (marca colectiva) — typically an association, professional body, cooperative, or public entity — authorises its qualifying members to use the registered collective mark on goods or services that meet the standards set out in the mark's regulations of use (reglamento de uso de la marca colectiva).

A collective mark under Ley 17/2001 Article 62 is a sign registered in the name of an association of manufacturers, producers, service providers, or traders, where members of the association are entitled to use the mark subject to the reglamento de uso approved by the Oficina Española de Patentes y Marcas (OEPM) as part of the registration procedure. The collective mark indicates commercial origin from members of a defined group, distinguishing their goods and services from those of non-members. Common examples of collective marks in Spain include the regional quality denomination marks (denominaciones de calidad regional) of agricultural cooperatives, professional college seals (sellos colegiales) of bar associations (Colegios de Abogados), medical associations (Colegios de Médicos), and architect bodies (Colegios de Arquitectos), and sector quality marks managed by industry federations.

The collective mark must not be confused with a certification mark (marca de garantía) under Article 68 Ley 17/2001 — which certifies quality, material, or geographic origin and may be licensed to any qualifying producer (not just association members) — or with a geographical indication (indicación geográfica protegida — IGP) or designation of origin (denominación de origen protegida — DOP) governed by Reglamento (UE) No 1151/2012 and enforced in Spain by the Ministerio de Agricultura, Pesca y Alimentación (MAPA) through the MAPA's Registro de Denominaciones de Origen e Indicaciones Geográficas Protegidas.

The OEPM registers collective marks under Ley 17/2001 following examination of the sign's distinctiveness and review of the submitted reglamento de uso — which must specify: who may use the mark; the quality and other conditions for use; the sanctions regime for unauthorised or non-compliant use; and the association's supervisory procedures. Modification of the reglamento de uso requires OEPM approval. Collective marks registered at the OEPM may also be converted to EU collective marks (marcas colectivas de la UE) registered at the European Union Intellectual Property Office (EUIPO) in Alicante under Reglamento (UE) 2017/1001, providing EU-wide protection.

For agricultural and food sectors in Spain, collective marks are often used alongside or instead of DOP/IGP designations. The Consejo Regulador for each designation (e.g., the Consejo Regulador del Vino Rioja, the Consejo Regulador del Jamón de Huelva) controls the use of both the DOP/IGP name and any associated collective marks through formal membership agreements and inspection regimes overseen by the MAPA and autonomous community agriculture departments.

When Do You Need a Collective Mark Use Agreement Spain?

A Collective Mark Use Agreement Spain is required whenever the owner of a registered collective mark (marca colectiva) grants its members the right to use the mark commercially, and wishes to formalise the conditions, quality standards, and controls applicable to that use.

The agreement is required when a professional association (colegio profesional or asociación profesional) wishes to authorise its members to display its collective mark on business cards, websites, invoices, and promotional materials — the Colegio de Abogados de Madrid, Colegio Oficial de Arquitectos de Cataluña, and similar bodies use collective mark agreements to control quality signals in the services market.

A Collective Mark Use Agreement is needed when an agricultural cooperative (cooperativa agraria) owns a collective quality mark for its produce — such as an olive oil mark (marca de calidad de aceite de oliva) from an Andalucía cooperative — and wishes to authorise individual member farmers to use the mark on their individually branded products, subject to compliance with the cooperative's production and quality standards.

The agreement is required when a business association or chamber of commerce (cámara de comercio) owns a district or sector quality mark and wishes to authorise member companies to use the mark in their marketing, subject to compliance audits and quality criteria. Regional chambers such as the Cámara de Comercio de Barcelona and the Cámara de Comercio de Madrid actively manage collective marks in sectors including tourism, handicrafts, and professional services.

A Collective Mark Use Agreement is needed when a franchise network (red de franquicias) or a buying group (central de compras) owns a collective mark that identifies the network, and wishes to formalise each member's or franchisee's right to use the mark subject to the network's standards — complementing the franchise agreement under Ley 3/1991 de Competencia Desleal and Real Decreto 201/2010 de regulación del ejercicio de la actividad comercial en régimen de franquicia.

The agreement is also required when a collective mark owner extends mark usage beyond founding members — admitting new members or authorising associated entities. Each new authorisation requires a formal use agreement aligned with the OEPM-approved reglamento de uso.

Under the Ley de Sociedades de Capital (LSC) RDL 1/2010, the Registro Mercantil maintains the register of Spanish companies. The Código de Comercio 1885 governs commercial obligations. The Agencia Estatal de Administración Tributaria (AEAT) administers Impuesto sobre Sociedades (IS) under Ley 27/2014. The Comisión Nacional de los Mercados y la Competencia (CNMC) enforces competition law. The Código Civil governs general contractual obligations under Article 1255.

What to Include in Your Collective Mark Use Agreement Spain

A valid Collective Mark Use Agreement Spain under Ley 17/2001 de Marcas Articles 62–67 must contain the following essential elements to be enforceable and consistent with the OEPM-registered reglamento de uso.

Identification of Collective Mark Owner: Full legal name, NIF/CIF, registered address, and legal representative of the association, cooperative, professional body, or other entity owning the collective mark. The OEPM registration number (número de registro de la marca colectiva), registration date, and goods/services covered under the Nice Classification (Clasificación de Niza) must be specified.

Identification of Authorised User (Licenciatario): Full name, NIF/CIF, professional or business registration number, and contact details of the authorised member or licensee. The agreement should confirm the user's current membership status in the association and any membership conditions that must be maintained for the licence to remain valid.

Mark Description: Reproduction of the collective mark — the word mark (denominación), figurative mark (logotipo), or combined mark — exactly as registered at the OEPM. Reference to the OEPM's online trademark database (SITADEX) for the official registered image.

Scope of Authorised Use: The specific goods or services for which the authorised user may apply the mark — which must fall within the Nice Classification classes covered by the OEPM registration. Geographic territory (Spain, EU via EUIPO, worldwide). Permitted media: physical products, packaging, business stationery, websites, advertising, trade fairs.

Quality Standards and Compliance (Reglamento de Uso): Reference to and incorporation of the OEPM-approved reglamento de uso governing the conditions for mark use. The agreement must specify: production or service quality standards the user must maintain; inspection and audit rights of the collective mark owner (or appointed quality inspector); documentary evidence of compliance required from the user; and the frequency and process for compliance reviews.

Prohibited Uses: The uses of the collective mark that are expressly prohibited — use on non-qualifying goods or services; use by third parties not authorised under this agreement; modification of the mark's appearance; use in a manner contrary to the association's values or that brings the mark into disrepute under Article 66 LM.

Duration and Renewal: The term of the use authorisation — typically aligned with the user's membership term — and renewal conditions. The OEPM registration of the collective mark must be renewed every 10 years under Article 31 Ley 17/2001 — the use agreement should address the impact of mark lapse or expiry on the licensee's rights.

Financial Terms: Any licence fee (canon de licencia), royalty (regalía), or membership fee component attributable to the mark usage. Many professional association collective mark licences are included in the annual membership fee rather than separately charged.

Sanctions and Termination: Graduated sanctions for non-compliance with quality standards: (1) formal warning (apercibimiento); (2) suspension of use rights pending remediation; (3) termination of use rights for serious or persistent violations. The collective mark owner's right to terminate the agreement for breach of quality standards and to notify the OEPM of the withdrawal of user authorisation.

OEPM Notification: Obligation of the collective mark owner to maintain accurate records of authorised users with the OEPM and to notify the OEPM of any changes to the reglamento de uso or to the list of authorised users under Articles 63–65 Ley 17/2001.

Governing Law and Disputes: Spanish law — Ley 17/2001 de Marcas and Código Civil. Disputes resolved before the Juzgados de lo Mercantil (Commercial Courts) under Ley Orgánica 8/2003, or before sector-specific arbitration bodies where available.
