3. CESIÓN DE POSICIÓN CONTRACTUAL / ASSIGNMENT OF CONTRACTUAL POSITION

A partir de la fecha de eficacia, el cesionario ocupa la posición del cedente como si hubiera sido parte original del contrato, y el cedente sale de la relación contractual (con sujeción a las disposiciones sobre responsabilidad por incumplimientos anteriores recogidas más adelante).

4. CONSENTIMIENTO DEL CEDIDO / CEDIDO'S CONSENT

El cedido ([Cedido Name]) presta por medio del presente acuerdo su consentimiento expreso a la cesión, de conformidad con el requisito establecido por el Tribunal Supremo (sentencias de 30 de octubre de 1997 y 12 de julio de 2016). El cedido declara que:

(a) La presente cesión es válida y eficaz desde la fecha de eficacia.

(b) A partir de la fecha de eficacia, el cesionario ([Cesionario Name]) es la única contraparte del cedido en el contrato original para todas las obligaciones futuras.

El cedente declara y garantiza que: (a) el contrato original es válido, vinculante y está en plena vigencia; (b) el cedente no ha cedido previamente la misma posición contractual a ningún tercero; (c) no existen litigios pendientes ni reclamaciones notificadas bajo el contrato original a la fecha de eficacia; y (d) todas las obligaciones del cedente bajo el contrato original vencidas antes de la fecha de eficacia han sido debidamente cumplidas.

El cedente indemnizará al cesionario por todas las pérdidas, costes y daños derivados del incumplimiento de estas declaraciones o de obligaciones anteriores a la cesión no reveladas en el momento del presente acuerdo.

7. LEGISLACIÓN APLICABLE Y JURISDICCIÓN / GOVERNING LAW AND JURISDICTION

Este acuerdo se rige por el Derecho español, principalmente el Código Civil (artículos 1255, 1203 y 1526 y ss.) y la jurisprudencia del Tribunal Supremo sobre cesión de posición contractual. Los litigios se resolverán ante el Juzgado de Primera Instancia del lugar de ejecución del contrato cedido, o ante el Tribunal Arbitral de Madrid si las partes han pactado el arbitraje.

What Is a Contractual Position Assignment Spain (Cesión de Posición Contractual)?

A Contractual Position Assignment Spain (Cesión de Posición Contractual) is a formal three-party agreement by which an original contracting party (cedente) transfers its entire contractual position — comprising all rights (créditos) and obligations (deudas and cargas) arising from an existing contract — to a third party (cesionario), with the consent of the remaining original party (cedido), governed by the principle of autonomía de la voluntad under Article 1255 of the Código Civil. The cesión de posición contractual is distinct from two related but narrower mechanisms: the cesión de créditos (assignment of receivables) under Articles 1526 to 1536 CC, which transfers only the cedente's rights against the debtor without transferring obligations; and the asunción de deuda (assumption of debt), which transfers only obligations. The cesión de posición contractual transfers the entire contractual position — both rights and obligations — making it a complete novation of the contractual parties (novación subjetiva) rather than of the contractual content (novación objetiva).

Spanish law does not contain a specific statutory provision governing the cesión de posición contractual as a distinct institution — unlike the Italian Codice Civile Articles 1406 to 1410 or the French Code Civil Article 1216. Spanish academic doctrine (doctrina científica) and the Tribunal Supremo's case law — particularly its judgments of 30 October 1997, 17 September 2010, and 12 July 2016 — have developed the concept from the general principles of the Código Civil, principally Article 1255 (freedom of contract), Article 1203 (novation), and Articles 1526 to 1536 (assignment of credits). The Tribunal Supremo has consistently held that the cessionary steps into the cedente's shoes completely — acquiring all rights and assuming all obligations from the effective date of the assignment, with the cedido's consent extinguishing the cedente's future liability under the original contract.

The cedido's consent (consentimiento del cedido) is the critical requirement for a valid cesión de posición contractual in Spain. Without the cedido's express consent, the cedente cannot transfer contractual obligations to a third party — unilateral assignment of obligations is not permitted under Spanish law, as the cedido's right to choose their contractual counterpart (intuitu personae) is protected. The cedido's consent may be given in advance in the original contract (consentimiento anticipado) — which is common in lease agreements, public works contracts, and corporate acquisition structures — or at the time of the specific assignment. When the cedido consents in advance, Spanish courts have held that the specific assignment takes effect without further notification, unless the original contract requires it.

Cesión de posición contractual is frequently used in Spanish corporate transactions: in M&A deal structures, where a seller assigns its position in key commercial contracts to the purchaser as part of a business acquisition; in real estate transactions, where a developer assigns purchase contracts (contratos de arras or compraventas pendientes de escrituración) to investors; in public works and construction projects, where a main contractor assigns its position to a subcontractor with the administration's consent under Article 214 of the Ley 9/2017 de Contratos del Sector Público (LCSP); and in financial restructurings, where a cedente assigns its position in financing agreements with the consent of the lending institution.

Registration requirements for cesiones de posición contractual depend on the nature of the underlying contract. If the original contract was registered with the Registro de la Propiedad (e.g. a lease registered under Article 7 LAU or a real estate option contract), the assignment should be notarised and registered to be effective against third parties. If the original contract involves public administration as the cedido, the assignment must comply with the LCSP's requirements for subrogation, including formal notification and administrative approval.

When Do You Need a Contractual Position Assignment Spain (Cesión de Posición Contractual)?

A Contractual Position Assignment Spain is needed whenever an original contracting party wishes to exit a contract and have a third party take over all its rights and obligations — rather than simply terminating the contract or assigning only its receivables — and the counterparty consents to the change of party.

The Spain Contractual Position Assignment Spain (Cesión de Posición Contractual) document is required in M&A transactions where a seller assigns its position in key supply, distribution, or licensing contracts to the buyer — the assignment confirms continuity of business operations post-acquisition without the need to renegotiate separate contracts with each counterparty.

A Cesión de Posición Contractual is needed in Spanish real estate developments where a promotor (developer) has signed preliminary purchase contracts (contratos de arras or promesas de compraventa) with buyers and subsequently sells the development project to a new investor who takes over all the developer's obligations to deliver the properties and refund deposits.

What to Include in Your Contractual Position Assignment Spain (Cesión de Posición Contractual)

A valid Contractual Position Assignment Spain under Código Civil Article 1255 must include the following essential elements to be enforceable and to transfer the contractual position completely and effectively.

Identification of Three Parties: Full legal names, NIF/DNI/CIF, and registered addresses of: (1) the cedente — the original contracting party transferring their position; (2) the cesionario — the incoming party assuming the contractual position; and (3) the cedido — the remaining original counterparty whose consent is essential for a valid assignment. Where any party is a legal entity, the NIF, Registro Mercantil registration details, and the name and authority of the legal representative signing must be stated.

Description of the Original Contract: Full identification of the contract being assigned — title, date of execution, parties, subject matter, and any registration details (notarial deed number, Registro de la Propiedad entry, or SEPE/AEAT registration reference). A copy of the original contract should be attached as an exhibit. Any amendments (adendas or modificaciones) to the original contract that form part of the assigned position must be identified.

Scope of Assignment: A precise statement that the cedente transfers to the cesionario its entire contractual position — all rights (créditos), obligations (deudas), burdens (cargas), and accessory rights (derechos accesorios) arising from the original contract as from the effective date of the assignment. Any rights or obligations specifically excluded from the assignment must be expressly identified — partial assignments of contractual positions are permissible but must be clearly defined.

Cedido's Consent: Express written consent of the cedido to the assignment, with the cedido's declaration that: (a) the assignment is valid and effective; (b) from the effective date, the cesionario is the cedido's sole counterparty under the original contract; and (c) the cedente is released from all future obligations under the original contract. The cedido should also confirm the absence of existing breaches (incumplimientos) by the cedente that it wishes to preserve claims for, and any conditions it imposes on its consent.

Effective Date: The date from which the assignment takes effect — which may be the signature date of the assignment agreement or a future date (e.g. completion of an M&A transaction). Any conditions precedent (condiciones suspensivas) to the effectiveness of the assignment must be stated — the assignment does not take effect until the conditions are satisfied under Article 1114 CC.

Representations and Warranties: The cedente's representations that: the original contract is valid and in force; the cedente has not previously assigned the same position to any other party; there are no pending disputes (litigios pendientes) under the original contract; and all obligations up to the effective date of assignment have been performed. The cedente indemnifies the cesionario for losses arising from pre-assignment breaches.

Consideration: Whether the cesionario pays consideration (precio de cesión) to the cedente for the assignment of a valuable contractual position, or whether the assignment is effected for no consideration (a título gratuito) in a corporate restructuring. If consideration is paid, the price, payment terms, and any applicable taxes — IVA or ITP (Impuesto sobre Transmisiones Patrimoniales) — must be addressed.

Notification and Registration: Any requirement to notify the original contract's counterpart of the assignment, and any registration requirements — notarisation and Registro de la Propiedad registration for assigned real estate contracts, or administrative notification under LCSP for public contracts.
