SEGUNDA. — OBJETO DE LA AGENCIA

EL EMPRESARIO encarga al AGENTE COMERCIAL, de manera estable e independiente, la promoción y explotación de los siguientes productos y/o servicios:

PARÁGRAFO. — EL AGENTE deberá emitir factura electrónica por sus comisiones conforme a la normatividad de la DIAN. Los pagos estarán sujetos a retención en la fuente e IVA del 19% conforme al Estatuto Tributario.

SEXTA. — OBLIGACIONES DE LAS PARTES

Obligaciones del AGENTE COMERCIAL:

a) Promover activamente los productos/servicios del EMPRESARIO en la zona asignada con la diligencia de un comerciante prudente.

b) Cumplir con las políticas comerciales, precios y condiciones de venta establecidas por EL EMPRESARIO.

c) Rendir informes periódicos de gestión comercial, ventas realizadas y estado del mercado.

d) Mantener estricta confidencialidad sobre la información comercial del EMPRESARIO conforme a la Ley 256 de 1996.

e) No promover ni representar productos competidores dentro de la zona sin autorización escrita del EMPRESARIO (Artículo 1321 CCo).

Obligaciones del EMPRESARIO:

a) Suministrar al AGENTE catálogos, muestras, listas de precios y material promocional necesario.

b) Pagar oportunamente las comisiones devengadas conforme a la cláusula QUINTA.

c) Informar al AGENTE de cambios en productos, precios y condiciones comerciales con antelación razonable.

d) Respetar la exclusividad territorial pactada, si aplica.

SÉPTIMA. — CESANTÍA COMERCIAL

De conformidad con el Artículo 1324 del Código de Comercio, a la terminación del presente contrato por cualquier causa, EL AGENTE COMERCIAL tendrá derecho a recibir la cesantía comercial, equivalente a la doceava parte del promedio de la remuneración anual recibida multiplicada por los años de vigencia de la agencia. Este derecho es irrenunciable y no puede ser excluido ni reducido por acuerdo entre las partes.

OCTAVA. — TERMINACIÓN E INDEMNIZACIÓN

El presente contrato podrá terminar por: a) vencimiento del plazo pactado y no renovación; b) mutuo acuerdo; c) incumplimiento de cualquiera de las partes; d) justa causa conforme al Artículo 1325 del Código de Comercio.

PARÁGRAFO. — En caso de terminación unilateral sin justa causa por parte del EMPRESARIO, éste deberá pagar al AGENTE, además de la cesantía comercial del Artículo 1324, la indemnización por terminación injustificada conforme al Artículo 1325 del CCo, incluyendo el valor de la clientela desarrollada por el AGENTE en la zona.

NOVENA. — LEY APLICABLE Y JURISDICCIÓN

El presente contrato se rige por el Código de Comercio, el Código Civil, y demás normas mercantiles aplicables de la República de Colombia. Las controversias se resolverán mediante conciliación ante un centro de conciliación autorizado (Ley 640 de 2001). De no alcanzarse acuerdo, las partes someterán la controversia al Juez Civil del Circuito competente del domicilio del AGENTE, o al Centro de Arbitraje de la Cámara de Comercio correspondiente conforme a la Ley 1563 de 2012.

DÉCIMA. — REGISTRO MERCANTIL

Las partes se obligan a inscribir el presente contrato en el Registro Mercantil de la Cámara de Comercio del domicilio del AGENTE, conforme al Artículo 28 del Código de Comercio, dentro de los quince (15) días hábiles siguientes a su firma.

What Is a Commercial Agency Contract Colombia (Contrato de Agencia Comercial)?

A Commercial Agency Contract Colombia (Contrato de Agencia Comercial) is a mercantile agreement governed by Código de Comercio (CCo) Articles 1317 through 1331, under which an independent merchant — the agente comercial — assumes the stable, ongoing task of promoting or exploiting the business of another merchant — the empresario or principal — within a defined geographic territory, in exchange for remuneration typically structured as a commission on sales or transactions. Article 1317 of the CCo defines the agencia comercial as the contract through which a merchant assumes, on a stable basis, the charge of promoting or exploiting in a specific zone the business of a domestic or foreign empresario, acting as that party's representative or agent.

The constitutional framework supporting commercial agency in Colombia derives from Article 333 of the Constitución Política de 1991, which protects free economic initiative and free competition within the limits of the common good. The Corte Suprema de Justicia — Sala de Casación Civil has consistently interpreted commercial agency as an autonomous contract type, distinct from both employment contracts under the Código Sustantivo del Trabajo (CST) Article 23 and from mandate contracts under Código Civil Article 2142.

CCo Article 1317 establishes three defining elements of commercial agency: stability (estabilidad) — the relationship must be ongoing rather than occasional; independence (independencia) — the agent operates autonomously without subordination to the principal; and the promotion or exploitation of the principal's business within a defined zone. Where any of these elements is absent, the contract may be reclassified — if subordination exists, the Sala de Casación Laboral may apply the principio de primacía de la realidad under CST Article 23 and declare an employment relationship.

CCo Article 1324 grants the commercial agent a right to cesantía comercial (commercial severance) upon termination, calculated as one-twelfth of the average commission or remuneration received per year of service, multiplied by the total number of years the agency relationship existed. The Corte Suprema de Justicia — Sala de Casación Civil has confirmed in multiple decisions that cesantía comercial is an imperative right (derecho irrenunciable) that cannot be waived by contract, and that its calculation must include all forms of remuneration received during the agency relationship.

CCo Article 1325 provides that if the principal terminates the agency without just cause, the agent is entitled to indemnización (compensation) for the unilateral termination, which includes both the cesantía comercial under Article 1324 and additional damages for the goodwill (clientela) developed by the agent. The Superintendencia de Industria y Comercio (SIC) oversees unfair competition claims related to commercial agency under Ley 256 de 1996, including disputes over client lists, territorial encroachment, and misuse of trade secrets.

Commercial agency contracts in Colombia must be distinguished from distribution agreements (contratos de distribución), franchise agreements (contratos de franquicia), and brokerage contracts (contratos de corretaje under CCo Articles 1340 through 1346). The Corte Suprema de Justicia has established that the key differentiating factor is whether the intermediary acts on behalf of and for the account of the principal (agency) or purchases goods for resale on their own account (distribution).

Tax treatment of commercial agency income follows the Estatuto Tributario (Decreto 624 de 1989). Commission income is subject to retención en la fuente at rates established under Articles 392 and 383, and agents must charge IVA at 19% on their commission fees under Article 468. Registration requirements under CCo Article 28 mandate that commercial agency contracts be inscribed in the Registro Mercantil of the Cámara de Comercio of the agent's domicile. The Juzgados Civiles del Circuito have jurisdiction over disputes arising from commercial agency contracts, with appeals to the Tribunal Superior de Distrito Judicial — Sala Civil.

When Do You Need a Commercial Agency Contract Colombia (Contrato de Agencia Comercial)?

A Commercial Agency Contract Colombia is needed whenever a Colombian or foreign empresario (principal) wishes to establish a stable commercial presence in a defined geographic territory through an independent agent who will promote, market, and develop the principal's business without the cost structure of a direct employment relationship. Código de Comercio Article 1317 governs the formation of this relationship and requires that the agent operate independently while maintaining a stable, ongoing commitment to the principal's business.

A Contrato de Agencia Comercial is required when a foreign manufacturer or service provider enters the Colombian market through a local agent rather than establishing a subsidiary or branch office. Under CCo Article 469 and Decreto 1074 de 2015, foreign companies operating through commercial agents must register with the Cámara de Comercio and comply with Colombian tax obligations through the agent's NIT registration with the DIAN.

The contract is needed when a Colombian empresa — whether a SAS under Ley 1258 de 2008, an SA, or a Ltda. — expands its sales operations into new departments or municipalities by appointing regional agents to develop local markets. The territorial exclusivity clause, while not mandatory under the CCo, is frequently negotiated and must be clearly documented to prevent disputes over overlapping zones.

A commercial agency contract is required when the relationship involves the promotion and sale of products or services on behalf of the principal, where the agent earns commissions rather than purchasing inventory for resale. The distinction from distribution agreements is critical — if the intermediary buys goods at wholesale prices for resale at retail prices, the Corte Suprema de Justicia has held that the arrangement is distribution, not agency, and the intermediary is not entitled to cesantía comercial under CCo Article 1324.

The document is needed when either party wishes to formalize territorial rights, minimum sales quotas, commission structures, and termination procedures in writing. While CCo Article 1317 does not require written form for validity, the Cámara de Comercio requires a written contract for inscription in the Registro Mercantil under CCo Article 28, and the written document serves as primary evidence in disputes before the Jueces Civiles del Circuito.

A Contrato de Agencia Comercial is also necessary when the principal supplies the agent with samples, catalogs, price lists, and proprietary sales materials — the contract must address ownership, return obligations, and confidentiality of commercial information under Ley 256 de 1996. Where the agent develops a client portfolio (cartera de clientes) for the principal, the contract should specify ownership of client relationships to prevent disputes upon termination.

What to Include in Your Commercial Agency Contract Colombia (Contrato de Agencia Comercial)

A valid Commercial Agency Contract Colombia under Código de Comercio Articles 1317 through 1331 must contain the following elements to be enforceable and to preserve the parties' rights upon termination of the agency relationship.

Identification of Parties: Full legal name, NIT (Número de Identificación Tributaria assigned by the DIAN) or cédula de ciudadanía, matrícula mercantil number from the Cámara de Comercio, and registered address (domicilio) of both the empresario (principal) and the agente comercial (agent). Both parties must be comerciantes registered under CCo Article 10. Where the principal is a foreign entity, the contract must identify the authorized representative in Colombia and the foreign company's registration under CCo Article 471.

Object and Scope of the Agency: A detailed description of the products or services the agent is authorized to promote or exploit on behalf of the principal. CCo Article 1317 requires that the agent's charge be defined with specificity — overly broad mandates have been narrowed by the Corte Suprema de Justicia — Sala de Casación Civil in disputes over the scope of agency authority.

Territory: The specific geographic zone (zona) where the agent is authorized to operate under CCo Article 1318. The territory may be defined by department, municipality, or specific market segment. Territorial exclusivity, while not mandated by the CCo, is a common negotiated term that must be expressed clearly to be enforceable.

Duration: The contract term, which may be definite (término fijo) or indefinite (término indefinido). CCo Article 1320 establishes that if no term is specified, the agency is deemed indefinite. Fixed-term agencies automatically renew unless either party gives written notice of non-renewal at least 90 days before expiration.

Remuneration: The commission structure, calculation method, and payment schedule. Commissions are typically calculated as a percentage of net sales generated within the agent's territory. CCo Article 1322 provides that in the absence of agreement, the commission is determined by commercial custom (costumbre mercantil) of the relevant industry. The agent is entitled to commissions on all sales within the territory, even on direct sales made by the principal without the agent's intervention, unless the contract expressly excludes such sales.

Minimum Sales Obligations: Any quotas or targets the agent must achieve. Failure to meet minimum sales obligations may constitute just cause for termination by the principal under CCo Article 1325, but the principal must demonstrate that the targets were reasonable and that the failure was attributable to the agent's negligence.

Cesantía Comercial: CCo Article 1324 grants the agent an irrenunciable right to cesantía comercial upon termination, calculated as one-twelfth of the average annual remuneration multiplied by the years of service. No contractual clause may waive or reduce this right — the Corte Suprema de Justicia has declared such clauses void.

Termination and Indemnification: Conditions for termination with and without just cause. CCo Article 1325 establishes that unjustified termination by the principal entitles the agent to both cesantía comercial and indemnification for damages, including the value of goodwill (clientela) developed by the agent. Just causes for termination by the principal include breach of exclusivity, failure to meet minimum sales, and unauthorized disclosure of trade secrets.

Confidentiality and Non-Competition: Obligations regarding the protection of the principal's trade secrets, client lists, pricing information, and commercial strategies. Post-termination non-competition clauses are enforceable in Colombia for commercial agents under CCo Article 1321, provided they are limited in scope, territory, and duration.

Governing Law and Jurisdiction: Statement that the contract is governed by the Código de Comercio and applicable Colombian commercial law. Disputes are resolved by the Jueces Civiles del Circuito of the agent's domicile, with optional arbitration under Ley 1563 de 2012.
