El AGENTE COMERCIAL deberá emitir el CFDI correspondiente a cada pago de honorarios, incluyendo IVA al 16%, conforme a los Artículos 29 y 29-A del Código Fiscal de la Federación y las disposiciones del SAT.

IV. OBLIGACIONES DE LAS PARTES

Obligaciones del Agente Comercial:

a) Actuar con diligencia y buena fe en la promoción de los productos del PRINCIPAL conforme al Artículo 279 del Código de Comercio.

b) Rendir cuentas detalladas de su gestión comercial conforme al Artículo 292 del Código de Comercio.

c) Mantener confidencialidad sobre información comercial sensible del PRINCIPAL conforme a la Ley Federal de Protección a la Propiedad Industrial (LFPPI).

d) Entregar al PRINCIPAL al término del contrato todos los registros de clientes, pedidos y documentación comercial.

Obligaciones de la Empresa Principal:

a) Proporcionar al AGENTE catálogos, listas de precios y materiales de apoyo actualizados.

b) Pagar los honorarios de agencia en los plazos pactados.

c) Reembolsar gastos extraordinarios autorizados, conforme al Artículo 296 del Código de Comercio.

V. VIGENCIA Y TERMINACIÓN

What Is a Commercial Agency Contract Mexico (Contrato de Agencia Comercial)?

A Commercial Agency Contract Mexico (Contrato de Agencia Comercial) is a formal commercial agreement through which a principal (empresa principal) appoints a commercial agent (agente comercial) to promote and negotiate the conclusion of contracts on the principal's behalf on a stable, ongoing basis, governed by Código de Comercio Article 273 and the general provisions of Mexican commercial law. Unlike the one-off commercial mandate of the comisión mercantil, commercial agency in Mexico implies a continuous, organised relationship through which the agent develops and maintains a commercial market for the principal's products or services within a defined territory.

Mexican commercial law does not maintain a separate statute specifically governing commercial agency in the same manner as the European Union's Commercial Agents Directive — instead, the Contrato de Agencia Comercial is governed by Código de Comercio Article 273 (defining the mercantile mandate and agency) and supplemented by the Código Civil Federal for general agency (mandato) provisions under Articles 2546 through 2604. The Secretaría de Economía (SE) oversees commercial distribution and agency relationships under the Ley de Comercio Exterior and sector-specific regulations for import and distribution of controlled goods. When Do You Need a Commercial Agency Contract Mexico (Contrato de Agencia Comercial)?

A Commercial Agency Contract Mexico is required whenever a company appoints an independent commercial agent on a continuous, organised basis to develop a sales territory, cultivate customer relationships, and negotiate contracts on the company's behalf — rather than making one-off commercial transactions as under a comisión mercantil under Código de Comercio Article 273.

The contract is needed when a manufacturer, exporter, or service provider — registered with the SAT as an SA de CV, S de RL, or persona física con actividad empresarial — wishes to enter or expand into Mexican regional markets through an agent who will represent the company on an ongoing basis, attend trade fairs (ferias y exposiciones), visit customers regularly, and maintain a continuous commercial presence in the assigned territory without the costs and obligations of direct employment under the Ley Federal del Trabajo.

The Contrato de Agencia Comercial is particularly appropriate when the agent will develop a customer portfolio (cartera de clientes) over time — building brand recognition and client loyalty that adds lasting commercial value to the principal's business. This ongoing contribution distinguishes commercial agency from a simple commission arrangement and affects the parties' rights upon termination, including the agent's potential claims for compensation for developed clientele under Mexican civil law principles.

Agency Fee and Calculation: The commission or agency fee (honorarios de agencia) payable to the agent as a percentage of invoiced value or a fixed amount per transaction, the calculation base (net or gross revenue, excluding IVA), and the specific trigger event. Distinguish between direct transactions concluded by the agent and transactions within the territory that the principal concludes directly — the contract should specify whether the agent earns a reduced fee on direct transactions within their exclusive territory (derecho a comisión por operaciones directas).
