CONTRATO DE PRESTACIÓN DE SERVICIOS DE SALUD EPS-IPS

PARTES CONTRATANTES

Entre los suscritos, a saber: de una parte, [Nombre EPS], NIT [NIT EPS], Código de Habilitación [Código EPS], con domicilio en [Domicilio EPS], representada legalmente por [Representante EPS], quien en adelante se denominará LA EPS; y de otra parte, [Nombre IPS], NIT [NIT IPS], inscrita en el REPS bajo el código [Código REPS], con sede principal en [Domicilio IPS], representada legalmente por [Representante IPS], quien en adelante se denominará LA IPS; se celebra el presente Contrato de Prestación de Servicios de Salud, que se regirá por las siguientes cláusulas:

CLÁUSULA PRIMERA — OBJETO

LA IPS se obliga a prestar a los afiliados y beneficiarios del régimen [Régimen] de LA EPS los siguientes servicios de salud del Plan de Beneficios en Salud (PBS) en el territorio de [Territorio Cobertura]:

Los servicios se prestarán conforme a los estándares del Sistema Único de Habilitación (SUH) bajo el cual está habilitada LA IPS en el Registro Especial de Prestadores de Servicios de Salud (REPS), y conforme a los protocolos y guías de práctica clínica adoptadas por el Ministerio de Salud y Protección Social.

CLÁUSULA SEGUNDA — MODALIDAD DE CONTRATACIÓN Y TARIFAS

La modalidad de contratación acordada es: [Modalidad Pago]. Las tarifas específicas para cada servicio o grupo de servicios se establecen en el Anexo de Tarifas que forma parte integral del presente contrato, cuya base de referencia es el Manual Tarifario SOAT vigente y/o el MAPIPOS, con los porcentajes de incremento o descuento negociados entre las partes.

PARÁGRAFO: LA EPS pagará a LA IPS dentro de los [Plazo Pago] días calendario siguientes a la radicación correcta y completa de la factura, conforme al Artículo 57 de la Ley 1438 de 2011. Los pagos realizados fuera de este plazo generarán intereses de mora equivalentes al doble de la tasa de interés bancario corriente certificada por la Superintendencia Financiera de Colombia, conforme al Artículo 58 de la misma ley.

CLÁUSULA TERCERA — PROCESO DE GLOSAS Y CONCILIACIÓN

LA EPS tendrá un plazo máximo de treinta (30) días calendario desde la recepción de la factura para formular glosas motivadas con soporte técnico o administrativo. LA IPS tendrá un plazo de treinta (30) días calendario para responder las glosas con la documentación clínica soporte. Las glosas no resueltas en segunda instancia se someterán al mecanismo de conciliación ante el Centro de Arbitraje y Conciliación de la Cámara de Comercio competente, conforme a la Circular Única de la Superintendencia Nacional de Salud.

CLÁUSULA CUARTA — HABILITACIÓN Y CALIDAD

LA IPS garantiza que se encuentra habilitada en el REPS para la totalidad de los servicios objeto del presente contrato y se obliga a mantener vigente dicha habilitación durante toda la vigencia contractual. El incumplimiento de esta obligación dará lugar a la suspensión inmediata del servicio inhabilitado y, si la inhabilitación afecta servicios esenciales, a la terminación anticipada del contrato.

CLÁUSULA QUINTA — VIGENCIA

El presente contrato tendrá una vigencia de [Vigencia Contrato] contados a partir del [Fecha Inicio]. Cualquiera de las partes podrá dar por terminado anticipadamente el contrato mediante preaviso escrito con una antelación no menor a noventa (90) días calendario.

CLÁUSULA SEXTA — PROTECCIÓN DE DATOS DE SALUD

Las partes garantizan la protección de los datos personales de los pacientes conforme a la Ley 1581 de 2012 (protección de datos personales) y la Ley 23 de 1981 (secreto médico). El intercambio de información clínica entre LA EPS y LA IPS se realizará únicamente para los fines de auditoría, pago y garantía de continuidad de atención, mediante canales seguros y con estricta limitación al personal autorizado.

What Is a EPS-IPS Healthcare Services Agreement Colombia?

The EPS-IPS Healthcare Services Agreement in Colombia is the legal agreement by which an Entidad Promotora de Salud (EPS) — the entity responsible for affiliation and premium collection in the Sistema General de Seguridad Social en Salud (SGSSS) under Articles 177 to 182 of Ley 100 de 1993 — contracts with an Institución Prestadora de Servicios de Salud (IPS) for the provision of medical, hospital, surgical, emergency, dental and other Plan de Beneficios en Salud (PBS) services on behalf of the EPS's affiliates and beneficiaries in a defined territory.

In the Colombian SGSSS model, EPS entities do not directly provide health services (unless they have their own IPS), but instead contract networks of public and private IPS entities that cover the needs of their affiliates across the country. Major EPS entities in Colombia include Nueva EPS, Sanitas EPS, Salud Total, Compensar, Famisanar, Sura EPS, and subsidised-regime EPS such as Medimás and Coosalud.

Decreto 780 de 2016 (Decreto Único Reglamentario del Sector Salud) establishes in Book 2 the minimum requirements for EPS-IPS contracts, including minimum contract content, payment conditions, information systems, and conflict resolution mechanisms. Circular Única de la Superintendencia Nacional de Salud (Supersalud) Chapter II, Title IV establishes contracting models between insurers and providers, maximum payment timelines, and glosa (invoice objection) conditions.

Ley 1438 de 2011 (SGSSS reform) introduced the concept of integrated health service networks (RISS) in Article 60, promoting long-term contracts between EPS and IPS entities that favour service integration and continuity of patient care. Resolución 3100 de 2019 establishes that contracts between EPS and IPS entities must guarantee that contracted IPS entities are enabled for the contracted services in the REPS (Registro Especial de Prestadores de Servicios de Salud).

When Do You Need a EPS-IPS Healthcare Services Agreement Colombia?

The EPS-IPS Healthcare Services Agreement in Colombia is indispensable in the following SGSSS scenarios.

Conformation of provider networks: EPS entities are required by Decreto 780 de 2016 to form provider networks that guarantee geographic coverage for their affiliates in all municipalities where they have affiliates. Without contracts with regional IPS entities, the EPS fails its obligation to guarantee access to PBS services, which can be grounds for sanction by Supersalud and the Ministerio de Salud.

Emergency contracts: IPS entities enabled with emergency services are required to provide emergency care to anyone who needs it, regardless of their EPS affiliation. EPS-IPS emergency contracts govern the compensation for these mandatory care instances under Article 168 of Ley 100 de 1993 and Article 10 of Ley 1751 de 2015 (Ley Estatutaria de Salud).

High-complexity contracts: EPS entities that do not have their own high-complexity IPS entities (oncology, neurosurgery, transplants, interventional cardiology) must contract these specialties with tertiary IPS entities. These specialised contracts govern prior authorisations, EPS response times for approving high-cost procedures, and payment mechanisms for services not covered by the UPC (Unidad de Pago por Capitación).

Subsidised regime contracts: Subsidised-regime EPS entities contract with public IPS entities (Empresas Sociales del Estado — ESE) for the care of lower-income affiliates in the municipalities where they operate, with differential rates negotiated within the framework of the Manual Tarifario SOAT or MAPIPOS.

What to Include in Your EPS-IPS Healthcare Services Agreement Colombia

The EPS-IPS Healthcare Services Agreement in Colombia must include the following essential elements required by Decreto 780 de 2016 and the Circular Única de la Superintendencia Nacional de Salud.

Identification of the parties: EPS — corporate name, NIT, EPS enablement code from the Ministerio de Salud, legal representative, address and domicile municipality. IPS — corporate name or individual provider name, NIT or cédula, REPS registration number, provider code, enabled contracted services, and included branch or branches.

Contract object: Detailed description of the PBS health services that the IPS will provide to EPS affiliates, with CUPS codes (Clasificación Única de Procedimientos en Salud) or the enabled service code under Decreto 780 de 2016. Indicate whether the contract covers contributory regime, subsidised regime, or both services.

Contracting modality and remuneration: Type of payment agreed: capitación (monthly payment per assigned affiliate regardless of services used), pago por evento (payment per procedure or care provided according to agreed rates based on Manual Tarifario SOAT or ISS 2001 plus percentage), case or diagnosis payment (related diagnosis grouper), or integral payment (bundled payment).

Payment conditions and financial flow: EPS payment deadlines to the IPS — under Article 57 of Ley 1438 de 2011, EPS entities must pay contracted IPS entities within sixty calendar days of the duly documented invoice. The default interest rate is double the current bank interest rate certified by the Superintendencia Financiera de Colombia. The glosa procedure — timelines for objecting, supporting the glosa, responding to the glosa, and accessing the Supersalud conciliation mechanism.

Reference and counter-reference system: Procedures for referring patients to higher complexity levels within and outside the EPS network, under the reference and counter-reference system regulated by Decreto 4747 de 2007.

Quality indicators and enablement: The contracted IPS must maintain valid REPS enablement for all contracted services. The contract must establish periodic verification mechanisms for enablement status and the consequences of non-compliance. Quality indicators of timeliness, patient safety, and user satisfaction required by the EPS under the Sistema Obligatorio de Garantía de Calidad (SOGC).
