CLÁUSULA 1 — PARTES

CLÁUSULA 2 — OBJETO DEL CONTRATO

La AGENCIA se obliga a prestar los siguientes servicios publicitarios al ANUNCIANTE: [Campaign Description].

CLÁUSULA 3 — DESARROLLO CREATIVO Y APROBACIÓN

La AGENCIA desarrollará conceptos creativos, diseños y materiales publicitarios de acuerdo con los lineamientos de marca del ANUNCIANTE y el brief de campaña. El ANUNCIANTE tendrá derecho a [Approval Rounds] rondas de revisión creativa. Las revisiones adicionales que excedan el número acordado se facturarán a la tarifa horaria estándar de la AGENCIA.

Todo el contenido publicitario deberá cumplir con la Ley 1480 de 2011 (Estatuto del Consumidor) — queda prohibida la publicidad engañosa, las afirmaciones comparativas deben ser verificables y todas las representaciones de los productos deben ser verídicas. Ambas partes comparten la responsabilidad del cumplimiento normativo ante la Superintendencia de Industria y Comercio.

CLÁUSULA 4 — PROPIEDAD INTELECTUAL

La titularidad de la propiedad intelectual sobre los materiales creativos producidos en ejecución del presente contrato corresponde a: [IP Ownership]. De conformidad con la Ley 23 de 1982 y la Decisión Andina 351, los derechos patrimoniales se tratarán según lo indicado anteriormente. CLÁUSULA 6 — CONFIDENCIALIDAD

Ambas partes se obligan a guardar estricta confidencialidad sobre las estrategias de campaña, los materiales creativos no publicados, los presupuestos de mercadeo, la inteligencia competitiva y cualquier información de carácter reservado intercambiada durante la ejecución del contrato. Esta obligación se extiende durante dos (2) años después de la terminación del presente contrato.

CLÁUSULA 7 — TERMINACIÓN

El presente contrato podrá darse por terminado por: mutuo acuerdo escrito; incumplimiento grave de cualquiera de las partes, previo aviso escrito de quince (15) días calendario y oportunidad de subsanar; o terminación unilateral por cualquiera de las partes con preaviso escrito de sesenta (60) días calendario. Ante la terminación, el ANUNCIANTE pagará todos los servicios prestados y los compromisos de pauta no cancelables. La AGENCIA entregará todos los materiales creativos terminados y cooperará durante un período de transición razonable.

CLÁUSULA 8 — SOLUCIÓN DE CONTROVERSIAS

Cualquier controversia derivada del presente contrato se someterá primero a negociación directa durante treinta (30) días calendario. Si la negociación fracasa, la disputa será resuelta por un árbitro único designado por el Centro de Arbitraje y Conciliación de la Cámara de Comercio de [City], con aplicación del derecho sustancial colombiano.
