TERCERO: INDEPENDENCIA DEL PRESTADOR

Las partes declaran expresamente que el presente contrato no genera relación laboral alguna conforme al Artículo 7 del Código del Trabajo (DFL No. 1/2003). El Prestador actúa como profesional independiente, con autonomía en la organización de su trabajo, utilizando sus propios medios y herramientas, asumiendo riesgo empresarial, y sin estar sujeto a la dirección, subordinación ni dependencia del Cliente. El Prestador podrá prestar servicios simultáneamente a terceros.

CUARTO: PLAZO

El presente contrato tendrá vigencia desde el [Start Date] hasta el [End Date]. Cualquiera de las partes podrá poner término anticipado al contrato mediante aviso por escrito con [Termination Notice] de anticipación, sin perjuicio de la obligación de pagar los servicios efectivamente prestados hasta la fecha de término.

El Prestador emitirá boleta de honorarios electrónica a través del portal del Servicio de Impuestos Internos (SII). El Cliente retendrá el porcentaje de impuesto provisional vigente (13,75% para 2025) conforme al Artículo 74 No. 2 de la Ley sobre Impuesto a la Renta (DL 824/1974) y lo enterará al SII dentro del plazo legal.

SEXTO: PROPIEDAD INTELECTUAL

En conformidad con el Artículo 7 de la Ley 17.336 de Propiedad Intelectual, el Prestador cede al Cliente todos los derechos patrimoniales sobre las obras y creaciones realizadas en cumplimiento del presente contrato, en la medida pactada precedentemente. Los derechos morales permanecerán con el creador conforme al Artículo 14 de la Ley 17.336.

SÉPTIMO: CONFIDENCIALIDAD

El Prestador se obliga a mantener en estricta reserva toda información confidencial del Cliente, incluyendo datos comerciales, financieros, técnicos y estratégicos, conforme al Artículo 1545 del Código Civil y la Ley 19.628 sobre Protección de la Vida Privada. Esta obligación subsistirá por un período de 3 años después del término del contrato.

OCTAVO: RESPONSABILIDAD

El Prestador responderá por los daños causados al Cliente por el incumplimiento de sus obligaciones conforme a los Artículos 1556 a 1558 del Código Civil, con el grado de diligencia de culpa leve (Artículo 1547). La responsabilidad total del Prestador no excederá el monto total de los honorarios pactados en el presente contrato, salvo en caso de dolo o culpa grave.

NOVENO: LEY APLICABLE Y JURISDICCIÓN

El presente contrato se rige por el Código Civil, el Código de Comercio, y las demás disposiciones legales aplicables de la República de Chile. Cualquier controversia será sometida a los Juzgados de Letras competentes de la ciudad de [Signature City].
