What Is a Company Vehicle Sale Contract Chile (Contrato de Compraventa de Vehículo Empresa)?

A Company Vehicle Sale Contract Chile (Contrato de Compraventa de Vehículo Empresa) is a legally binding agreement governed by Article 1793 of the Código Civil of Chile and Article 130 of the Código de Comercio (enacted 23 November 1865) through which a corporate seller (vendedor empresa) transfers ownership of one or more motor vehicles from its commercial fleet to a buyer (comprador) — whether another company or an individual — in exchange for a price (precio) agreed in Chilean pesos (CLP) or Unidades de Fomento (UF). Article 1793 of the Código Civil defines the contract of sale (contrato de compraventa) as the contract by which one party — the seller — binds itself to give a thing and the other party — the buyer — binds itself to pay a price in money (precio en dinero). Article 130 of the Código de Comercio classifies the purchase of goods for the purpose of resale — including vehicle fleet transactions between commercial entities — as a mercantile act (acto mercantil), subjecting corporate vehicle sales to both civil and commercial legal frameworks in Chile's unitary judicial system.

The transfer of motor vehicle ownership in Chile requires compliance with Ley 18.290 of 7 February 1984 (Ley de Tránsito, as amended multiple times, with the current text consolidated by DFL No. 1/2009 of the Ministerio de Transportes y Telecomunicaciones) and the registration procedures of the Registro Nacional de Vehículos Motorizados (RNVM), administered by the Servicio de Registro Civil e Identificación (SRCEI) under its Departamento de Vehículos Motorizados. Article 43 of Ley 18.290 (DFL No. 1/2009) establishes that vehicle ownership transfers only become effective against third parties (erga omnes) upon inscription of the transfer in the RNVM — the contract of sale alone, without RNVM registration, transfers ownership only between the contracting parties (entre las partes). Companies managing fleet disposals must coordinate RNVM transfer inscriptions within the statutory deadlines — failure to complete the registration transfer can result in the seller company remaining liable for traffic fines (infracciones de tránsito), insurance obligations, and mandatory technical inspection (Revisión Técnica Vehicular — RTV) responsibilities.

Tax implications are a critical consideration in corporate vehicle sales. Under Decreto Ley 825 of 1974 (Ley del Impuesto al Valor Agregado — IVA), the sale of motor vehicles by a company classified as a habitual seller (vendedor habitual) is subject to the Chilean IVA rate of 19% applied to the sale price (precio de venta) when the company is a VAT taxpayer (contribuyente del IVA) registered with the SII (Servicio de Impuestos Internos). The habitual seller classification under DL 825 applies to companies whose corporate purpose includes vehicle sales or whose fleet disposal activity meets the SII's criteria for habituality (habitualidad). Sales by companies that are not habitual vehicle sellers — for example, a technology company disposing of executive fleet vehicles — may be exempt from IVA under Article 8 of DL 825 as occasional transactions (operaciones ocasionales), though this determination requires SII consultation and depends on the company's specific tax classification.

Under the Código Tributario (DFL No. 3/1969), the Formulario 2209 (Contrato de Compraventa de Vehículo) is the standardized instrument used by the SRCEI's RNVM for vehicle ownership transfer registration — parties to a company vehicle sale typically use this form or a complementary private contract. The SII also requires that the vehicle sale price comply with the arm's length standard (precio de mercado) where the buyer and seller are related parties, with deviations potentially triggering transfer pricing adjustments under Article 41-E of the Ley de Impuesto a la Renta (LIR, DL 824/1974).

For fleet sales involving vehicles subject to financial obligations — automobile leasing (leasing automotriz) or secured financing (prendas especiales de vehículos) under Ley 20.190/2007 or similar instruments — the seller must obtain creditor authorization (alzamiento de prenda or liberación de la obligación) before completing the RNVM transfer, as Article 46 of Ley 18.290 (DFL No. 1/2009) requires that the RNVM record be free of encumbrances (gravámenes) for a clean title transfer to be registered.

When Do You Need a Company Vehicle Sale Contract Chile (Contrato de Compraventa de Vehículo Empresa)?

A Company Vehicle Sale Contract Chile is needed whenever a Chilean company transfers ownership of one or more motor vehicles from its corporate fleet, whether to another business entity, an individual purchaser, a related party, or an employee.

Corporate fleet renewal: Chilean companies managing executive, commercial, or operational vehicle fleets — particularly Sociedades Anónimas (SA) under Ley 18.046/1981 or Sociedades por Acciones (SpA) under Articles 424–446 of the Código de Comercio — periodically dispose of older fleet vehicles as part of fleet renewal programs. A properly structured Contrato de Compraventa de Vehículo Empresa ensures that: the transaction is documented for SII (Servicio de Impuestos Internos) tax compliance under DL 824/1974 (Ley de Impuesto a la Renta) and DL 825/1974 (Ley del IVA); the RNVM transfer is completed within the deadlines of Ley 18.290 (DFL No. 1/2009); and the seller company is released from ongoing liability for traffic fines, insurance, and RTV obligations.

Employee vehicle purchase programs: Many Chilean companies offer employees the option to purchase their assigned company vehicle — whether under a benefit arrangement or an arm's length sale. These transactions require a Contrato de Compraventa de Vehículo Empresa that addresses the price determination under the SII's arm's length standard of Article 41-E of the LIR (DL 824/1974) when the buyer is an employee or related party, the IVA treatment of the sale, and the RNVM transfer procedure. The Dirección del Trabajo (DT) has issued guidance confirming that employer-to-employee vehicle sales conducted at market price do not constitute additional taxable compensation under the Código del Trabajo.

Mergers and corporate restructurings: Mergers (fusiones) and divisions (divisiones) of Chilean companies under Articles 99–103 of Ley 18.046/1981 may require vehicle fleet transfers as part of the asset allocation. The legal successor entity must update RNVM registrations under the vehicle transfer provisions of Ley 18.290 — a mere corporate merger does not automatically update vehicle registrations without a formal RNVM transfer inscription, potentially leaving registration records inconsistent with actual ownership.

Leasing terminations: When a Chilean company terminates a vehicle leasing agreement (contrato de leasing automotriz) governed by the Código Civil and Ley 20.190/2007, and exercises the purchase option (opción de compra), the leasing company must execute a Contrato de Compraventa de Vehículo Empresa to transfer registered ownership from the leasing entity to the exercising company — completing the RNVM transfer and resolving any outstanding prenda especial registered against the vehicle.

What to Include in Your Company Vehicle Sale Contract Chile (Contrato de Compraventa de Vehículo Empresa)

A valid Company Vehicle Sale Contract Chile under Código Civil Article 1793 and Código de Comercio Article 130 must contain the following essential elements to ensure legal enforceability and regulatory compliance:

Party Identification: Full legal identification of both seller (vendedor) and buyer (comprador), including: complete legal name; RUT (Rol Único Tributario assigned by the SII); Registro de Comercio inscription for corporate entities; registered address (domicilio social) and address for notices; and authorized signatory with valid power of attorney (mandato) under Código Civil Articles 2116–2173. For Sociedades Anónimas (SA) under Ley 18.046/1981, the signatory must have authority confirmed by a board resolution (acuerdo de directorio). For Sociedades por Acciones (SpA), the signatory must act under the authority confirmed in the company's estatutos.

Vehicle Identification: Complete identification of the vehicle(s) subject to the sale, as registered in the RNVM maintained by the SRCEI: year of manufacture; make and model (marca y modelo); vehicle type (tipo de vehículo) as classified under the Reglamento del Registro Nacional de Vehículos Motorizados; motor number (número de motor); chassis number or VIN (número de chasis / VIN — Vehicle Identification Number); license plate (patente); and current RNVM registration details including any encumbrances (gravámenes), prohibitions (prohibiciones), or prendas registered in the RNVM that must be cleared before transfer.

Purchase Price and Payment Terms: Precise statement of the purchase price (precio de compraventa) denominated in CLP (pesos chilenos) or UF (Unidades de Fomento) with the UF value referenced to the date of contract execution or the date of RNVM transfer. The contract should specify: whether the price is quoted inclusive or exclusive of IVA (19% under DL 825/1974) with the IVA treatment explained; the payment modality (cash at signing, bank transfer, installment plan with pagaré notarial under Ley 18.092/1982); payment timeline; and bank account details for wire transfer execution.

IVA and Tax Declarations: An explicit declaration by the seller regarding the IVA treatment of the sale: (a) whether the seller is classified as a habitual vehicle seller (vendedor habitual) under DL 825/1974 and is therefore required to charge 19% IVA; (b) whether the sale is an occasional transaction (operación ocasional) by a non-habitual seller and is exempt from IVA; (c) the seller's tax identification and IVA status under the SII registry; and (d) the seller's obligation to issue a boleta or factura electrónica through the SII's electronic invoicing system (Sistema de Facturación Electrónica — SFE) as required by SII Resolution Ex. No. 80/2014 and subsequent amendments.

Vehicle Condition and Warranties: Statement of the vehicle's condition at transfer (condition declarations — estado del vehículo), including: odometer reading (kilometraje) at the date of contract; known mechanical defects or damage (vicios redhibitorios under Código Civil Articles 1857–1870); current validity of mandatory technical inspection (Revisión Técnica Vehicular — RTV) under Ley 18.290; current insurance status (SOAP — Seguro Obligatorio de Accidentes Personales under Ley 20.898 and third-party insurance if applicable); and any outstanding traffic fines (multas de tránsito) registered in the Registro Nacional de Conductores or the Juzgados de Policía Local. For corporate fleet vehicles, sellers should warrant that the vehicle is free of all encumbrances (libre de gravámenes) registered in the RNVM as at the transfer date.

RNVM Transfer Procedure: Specification of the parties' respective obligations to complete the RNVM transfer inscription at the SRCEI within the deadlines of Ley 18.290 (DFL No. 1/2009), including: which party bears the cost of the Formulario 2209 (Contrato de Compraventa) notarization; the timeline for presenting the transfer documentation to the SRCEI; and post-transfer verification that the RNVM registration reflects the buyer's name and RUT as the new owner.

Every company vehicle sale should be reviewed by a licensed Chilean abogado and tax advisor (contador auditor or abogado tributarista) to confirm the correct IVA and income tax treatment and to ensure RNVM transfer compliance under Ley 18.290.

How to Fill Out Your Company Vehicle Sale Contract Chile (Contrato de Compraventa de Vehículo Empresa)

Common Mistakes to Avoid in Your Company Vehicle Sale Contract Chile (Contrato de Compraventa de Vehículo Empresa)
