El presente aviso se presenta a la Dirección General de Inversión Extranjera (DGIE) de la Secretaría de Economía a través de la Ventanilla Digital (ventanilladigital.gob.mx) en cumplimiento de los Artículos 32 a 36 de la Ley de Inversión Extranjera (LIE) y del Reglamento de la LIE publicado en el DOF el 8 de septiembre de 1998.

IV. OBLIGACIONES PERIÓDICAS RNIE

La sociedad reconoce las siguientes obligaciones de reporte ante el RNIE conforme a los Artículos 34 y 35 LIE:

a) Informes trimestrales: dentro de los 40 días hábiles siguientes al cierre de cada trimestre en que ocurra algún cambio en la participación o estructura de capital extranjero.

b) Informe anual: a más tardar el 30 de abril del ejercicio siguiente, con estados financieros del año anterior (balance general y estado de resultados) y confirmación de la estructura de capital vigente.

c) Avisos especiales: dentro de los 40 días hábiles siguientes a cualquier evento de fusión, escisión, disolución o cambio de actividad económica principal.

El incumplimiento de las obligaciones RNIE causa multas de entre 30,000 y 150,000 veces la UMA (Artículo 38 LIE), equivalentes aproximadamente a $3.26 millones y $16.3 millones de pesos en 2025, respectivamente.

What Is a Foreign Investment Registry Notice Mexico (Aviso al RNIE)?

An Aviso al Registro Nacional de Inversiones Extranjeras (RNIE) Mexico is a formal periodic notification filed by Mexican companies with foreign capital participation with the Secretaría de Economía (SE) through the Dirección General de Inversión Extranjera (DGIE), reporting the composition of foreign investment in the company, corporate structure changes, and financial data relevant to foreign direct investment (FDI) monitoring, in compliance with Artículos 32 through 36 of the Ley de Inversión Extranjera (LIE) published in the Diario Oficial de la Federación on 27 December 1993 and its Reglamento de la Ley de Inversión Extranjera y del Registro Nacional de Inversiones Extranjeras (RLIE) published in the DOF on 8 September 1998.

The RNIE is the official Mexican government registry of foreign investment in domestic companies. Artículo 32 LIE establishes the obligation for the following persons to register with the RNIE: (a) Mexican companies (sociedades mexicanas) with foreign capital participation (participación de capital extranjero), regardless of the percentage of foreign ownership; (b) foreign legal entities (personas morales extranjeras) engaged in habitual commercial acts in Mexico; (c) foreign individuals (personas físicas extranjeras) who engage in habitually commercial or business activities in Mexico with certain exceptions; and (d) legal arrangements (fideicomisos and similar structures) through which foreigners hold Mexican real estate or business interests.

Artículo 33 LIE requires registration within 40 business days of the constitution of the company or the first acquisition of foreign capital participation. Artículo 34 LIE requires quarterly updates (informes trimestrales) reporting changes in the foreign capital percentage, modifications to the corporate structure, and changes in the amount and source of foreign investment. Artículo 35 LIE requires annual reports (informes anuales) with financial data — balance sheet, income statement, and foreign capital movements — filed with the DGIE no later than April 30 of the following year for the preceding calendar year.

The LIE was enacted as Mexico's primary framework for regulating foreign direct investment in the context of NAFTA (North American Free Trade Agreement, now replaced by the USMCA — Tratado entre México, Estados Unidos y Canadá, T-MEC) and Mexico's broader trade liberalisation. The LIE establishes a regime of open access to foreign investment (principio de apertura) as the general rule, with specific restrictions (actividades reservadas) for strategic sectors: activities exclusively reserved for the Mexican State (Artículo 5 LIE — petroleum extraction and refining, nuclear energy, postal services, electricity generation); activities reserved exclusively for Mexican nationals (Artículo 6 LIE — certain ground transportation, retail petroleum products, newspapers, radio broadcasting); and activities with foreign ownership limits (Artículo 7 LIE — telecommunications 49%, air transport 25%, cooperative societies 10%, domestic banking 49% effective 2014).

The Comisión Nacional de Inversiones Extranjeras (CNIE), chaired by the Secretary of Economy and including secretaries of other relevant ministries, reviews foreign investments requiring prior authorisation (inversiones sujetas a autorización previa) under Artículo 8 LIE when they involve: acquisition of more than 49% of Mexican companies exceeding $165 million USD in total assets (monto de activos); or investments in sectors requiring prior CNIE review under Artículo 9 LIE. The Aviso al RNIE is separate from the CNIE prior authorisation process — registration in the RNIE is an ongoing reporting obligation, while CNIE authorisation is a pre-transaction requirement for qualifying investments.

When Do You Need a Foreign Investment Registry Notice Mexico (Aviso al RNIE)?

An Aviso al RNIE Mexico is required within 40 business days in multiple triggering scenarios established by the LIE and its Reglamento.

Initial registration (inscripción inicial) is required when: a Mexican company (persona moral mexicana) is constituted (incorporated) with any foreign capital participation — even 1% foreign ownership triggers the registration obligation under Artículo 33 LIE; a Mexican company that was previously 100% Mexican-owned sells shares or participaciones sociales to a foreign investor, establishing foreign capital participation for the first time; a foreign company establishes a branch (sucursal) or representative office (oficina de representación) in Mexico for commercial activities; or a fideicomiso is constituted through which a foreign investor holds real estate or business interests in Mexico.

Quarterly updates (informes trimestrales) under Artículo 34 LIE are required within 40 business days of the end of each calendar quarter when there is a change in: the percentage of foreign capital participation (for example, a secondary sale of shares between existing Mexican and foreign shareholders that alters the foreign percentage); the total number of foreign shareholders or their country of origin; the corporate name or registered address (domicilio social) of the company; the type of economic activity of the company (actividad económica principal); or the amount and nature of the foreign capital contribution (aumento o reducción de capital social).

Annual reports (informes anuales) under Artículo 35 LIE are required by April 30 each year for all registered RNIE companies — regardless of whether any changes occurred during the year — reporting the prior year's financial data (balance sheet, income statement, capital movements) and confirming current corporate structure and foreign capital percentage.

Special notifications are required for: mergers (fusiones) involving RNIE-registered companies; corporate restructurings that change the foreign ownership chain; liquidation (disolución y liquidación) of an RNIE-registered company; and any change in the ultimate beneficial owner of the foreign investment as required by the CNIE under anti-money-laundering coordination with the Unidad de Inteligencia Financiera (UIF) of the Secretaría de Hacienda y Crédito Público.

The Aviso al RNIE is also triggered when a capital increase (aumento de capital social) in an existing RNIE-registered company is subscribed by a new foreign investor or by an existing foreign investor in a proportion that changes the foreign capital percentage. Under Artículo 34 LIE, any modification to the foreign ownership percentage — whether through primary capital issuance, secondary share transfer, or conversion of debt instruments (obligaciones convertibles) into equity — must be reported in the quarterly update due within 40 business days of the end of the quarter in which the change occurred. Companies that delay RNIE updates pending resolution of a corporate transaction risk accumulating multiple late-filing violations, each subject to separate fines under Artículo 38 LIE.

What to Include in Your Foreign Investment Registry Notice Mexico (Aviso al RNIE)

A valid Aviso al RNIE Mexico under LIE Articles 32–36 and the Reglamento de la LIE must contain the following elements to satisfy the Secretaría de Economía's RNIE registration and reporting requirements.

Company Identification: Full legal name (denominación social) of the Mexican company with foreign capital, RFC (Registro Federal de Contribuyentes), RNIE registration number (número de registro RNIE assigned upon initial inscription), registered domicile (domicilio social), date of incorporation, and type of corporate entity (SA de CV, S de RL de CV, AC, SC, etc.).

Foreign Capital Structure: For each foreign investor (shareholder or partner) participating in the company's capital: full legal name or corporate name of the foreign investor; country of nationality or incorporation; type of participation (acciones, participaciones sociales, or fideicomiso beneficiary interest); number and series of shares or units held; percentage of total capital represented; and the nominal value of the investment in Mexican pesos (pesos mexicanos) and the equivalent in USD or original foreign currency. For indirect foreign investment (where a foreign company owns a Mexican company through an intermediate holding company), the full chain of ownership must be disclosed.

Economic Activity: Description of the company's principal economic activity (actividad económica) classified under the Sistema de Clasificación Industrial de América del Norte (SCIAN) code applicable to the business. The SCIAN classification determines whether the company operates in a restricted sector (actividad reservada or con límite de participación extranjera) under Articles 5–7 LIE.

Financial Data (for Annual Reports): The audited or management-prepared balance sheet (balance general) and income statement (estado de resultados) for the preceding fiscal year, expressed in Mexican pesos, showing total assets, liabilities, equity, revenues, and net profit/loss. For quarterly reports where financial data is not yet audited, management-prepared figures are accepted with a subsequent audit adjustment in the annual report.

Triggering Event Description: For notifications filed in response to a specific triggering event (share transfer, capital increase, corporate restructuring), a description of the event, the date it occurred, and supporting documentation (Asamblea de Accionistas minutes protocolised before a Notario Público, share transfer agreements, or capital subscription acts).

Electronic Filing: RNIE notifications are filed electronically through the Ventanilla Digital de la Secretaría de Economía (VD-SE) at ventanilladigital.gob.mx, using the company's digital signature (e.firma SAT) or RNIE user credentials. The system generates a digital acknowledgement (acuse de recibo electrónico) with a folio number upon successful submission. Filing fees (derechos federales) established in the Ley Federal de Derechos apply to certain RNIE procedures.

Compliance Calendar: RNIE-registered companies should maintain a standing compliance calendar tracking: the initial registration deadline (within 40 business days of incorporation or first foreign capital participation); quarterly update deadlines (within 40 business days of each quarter-end when changes occur); and the annual report deadline (April 30 each year). Missed deadlines are tracked by the DGIE's RNIE system, and companies that fall behind on multiple filing cycles accumulate separate fine exposure for each violation. Proactive voluntary late filing before the SE initiates enforcement proceedings typically results in the minimum fine band under Artículo 38 LIE.
