What Is a Administrative Trust Agreement Mexico (Acuerdo de Fideicomiso de Administración)?

An Administrative Trust Agreement Mexico (Acuerdo de Fideicomiso de Administración) is a formal legal instrument governed by Articles 381 through 414 of the Ley General de Títulos y Operaciones de Crédito (LGTOC) by which a settlor (fideicomitente) transfers assets — real property (bienes inmuebles), securities (valores), cash (efectivo), or other rights (derechos) — to a fiduciario (trustee institution) for the purpose of administering those assets for the benefit of one or more beneficiaries (fideicomisarios). The fideicomiso de administración is Mexico's most versatile trust instrument and is widely used in estate planning, corporate governance, real estate development, and public infrastructure projects.

Under Article 381 LGTOC, the fideicomiso is defined as the legal arrangement by which the fideicomitente transmits to the fiduciario the ownership (dominio) of one or more assets or rights for a specific lawful purpose (fin lícito y determinado) for the benefit of the fideicomisario. Only institutions expressly authorized by the Comisión Nacional Bancaria y de Valores (CNBV) to act as fiduciaries may serve as fiduciarios in Mexico — principally commercial banks (bancos) regulated under the Ley de Instituciones de Crédito, authorized brokerage houses (casas de bolsa), and certain insurance companies and bonding firms. Article 395 LGTOC prohibits private individuals and non-authorized entities from acting as fiduciarios, which is a fundamental difference from common-law trust systems.

The fideicomiso de administración differs from other fideicomiso types recognized under LGTOC. A fideicomiso de garantía (Articles 395–407 LGTOC) serves as collateral for a debt obligation, authorizing the fiduciario to liquidate the trust assets upon the fideicomitente-debtor's default. A fideicomiso de inversión (investment trust) manages cash or securities for yield. A fideicomiso translativo de dominio (property trust) effects a property transfer to a third party through the trust structure. The fideicomiso de administración, by contrast, is characterized by ongoing asset management — the fiduciario holds and manages the trust assets according to the fideicomiso's stated administration instructions (instrucciones de administración), distributing income (rendimientos) and ultimately the principal (patrimonio fideicomitido) to the beneficiary upon the trust's termination or per its terms.

For estate planning purposes, the fideicomiso de administración is used to hold family real estate assets, manage inherited property for minor children or incapacitated beneficiaries, structure corporate share ownership, and hold real property for foreign buyers in the zona restringida under Article 27 of the Constitución Política and the Ley de Inversión Extranjera. When used for the zona restringida, the fiduciario holds legal title (título legal) to the property while the foreign beneficiary holds the beneficial interest (derecho fideicomisario) — the beneficiary can use, sell, lease, and mortgage the property as though they were the owner.

For fiscal purposes, the fideicomiso de administración is treated as a transparent entity (entidad transparente) under Articles 13 and 187 of the Ley del Impuesto sobre la Renta (LISR) — income generated by the trust assets (rents, dividends, interest) flows through to the fideicomisario as taxable income in the period earned, not in the period distributed. The fideicomitente's contribution of assets to the trust is generally not a taxable event when the fideicomitente and fideicomisario are the same person, but may trigger ISR and ISAI when the fideicomitente contributes real property and a third party is the fideicomisario.

The fideicomiso de administración offers a critical advantage over direct ownership in Mexico's succession law context. Assets held in a fideicomiso are not part of the fideicomitente's personal estate (patrimonio personal) and therefore do not pass through the juicio sucesorio (succession proceeding) after the fideicomitente's death — they pass directly to the designated fideicomisarios under the trust's own succession provisions, without court proceedings, albacea appointment, or the delays of probate under the Código Civil Federal. In Mexico, contested succession proceedings before the Juzgado Familiar or Civil typically last two to five years, making the fideicomiso de administración a significantly more efficient succession planning tool than relying solely on a testamento for large or complex asset portfolios.

When Do You Need a Administrative Trust Agreement Mexico (Acuerdo de Fideicomiso de Administración)?

An Administrative Trust Agreement Mexico is required or recommended in the following situations:

Estate planning for real property: When a property owner (fideicomitente) wishes to hold real estate assets within a trust structure to structure orderly succession — naming children, grandchildren, or a surviving spouse as beneficiaries — and to avoid the cost and delay of the Mexican succession process (juicio sucesorio) after death. The fideicomiso de administración can specify the order of succession among multiple beneficiaries, the conditions under which distributions are made, and the management instructions applicable during the fideicomitente's lifetime.

Foreign buyer zona restringida compliance: When a foreign national wishes to purchase or hold real property within the zona restringida (50 km from coastlines, 100 km from international borders) — required by Article 27 Constitución and the Ley de Inversión Extranjera (LIE). The fiduciario bank holds legal title, and the foreign buyer is the fideicomisario with full use and benefit rights. A permit from the Secretaría de Relaciones Exteriores (SRE) under Article 11 LIE is required before establishing this type of fideicomiso.

Management of assets for minors or incapacitated persons: When a parent or guardian (tutor) wishes to achieve professional management of inherited or gifted property for a minor child (menor de edad) or incapacitated beneficiary until they reach legal age (18 years under CCF art. 23) or recover capacity, without subjecting the assets to the restrictions of the patria potestad or tutela regimes under CCF arts. 412–448.

Corporate share management: When shareholders of a Mexican company (S.A. or S. de R.L. under the Ley General de Sociedades Mercantiles — LGSM) wish to place their shares in a fideicomiso to manage succession, govern voting rights, or structure share buyback arrangements while maintaining a single registered shareholder (the fiduciario) in the Registro Público de Comercio.

Real estate investment vehicle: When a group of investors (socios or accionistas) wishes to pool capital to acquire, develop, or manage commercial or residential real property through a trust structure, separating the asset from each investor's personal balance sheet, simplifying governance, and providing a clear mechanism for distributing rental income (rendimientos de arrendamiento) to each investor in proportion to their participation in the fideicomiso.

Under LGTOC arts. 381–414, only CNBV-authorized fiduciario institutions may execute a fideicomiso in Mexico. The fideicomiso deed must be formalized through a escritura pública before a Notario Público and, if real property is involved, registered with the Registro Público de la Propiedad (RPP).

What to Include in Your Administrative Trust Agreement Mexico (Acuerdo de Fideicomiso de Administración)

A valid Administrative Trust Agreement Mexico under LGTOC arts. 381–414 must contain the following essential elements:

Identification of Parties: Full legal name, RFC, CURP (individuals), and domicile of the fideicomitente (settlor), the fiduciario (authorized trust institution — bank or authorized entity with CNBV authorization number), and the fideicomisario (beneficiary or beneficiaries). Trust Purpose (Fin del Fideicomiso): The specific lawful purpose (fin lícito y determinado) of the trust under Article 381 LGTOC — for an administration trust, this is the professional management, conservation, and productive deployment of the trust assets for the benefit of the fideicomisario, subject to any specific investment or administration instructions (instrucciones) given by the fideicomitente.

Administration Instructions (Instrucciones de Administración): Detailed instructions to the fiduciario — how trust income (rentas, dividendos, intereses) is to be managed and distributed; investment policy (política de inversión) for cash assets; maintenance obligations for real property; tenant management for rental properties; and reporting frequency (informe periódico) to the fideicomisario.

Beneficiary Rights and Distributions: The fideicomisario's rights to receive income distributions (rendimientos), to appoint a substitute beneficiary (fideicomisario sustituto) in case of death or incapacity, and to the final distribution of trust principal upon termination of the trust.

Trust Term and Termination: Under Article 394 LGTOC, fideicomisos may not exceed 50 years unless the beneficiary is a non-profit entity or a foreign land trust in the zona restringida (renewable indefinitely). The conditions for early termination (rescisión o extinción anticipada) must be specified.
