Las Partes celebran el presente contrato conforme a las siguientes cláusulas:

II. OBJETO DEL CONTRATO — SERVICIOS DE MARKETING

La Agencia se obliga a prestar al Cliente los siguientes servicios de marketing y publicidad, conforme al Artículo 2606 CCF:

III. PROPIEDAD INTELECTUAL (LFDA Y LFPPI)

La Agencia conserva en todo caso los derechos morales (derechos morales inalienables) sobre los trabajos creativos conforme al Artículo 18 de la Ley Federal del Derecho de Autor (LFDA).

La Agencia garantiza que todos los contenidos de terceros utilizados en los entregables (fotografías, música, videos, fuentes tipográficas) están debidamente licenciados o son de dominio público. La Agencia indemnizará al Cliente frente a reclamaciones de terceros por infracción de derechos de autor (LFDA Artículo 231) o marcas (LFPPI Artículos 386–402) derivadas del contenido seleccionado por la Agencia.

IV. PROTECCIÓN DE DATOS PERSONALES (LFPDPPP)

Las campañas de marketing digital que involucren la recopilación o tratamiento de datos personales de consumidores mexicanos se realizarán conforme a la Ley Federal de Protección de Datos Personales en Posesión de los Particulares (LFPDPPP, DOF 5 de julio de 2010) y los lineamientos del INAI. El Cliente actúa como responsable del tratamiento de datos (responsable); la Agencia actúa como encargado del tratamiento (encargado). La Agencia implementará las medidas de seguridad técnicas, administrativas y físicas requeridas por la LFPDPPP y sólo tratará los datos personales para los fines del presente contrato.

V. HONORARIOS, PRESUPUESTO DE MEDIOS Y PAGO

Honorario mensual de agencia: [Agency Fee], más IVA al 16% conforme a la LIVA. La Agencia emitirá CFDI por cada pago recibido conforme al Artículo 29 del CFF.

Presupuesto mensual de medios pagados: [Media Budget]. El presupuesto de medios es independiente del honorario de agencia y es responsabilidad directa del Cliente.

VII. LEY APLICABLE Y JURISDICCIÓN

El presente contrato se rige por el Código Civil Federal (CCF), la Ley Federal de Protección a la Propiedad Industrial (LFPPI), la Ley Federal del Derecho de Autor (LFDA), y la Ley Federal de Protección de Datos Personales en Posesión de los Particulares (LFPDPPP), todos de los Estados Unidos Mexicanos. Para cualquier controversia, las Partes se someten a los Juzgados de Distrito en Materia Civil Federal competentes.
