What Is a Catering Services Contract Mexico?

A Catering Services Contract Mexico (Contrato de Prestación de Servicios de Banquetes y Catering) is a written commercial agreement governed by Article 2606 of the Código Civil Federal (CCF) and the Ley Federal de Protección al Consumidor (LFPC) Article 7, by which a catering company (empresa de catering or banquetera) agrees to provide food preparation, service, staffing, and related logistical support for an event or ongoing corporate food service program to a client (contratante) in exchange for an agreed per-head price (precio por comensal) or fixed contract fee.

The legal framework for catering services in Mexico spans federal food safety, consumer protection, and labour law. The Código Civil Federal Article 2606 establishes professional services contracts as the governing form for service arrangements requiring specialised skill. The Ley Federal de Protección al Consumidor (LFPC, DOF 24 December 1992, last reformed 2022) Article 7 requires that all service providers — including catering companies — deliver services according to the characteristics, quality, and specifications agreed in writing. The Procuraduría Federal del Consumidor (PROFECO) enforces LFPC obligations and may impose administrative sanctions for failure to deliver agreed services.

Food safety regulation for catering operations in Mexico is primarily administered by the Comisión Federal para la Protección contra Riesgos Sanitarios (COFEPRIS) — a deconcentrated body of the Secretaría de Salud (SSA) — under the Ley General de Salud (LGS) and its Reglamento de Control Sanitario de Productos y Servicios. The Norma Oficial Mexicana NOM-251-SSA1-2009 (Prácticas de Higiene para el Proceso de Alimentos, Bebidas o Suplementos Alimenticios) establishes Good Manufacturing Practices (BPM — Buenas Prácticas de Manufactura) for food businesses. Catering companies must hold a Licencia Sanitaria (sanitary operating licence) from COFEPRIS or the corresponding Secretaría de Salud Estatal for their commissary kitchen. Food handlers must hold a Certificado de Manipulación de Alimentos or equivalent health card (tarjeta de salud) issued by the municipal health authority.

For alcohol service at events, the catering company or client must hold a Licencia de Venta de Bebidas Alcohólicas issued by the state or municipal government — requirements vary by state under the respective Ley de Alcoholes Estatal. The Secretaría de Gobernación (SEGOB) regulates certain aspects of alcohol distribution through the Ley Federal de Alcoholes. Events at venues (recintos) require that alcohol service comply with closing time restrictions (horarios de cierre) established by municipal reglamentos de giros mercantiles.

Labour law aspects of catering contracts involve the employment status of service staff. Permanent catering company employees are governed by the Ley Federal del Trabajo (LFT) with full IMSS, INFONAVIT, and PTU rights. Event-specific contracted workers hired as eventuales are subject to Article 37 LFT on temporary employment contracts. If the catering company provides workers for the client's permanent corporate cafeteria, the reformed outsourcing provisions of the Decreto DOF 23 April 2021 require the catering company to hold a valid REPSE registration, and the client must verify quarterly IMSS and INFONAVIT payment compliance.

For corporate catering contracts (comedores industriales) in manufacturing plants and office complexes, the Secretaría del Trabajo y Previsión Social (STPS) Norma Oficial Mexicana NOM-009-STPS-2011 on safety in food service areas within workplaces applies — including requirements for kitchen fire suppression, food handling hygiene stations, and employee dining area safety standards.

When Do You Need a Catering Services Contract Mexico?

A Catering Services Contract Mexico is required whenever a client engages a catering company to provide food and beverage services for a specific event or an ongoing corporate food service program — and is essential under LFPC Article 7 to document the agreed menu, guest count, service standards, and payment terms.

The contract is needed for corporate events (eventos corporativos) — product launches, annual shareholder meetings (asambleas de accionistas), conferences (congresos), and training seminars held at hotel banquet halls (salones de banquetes), convention centres (centros de convenciones), or company facilities in Ciudad de México, Guadalajara, Monterrey, and Cancún. A written catering contract specifying menus, minimum guest counts, service timelines, and cancellation penalties protects both the client and the catering company against last-minute changes.

Social event catering — weddings (bodas), quinceañeras, baptisms (bautizos), and graduation parties (fiestas de graduación) — represents a significant share of the Mexican catering market. These contracts require clear provisions for: guest count guarantees (garantía de comensales mínimos); menu tasting sessions (degustaciones) before the event; staff-to-guest ratios; alcohol service liability; and force majeure provisions for venue cancellations or natural disasters affecting food supply.

Corporate food service programs (comedores industriales or servicios de alimentación empresarial) for factories, hospitals, universities, and government offices require ongoing catering contracts with performance standards, nutritional requirements under the NOM-043-SSA2-2012 on healthy eating promotion, COFEPRIS compliance warranties, and REPSE verification for IMSS compliance under the reformed LFT outsourcing rules.

Public sector catering — food services for military installations, IMSS hospitals, ISSSTE (Instituto de Seguridad y Servicios Sociales de los Trabajadores del Estado) facilities, and federal government offices — requires contracts following the Ley de Adquisiciones, Arrendamientos y Servicios del Sector Público (LAASSP) procurement framework, with CompraNet (Mexico's public procurement portal) registration and formal licitación pública requirements.

The contract is also needed when the client is a food and beverage company holding Denominaciones de Origen (Tequila, Mezcal, Café de Veracruz, Queso Cotija) that requires catering services for brand events — the contract should include trademark usage restrictions to prevent the catering company from using the client's brand in its own marketing without authorisation.

What to Include in Your Catering Services Contract Mexico

A valid Catering Services Contract Mexico under the Código Civil Federal (CCF) Article 2606 and the Ley Federal de Protección al Consumidor (LFPC) Article 7 must include the following essential elements to protect both parties and comply with Mexican food safety and consumer protection law:

Identification of Parties and COFEPRIS Credentials: Full legal name, RFC, and domicilio of both the catering company (prestador del servicio) and the client (contratante). The contract should include the catering company's Licencia Sanitaria number issued by COFEPRIS or the state health authority — confirming that the company's commissary kitchen operates under a valid sanitary licence under the NOM-251-SSA1-2009 framework. For corporate catering contracts subject to outsourcing rules, the catering company's REPSE registration number under the Decreto DOF 23 April 2021.

Event Details or Service Program Description: For event catering — event name, date, venue address, event start and end times, setup (montaje) and breakdown (desmontaje) times, and minimum confirmed guest count (número de comensales garantizado). For ongoing corporate food service — service locations (comedores), service hours (horarios de servicio — desayuno, comida, cena), number of meals per day, and the contract term. The service location's kitchen facilities (instalaciones de cocina) and equipment to be provided by the client versus the catering company should be specified.

Menu and Beverage Program: Detailed written menu for each service — specifying dishes (platillos), portion sizes (gramajes por porción), cooking methods, and any allergen declarations required under the NOM-051-SCFI/SSA1-2010. Beverage service scope — non-alcoholic (aguas frescas, refrescos, café, infusiones) and alcoholic (vinos, cervezas, destilados, cocteles) — with the party responsible for obtaining the Licencia de Venta de Bebidas Alcohólicas clearly identified. Vegetarian, vegan, and special dietary accommodation procedures. Menu changes or substitutions process with the client's prior written approval requirement.

Staffing and Service Standards: Number and categories of service staff — chef ejecutivo, cocineros, meseros, barman, maître d', and personal de limpieza — assigned to the event or service program. Required staff certifications — Certificado de Manipulación de Alimentos for all food handlers. Uniform and presentation standards. Staff-to-guest ratio commitments (typically 1 server per 10–15 guests for formal service, 1 per 20–25 for buffet). The catering company's obligation to verify that staff assigned are IMSS-enrolled and hold valid health cards (tarjetas de salud).

Food Safety and COFEPRIS Compliance Warranties: The catering company's warranty that all food is prepared in compliance with the NOM-251-SSA1-2009 Good Manufacturing Practices — including cold chain maintenance (cadena de frío) for perishables, HACCP (Análisis de Peligros y Puntos Críticos de Control) protocols for high-risk foods, and temperature logging (registros de temperatura) for transport and service. The right of the client to conduct pre-event kitchen inspections and to reject food that does not meet agreed specifications.

Pricing, Deposits, and Cancellation Policy: Per-head price (precio por comensal) or total event fee in MXN with IVA (16%) stated separately and CFDI issuance obligation under CFF Article 29. Deposit schedule — typically 30–50% at contract signing and balance 7–15 days before the event. Cancellation penalties (penalidades por cancelación) on a sliding scale — for example, 100% of deposit forfeited if cancelled within 30 days, 50% if cancelled 31–60 days before, no penalty beyond 60 days. Client's right to reduce the guest count by up to 10–15% without penalty if notified by a defined deadline.

Liability for Food Safety Incidents: The catering company's liability for foodborne illness (intoxicación alimentaria) caused by food prepared under the contract, including medical expenses and PROFECO administrative sanctions resulting from verified NOM-251 violations. Exclusions for client-supplied food or beverages not prepared by the catering company. Requirement for the catering company to maintain product liability insurance (seguro de responsabilidad por productos) covering food safety incidents.

Force Majeure and Extraordinary Events: Provisions addressing COVID-19-type restrictions, venue cancellations beyond either party's control, and natural disaster impacts on food supply — specifying whether the client receives a full refund, credit, or partial refund depending on the timing and cause of the force majeure event.
