2. SCOPE OF SERVICES

The correspondent undertakes to provide the following services within the assigned territory on behalf of the principal, as instructed by mandate (encargo) in accordance with the procedure described below:

The correspondent shall: (a) maintain their professional registration and active membership in the applicable Colegio Profesional throughout the duration of this agreement; (b) hold professional liability insurance (seguro de responsabilidad civil profesional) meeting the minimum requirements of the applicable Colegio; (c) maintain strict confidentiality of all information received from the principal and the principal's clients; and (d) act independently and without conflict of interest in each mandate accepted.

5. DURATION AND TERMINATION

What Is a Correspondent Agreement Spain (Acuerdo de Corresponsalía)?

A Correspondent Agreement Spain (Acuerdo de Corresponsalía) is a formal commercial arrangement between two independent professionals, firms, or institutions — the principal (principal) and the correspondent (corresponsal) — establishing a reciprocal or unilateral representation relationship whereby one party provides professional services, referrals, or business development activities in a specific territory on behalf of the other, governed by the Código de Comercio (Real Decreto de 22 de agosto de 1885) Articles 244 through 280 on commercial agency (comisión mercantil) and agency (agencia), and supplemented by the Ley 12/1992, de 27 de mayo, sobre Contrato de Agencia (LCA), which transposed EU Directive 86/653/EEC on self-employed commercial agents into Spanish law.

The Acuerdo de Corresponsalía is widely used in three principal sectors in Spain. In the legal sector, law firms (despachos de abogados) establish corresponsalía networks to handle cross-border client matters — a Madrid firm and a Barcelona firm may act as reciprocal correspondents for litigation in each other's jurisdictions, with the correspondent handling local court filings (procura), hearings, and notarial acts before the local Juzgado or Notaría. In the financial and insurance sector, banks and insurance companies establish corresponsalía relationships for cross-border payment processing, documentary credits (créditos documentarios) under the Uniform Customs and Practice for Documentary Credits (UCP 600) published by the International Chamber of Commerce (ICC), and international wire transfers.
