SEGUNDA. — OBJETO Y ALCANCE

El Prestador se obliga a prestar servicios de mantenimiento preventivo y correctivo sobre los siguientes equipos y sistemas:

2.1. Mantenimiento Preventivo: El Prestador realizará visitas programadas de mantenimiento preventivo con frecuencia [Preventive Frequency], conforme al calendario anual acordado entre las Partes, entregando informe técnico escrito después de cada visita.

2.2. Mantenimiento Correctivo: El Prestador atenderá las fallas y averías que se presenten en los equipos objeto del contrato, con un tiempo máximo de respuesta de [SLA Response] para incidencias críticas y un tiempo máximo de resolución de [SLA Resolution].

2.3. Repuestos: [Spare Parts Responsibility]

TERCERA. — VALOR Y FORMA DE PAGO

3.1. El canon mensual por los servicios de mantenimiento es de [Monthly Fee], más IVA del 19% y las retenciones en la fuente aplicables conforme al artículo 392 del Estatuto Tributario.

3.2. El Prestador emitirá factura electrónica conforme a la Resolución DIAN 000042 de 2020 durante los primeros cinco (5) días hábiles de cada mes. El Contratante realizará el pago dentro de los quince (15) días hábiles siguientes a la recepción de la factura, previa verificación del cumplimiento de las obligaciones de seguridad social del personal del Prestador.

CUARTA. — SEGURIDAD Y SALUD EN EL TRABAJO

El Prestador se obliga a: (a) implementar y mantener un Sistema de Gestión de Seguridad y Salud en el Trabajo (SG-SST) conforme al Decreto 1072 de 2015 (artículo 2.2.4.6) y la Resolución 0312 de 2019 del Ministerio del Trabajo; (b) afiliar a todos sus trabajadores al Sistema General de Riesgos Laborales (SGRP) a través de una Administradora de Riesgos Laborales (ARL) autorizada; (c) dotar al personal del equipo de protección personal (EPP) adecuado para cada actividad; y (d) presentar mensualmente al Contratante los soportes de pago de aportes a seguridad social (EPS, AFP, ARL) de todo el personal asignado a este contrato.

QUINTA. — DURACIÓN Y TERMINACIÓN

5.1. El presente contrato tendrá una duración de [Contract Duration], contada a partir de la fecha de firma.

5.2. Cualquiera de las Partes podrá dar por terminado el contrato mediante preaviso escrito de [Termination Notice], sin que ello genere indemnización alguna, salvo que la terminación se deba a incumplimiento comprobado de la otra parte, en cuyo caso aplican los artículos 1602 y 1546 del Código Civil.

5.3. El incumplimiento reiterado del SLA (más de tres (3) incumplimientos documentados en un mes) constituye justa causa de terminación inmediata por parte del Contratante, con derecho a reembolso del canon prepagado.
