CONTRATO DE SERVICIOS DE TECNOLOGIA

CLÁUSULA 1 — PARTES

CLÁUSULA 2 — OBJETO DEL CONTRATO

El PROVEEDOR se obliga a prestar los siguientes servicios de tecnología con plena autonomía técnica, sin subordinación ni dependencia en los términos del Código Sustantivo del Trabajo:

CLÁUSULA 3 — ACUERDO DE NIVEL DE SERVICIO (SLA)

El PROVEEDOR se compromete con los siguientes niveles de servicio: Disponibilidad garantizada: [Uptime Guarantee]. Tiempo de respuesta ante incidentes críticos: [Response Time]. Horario de soporte: [Support Hours].

El incumplimiento del SLA generará créditos de servicio proporcionales al tiempo de inactividad experimentado, calculados como porcentaje de la tarifa mensual del servicio. Tres meses consecutivos de incumplimiento del SLA facultarán al CONTRATANTE para terminar el contrato sin penalización.

CLÁUSULA 4 — DURACIÓN

El presente contrato inicia el [Start Date] y termina el [End Date], salvo que sea renovado mediante acuerdo escrito de ambas partes.

CLÁUSULA 5 — HONORARIOS Y FORMA DE PAGO

El CONTRATANTE se obliga a pagar al PROVEEDOR la suma de [Total Value] pesos colombianos (COP) por los servicios descritos en la Cláusula 2. Forma de pago: [Payment Schedule].

El CONTRATANTE practicará retención en la fuente a la tarifa aplicable conforme al artículo 392 del Estatuto Tributario. El IVA del 19% aplica sobre los servicios de tecnología de conformidad con el artículo 420 del ET. El PROVEEDOR deberá expedir facturas electrónicas conforme al Decreto 358 de 2020.

El PROVEEDOR deberá acreditar el pago de la PILA (seguridad social) antes de que se procese cada factura, de conformidad con el artículo 23 de la Ley 1393 de 2010.

CLÁUSULA 6 — PROPIEDAD INTELECTUAL

Titularidad sobre los entregables a medida: [IP Ownership]. De conformidad con la Ley 23 de 1982 y la Decisión Andina 351, los derechos patrimoniales sobre los entregables personalizados se ceden según lo indicado anteriormente. Los derechos morales permanecen en cabeza del(los) autor(es) original(es).

La propiedad intelectual preexistente, las herramientas, librerías y marcos de trabajo aportados por el PROVEEDOR seguirán siendo de su propiedad y se licencian al CONTRATANTE exclusivamente para su uso con los entregables. Los componentes de código abierto se rigen por sus respectivas licencias (GPL, MIT, Apache o equivalente).

CLÁUSULA 7 — PROTECCIÓN DE DATOS PERSONALES Y CIBERSEGURIDAD

Alcance del tratamiento de datos personales: [Data Processing Scope]. Ubicación de almacenamiento de datos: [Data Localization]. El PROVEEDOR actúa como Encargado del Tratamiento en los términos del artículo 3 de la Ley 1581 de 2012 y deberá implementar las medidas de seguridad adecuadas conforme al artículo 18 de dicha ley.

El PROVEEDOR cumplirá con la Ley 1273 de 2009 (delitos informáticos) e implementará medidas de seguridad para prevenir el acceso no autorizado, la interceptación de datos y la obstrucción de sistemas. El PROVEEDOR notificará al CONTRATANTE cualquier incidente de seguridad dentro de las veinticuatro (24) horas siguientes a su detección.

Al terminar el presente contrato, el PROVEEDOR devolverá o destruirá de forma segura todos los datos personales e información confidencial en su poder, y emitirá una certificación escrita de dicha destrucción.

CLÁUSULA 8 — CONFIDENCIALIDAD

El PROVEEDOR se obliga a guardar estricta confidencialidad sobre toda información de carácter reservado, código fuente, datos del negocio, secretos empresariales (en los términos de la Ley 256 de 1996) y datos personales a los que tenga acceso durante la ejecución del contrato. Esta obligación de confidencialidad se extiende durante cinco (5) años después de la terminación del contrato.

CLÁUSULA 9 — TERMINACIÓN

El presente contrato podrá darse por terminado por: mutuo acuerdo escrito; incumplimiento grave, previo aviso escrito de quince (15) días calendario y oportunidad de subsanar; incumplimiento reiterado del SLA (tres meses consecutivos); fuerza mayor o caso fortuito conforme a los artículos 64 y 1604 del Código Civil; o terminación unilateral con preaviso escrito de treinta (30) días calendario. Ante la terminación, el PROVEEDOR entregará al CONTRATANTE todo el código fuente, la documentación y los productos del trabajo.

CLÁUSULA 10 — SOLUCIÓN DE CONTROVERSIAS

Cualquier controversia derivada del presente contrato se someterá primero a negociación directa durante treinta (30) días calendario. Si la negociación fracasa, la disputa será resuelta por un árbitro único designado por el Centro de Arbitraje y Conciliación de la Cámara de Comercio de [City], con aplicación del derecho sustancial colombiano.
