CLÁUSULA 1 — PARTES CONTRATANTES

CLÁUSULA 2 — ALCANCE DEL PROYECTO

CLÁUSULA 3 — PROCESO CREATIVO

El DISEÑADOR presentará [Concept Count] propuestas iniciales de diseño basadas en el brief creativo del CONTRATANTE. El CONTRATANTE seleccionará la propuesta preferida y entregará retroalimentación por escrito. El contrato incluye [Revision Rounds] rondas de revisiones. Las rondas adicionales de revisión se facturarán a la tarifa estándar del DISEÑADOR.

CLÁUSULA 4 — PROPIEDAD INTELECTUAL

Titularidad de la propiedad intelectual: [IP Ownership]. Conforme a la Ley 23 de 1982 y la Decisión Andina 351, los derechos patrimoniales — reproducción, comunicación pública, transformación y distribución — se tratan conforme a lo indicado. CLÁUSULA 5 — HONORARIOS Y FORMA DE PAGO

Honorarios totales del proyecto: [Total Fee] COP. Anticipo: [Advance %] a la firma del contrato. Saldo a pagar a la entrega final y aprobación de los entregables. Retención en la fuente a la tarifa aplicable conforme al Artículo 392 del Estatuto Tributario. Aplica IVA del 19%.

Los archivos fuente en formato editable (AI, PSD, INDD o equivalente) se entregarán una vez recibido el pago total. El DISEÑADOR es responsable de sus propios aportes a la seguridad social conforme al Artículo 244 de la Ley 1955 de 2019.

CLÁUSULA 6 — ENTREGA Y CRONOGRAMA

Fecha de entrega final: [Delivery Date]. El CONTRATANTE deberá entregar el brief creativo, los activos de marca y los materiales necesarios dentro de los cinco (5) días hábiles siguientes a la firma del contrato. Los retrasos en la retroalimentación o aprobaciones del cliente prorrogarán proporcionalmente el cronograma de entrega.

CLÁUSULA 7 — TERMINACIÓN

El presente contrato podrá darse por terminado por: acuerdo mutuo escrito; incumplimiento material de cualquiera de las partes con aviso escrito de diez (10) días calendario; o terminación unilateral por el CONTRATANTE, sujeto al pago de todo el trabajo ejecutado hasta la fecha de terminación. A la terminación, el CONTRATANTE recibirá los entregables completados y pagados; el trabajo inconcluso y los archivos fuente permanecerán en poder del DISEÑADOR salvo pago total.

CLÁUSULA 8 — SOLUCIÓN DE CONTROVERSIAS

Cualquier controversia derivada del presente contrato será sometida en primera instancia a negociación directa por quince (15) días calendario. Si la negociación fracasa, la controversia será resuelta por un árbitro único designado por el Centro de Arbitraje y Conciliación de la Cámara de Comercio de [City], aplicando el derecho sustancial colombiano.
