What Is a Transfer of SRL Quotas Colombia (Cesión de Cuotas SRL)?

A Transfer of SRL Quotas Colombia (Cesión de Cuotas de Sociedad de Responsabilidad Limitada) is the legal instrument through which a partner (socio) of a Sociedad de Responsabilidad Limitada (SRL/Ltda.) transfers all or part of their ownership interest (cuotas sociales) to another person — whether an existing partner or a third party — in accordance with Código de Comercio (Decreto 410 de 1971) Article 362 and the supplementary provisions of Ley 222 de 1995.

Código de Comercio Article 362 establishes the fundamental rule governing quota transfers in an SRL: the transfer of cuotas sociales requires the approval of partners representing at least 75% of the total cuotas of the company (mayoría calificada de tres cuartas partes), unless the estatutos establish a different threshold. Unlike shares (acciones) in a SAS or SA — which are freely transferable instruments under Ley 1258 de 2008 Article 13 and Código de Comercio Article 403 respectively — SRL cuotas are ownership interests that cannot be transferred without the collective consent of the partners, reflecting the intuitu personae (personal character) nature of the SRL as a partnership-like entity.

The Constitución Política de Colombia of 1991 underpins the right to transfer property interests through Article 58 (protection of private property and acquired rights) and Article 333 (freedom of enterprise), while the restriction on free transferability is justified by the association rights protected under Article 38 — partners have a legitimate interest in controlling who joins the company. Supersociedades (Superintendencia de Sociedades) has addressed numerous consultations regarding the proper procedure for SRL quota transfers through its Doctrinas Jurídicas.

The transfer procedure under Código de Comercio Article 363 requires that the ceding partner (cedente) notify the company and the remaining partners of the intended transfer. The remaining partners have a derecho de preferencia (right of first refusal) to acquire the cuotas on the same terms offered to the proposed acquirer. Only after the remaining partners decline to exercise their preferential right — or the approval threshold of 75% is met — can the transfer proceed. Código de Comercio Article 365 provides that if partners representing more than 25% oppose the transfer, the company must present a buyer acceptable to the ceding partner, or the ceding partner acquires the right to withdraw from the company (derecho de retiro) and receive reimbursement.

The transfer must be formalised through a reforma estatutaria (bylaws amendment) registered at the Cámara de Comercio, because the identity of partners and their respective cuotas are mandatory elements of the SRL's estatutos under Código de Comercio Article 110 numeral 6. The Cámara de Comercio requires the transfer document to be elevated to escritura pública (notarial deed) before a notario público when the SRL was itself constituted by escritura pública — which is mandatory for SRL formation under Código de Comercio Articles 110 and 111. The impuesto de registro under Ley 223 de 1995 Article 226 applies to the registration, calculated as a percentage of the transfer value.

Ley 222 de 1995 modernised several aspects of SRL governance, including clarifying the administrator's duties (Article 23) and the liability framework (Article 24) applicable when quota transfers result in changes to the management structure. Ley 1014 de 2006 Article 22 simplified SRL formation for companies with assets below 500 SMLMV or fewer than 10 employees, allowing constitution by documento privado — quota transfers in such companies follow the same consent requirements but may not require escritura pública for registration.

When Do You Need a Transfer of SRL Quotas Colombia (Cesión de Cuotas SRL)?

A Transfer of SRL Quotas Colombia document is needed whenever a partner in a Sociedad de Responsabilidad Limitada (Ltda.) intends to transfer ownership interests to another person, whether an existing partner, a new entrant, or a legal entity. Código de Comercio Article 362 governs the consent requirements, and Article 363 establishes the procedural framework for notification and preferential rights.

The document is required when a partner wishes to exit the company entirely by transferring all of their cuotas to one or more buyers. Unlike a SAS where shares can be freely sold subject to any estatutario restrictions, the SRL structure requires formal partner approval for every transfer under Código de Comercio Article 362, making the exit process more structured and requiring advance planning and negotiation.

A transfer document is needed when reorganising ownership within a family business structured as an SRL. Family succession planning often involves transferring cuotas from founding partners to the next generation — parents transferring cuotas to children, siblings redistributing ownership, or spouses adjusting holdings after separation. Código de Comercio Article 362 applies to all transfers, including those between family members, requiring the same 75% partner approval threshold.

The document is required when an SRL partner dies and the heirs seek to formalise their succession rights. Under Código de Comercio Article 368, the death of a partner does not automatically dissolve an SRL — the estatutos may provide for continuation with the heirs, but formalisation of the quota transfer to the estate (sucesión) or individual heirs requires a judicial or notarial succession process under Ley 1564 de 2012 (Código General del Proceso) followed by registration at the Cámara de Comercio.

A quota transfer is needed when external investors acquire an ownership position in the SRL. While the SAS has largely replaced the SRL for new company formations (Supersociedades reports over 98% of new registrations are SAS), approximately 150,000 active SRL companies remain registered in Colombia, and investment transactions involving these entities require proper quota transfer documentation.

The document is needed when partners agree to a partial transfer as part of a corporate restructuring — splitting the SRL's business into multiple entities, bringing in strategic partners, or adjusting ownership percentages to reflect new capital contributions. Partial transfers involve the same consent and registration requirements as full transfers under Código de Comercio Article 362.

A transfer is required before converting (transformando) the SRL into a SAS under Código de Comercio Article 167 when not all existing partners wish to participate in the transformed entity — dissenting partners must first transfer their cuotas before the transformation can proceed with unanimous consent.

What to Include in Your Transfer of SRL Quotas Colombia (Cesión de Cuotas SRL)

A valid Transfer of SRL Quotas Colombia document must contain specific elements mandated by Código de Comercio Articles 362 through 366 and the registration requirements of the Cámara de Comercio to confirm the transfer is legally effective against the company, the partners, and third parties.

Party Identification — Cedente (Transferor): Full legal name and cédula de ciudadanía (or cédula de extranjería/passport for foreign persons) of the partner transferring the cuotas. The cedente must be a registered partner whose cuotas are reflected in the current estatutos and Certificado de Existencia y Representación Legal issued by the Cámara de Comercio.

Party Identification — Cesionario (Transferee): Full legal name and identification of the person or entity acquiring the cuotas. For legal entities: razón social, NIT, and identification of the representante legal authorised to execute the transfer. The cesionario need not be an existing partner unless the estatutos restrict transfers exclusively to current partners.

Company Identification: Full razón social of the SRL (including the "Ltda." designation), NIT, matrícula mercantil number, and principal domicile. Under Código de Comercio Article 357, an SRL must have between two and 25 partners — the transfer must not cause the partnership to fall outside these limits.

Quotas Being Transferred: Exact number of cuotas being transferred, their nominal value, and the percentage of total capital they represent. Código de Comercio Article 354 requires cuotas to have equal value, and Article 355 provides that each partner's liability is limited to the amount of their capital contribution. The document must clearly distinguish between cuotas pagadas (paid quotas) and cuotas pendientes de pago if any exist.

Transfer Price and Payment Terms: The agreed price for the cuotas — which may differ from their nominal value — and the payment terms (lump sum, instalments, or deferred payment). The price affects the impuesto de registro calculation under Ley 223 de 1995 Article 226 and may trigger capital gains tax under Estatuto Tributario Article 300.

Partner Consent: Evidence that partners representing at least 75% of total cuotas approved the transfer under Código de Comercio Article 362, typically documented through an acta de junta de socios (partners' meeting minutes). The document must also confirm that the remaining partners were offered and declined the derecho de preferencia (right of first refusal) under Article 363.

Bylaws Amendment: Because the identity and cuotas of each partner form part of the SRL's estatutos under Código de Comercio Article 110 numeral 6, the transfer necessarily constitutes a reforma estatutaria. The document must include the amended partner listing reflecting the new ownership structure.

Every quota transfer should be reviewed by an abogado comercialista to confirm compliance with the specific estatutos of the company, the consent requirements of Código de Comercio Article 362, and any restrictions or preferential rights that may apply. The transfer must be formalised through escritura pública when the SRL was constituted by notarial deed and registered at the Cámara de Comercio to be enforceable against third parties.

Additional compliance elements for a Transfer of SRL Quotas Colombia (Cesión de Cuotas SRL) used in Colombia include: Under the Codigo de Comercio (Decreto 410 de 1971), the Camara de Comercio maintains the Registro Mercantil of Colombian companies. The Ley 1258 de 2008 governs Sociedades por Acciones Simplificadas (SAS). The Superintendencia de Sociedades supervises corporate governance.
