What Is a Annual Matrícula Mercantil Renewal Colombia (Renovación de Matrícula Mercantil)?

Annual Matrícula Mercantil Renewal Colombia (Renovación de Matrícula Mercantil) is the mandatory annual procedure through which natural person merchants (comerciantes persona natural) and legal entities (personas jurídicas) update and maintain their registration in the Registro Mercantil administered by the Cámara de Comercio. The legal obligation to renew arises from Código de Comercio Article 33, which establishes that the Matrícula Mercantil must be renewed annually and that the information registered must be kept current at all times.

Article 33 of the Código de Comercio (Decreto 410 de 1971) establishes the annual renewal obligation and sets the deadline — the Matrícula Mercantil must be renewed during the first three months of each calendar year, i.e., before March 31 of each year. The renewal covers both the registration of the merchant or company and the registration of each establishment of commerce (establecimiento de comercio) operated by the registrant.

Decree 019 de 2012 (Ley Anti-Trámites) further streamlined the renewal process by enabling merchants to complete the renewal online through the RUES (Registro Único Empresarial y Social) portal and the Ventanilla Única Empresarial (VUE), eliminating the need to visit the Cámara's physical offices in most cases. The VUE system connects the Cámara de Comercio renewal with DIAN for updating the RUT (Registro Único Tributario) and with the Ministerio del Trabajo for updating Social Security registration details.

The renewal document serves as the updated declaration of the merchant's or company's current commercial information — total assets (activos totales) for the year just ended, current commercial activities, current address, and current legal representative. The Cámara de Comercio uses the declared activos totales to calculate the renewal fee (derechos de renovación) on the sliding scale established annually by the Ministerio de Comercio, Industria y Turismo through resolution.

A renewed Matrícula Mercantil produces a new Certificado de Existencia y Representación Legal that is valid for thirty (30) days from its issuance date under Código de Comercio Article 117. This certificate is required for all formal commercial and legal transactions — banking operations, government procurement, contract execution, and judicial proceedings. Failure to renew by March 31 results in the Matrícula being classified as 'no renovada' (not renewed) by the Cámara de Comercio, a status that appears in the RUES and may alert counterparties and authorities to potential compliance issues.

When Do You Need a Annual Matrícula Mercantil Renewal Colombia (Renovación de Matrícula Mercantil)?

The Matrícula Mercantil Renewal Colombia is required every year between January 1 and March 31 for all merchants and legal entities that have an active Matrícula Mercantil with any Cámara de Comercio in Colombia. The deadline is absolute — renewals received after March 31 are late and may incur additional fees under the applicable Cámara tariff schedule.

The renewal is needed when a company or individual merchant has changed any registered information during the prior year — including changes in legal representative, registered address, commercial activities (CIIU codes), or total assets — as the renewal form requires confirming or updating all registered information.

Merchants seeking to participate in government procurement under Ley 1150 de 2007 and the Estatuto General de Contratación (Ley 80 de 1993) must present a current and renewed Matrícula Mercantil as a requirement for registration in the Registro Único de Proponentes (RUP) and for bidding on government contracts. Colombia Compra Eficiente (the national procurement agency) requires evidence of a valid and renewed Matrícula.

The renewal is required by financial institutions regulated by the Superintendencia Financiera as a condition for maintaining corporate banking relationships, renewing credit facilities, and completing annual KYC (Know Your Customer) reviews. The Cámara de Comercio de Bogotá and other Cámaras publish alerts about non-renewed entities that are visible to counterparties searching the RUES.

Employers who need to report to the Ministerio del Trabajo on their social security compliance status or who participate in public tender processes also need a current renewal to generate the updated Certificado de Existencia y Representación Legal required by these processes.

What to Include in Your Annual Matrícula Mercantil Renewal Colombia (Renovación de Matrícula Mercantil)

A valid Annual Matrícula Mercantil Renewal Colombia under Código de Comercio Article 33 and Decreto 19 de 2012 must contain the following elements for processing by the Cámara de Comercio.

Registrant Identification: Full legal name (razón social for companies, nombre completo for natural persons), current NIT or cédula de ciudadanía, current Matrícula Mercantil number (número de matrícula mercantil), and the Cámara de Comercio jurisdiction.

Confirmation or Update of Registered Information: Current registered address (domicilio registrado), current principal commercial activity (actividad principal — CIIU code), current legal representative (representante legal) with name and identification document, and any changes from the prior year's registration that must be reported as part of the renewal.

Total Assets Declaration (Declaración de Activos Totales): The total assets as of December 31 of the immediately preceding year, verified against the company's financial statements prepared under NIIF (Normas Internacionales de Información Financiera, Ley 1314 de 2009). This figure determines the renewal fee on the scale published by the Ministerio de Comercio, Industria y Turismo.

Establishments of Commerce: Confirmation or update of all registered establishments of commerce (establecimientos de comercio) — commercial name, address, activity, and any changes including new openings or closures of establishments since the last renewal.

Renewal Fee Payment: Evidence of payment (comprobante de pago) of the renewal fee (derechos de renovación de matrícula) to the Cámara de Comercio. The Cámara will not process the renewal without confirmed payment. Payments may be made online through the RUES portal or directly at Cámara offices.

Declaration Under Oath: The registrant declares under oath (bajo la gravedad del juramento) that all information provided is accurate and complete, and acknowledges that providing false information constitutes a violation of Código de Comercio Article 33 and may result in cancellation of the Matrícula and administrative sanctions.
