Paso 3 — Defina el objeto social. Describa las actividades económicas que la SpA está autorizada a realizar. El artículo 425 N° 3 del Código de Comercio permite un objeto amplio y genérico. Para SpA en sectores regulados, el objeto debe coincidir exactamente con la actividad autorizada por la Comisión para el Mercado Financiero (CMF), la Subtel o la Comisión Nacional de Energía (CNE) según corresponda.

Paso 4 — Establezca el capital y las acciones. Ingrese el capital social total de la SpA y el número de acciones en que se divide conforme al artículo 425 N° 4 del Código de Comercio. Paso 7 — Inscriba en el RES y enrole ante el SII. Tras aprobar la inscripción en el RES, el Servicio de Impuestos Internos (SII) asigna automáticamente el Rol Único Tributario (RUT) de la SpA. Dentro de los dos meses siguientes, complete el Inicio de Actividades (Formulario 4415) ante el SII para enrolarse en IVA, Impuesto de Primera Categoría y patente municipal.

La constitución de una Sociedad por Acciones (SpA) en Chile está sujeta a los siguientes requisitos legales conforme al Código de Comercio y la Ley N° 20.659:

Código de Comercio artículos 424 a 446 — Ley N° 20.190 de 2007: El párrafo 8° del Título VII del Código de Comercio, incorporado por la Ley N° 20.190 del 5 de junio de 2007 (Ley de Mercado de Capitales II o MK2), regula íntegramente a la Sociedad por Acciones. El artículo 425 establece los elementos obligatorios del acta de constitución. El artículo 424 define la SpA como persona jurídica con responsabilidad limitada al aporte de cada accionista. El artículo 436 regula la transmisión de acciones por causa de muerte.

Ley N° 20.659 de 2013 — Empresa en Un Día: Esta ley habilitó la constitución digital gratuita de SpA a través del Registro de Empresas y Sociedades (RES), eliminando la obligación de notaría, publicación en el Diario Oficial e inscripción en el Registro de Comercio del CBR para quienes optan por la vía digital. La firma electrónica simple con Clave Única es suficiente para la constitución en el portal empresas.registro.cl del Ministerio de Economía.

Ley N° 21.416 de 2022 — Directorio Unipersonal: Esta ley introdujo la figura del directorio unipersonal para la SpA, permitiendo que el único accionista actúe simultáneamente como director, administrador y representante legal sin necesidad de designar un tercero, simplificando la gobernanza de las SpA unipersonales utilizadas por emprendedores individuales.

Enrolamiento ante el SII — Formulario 4415: Dentro de los dos meses siguientes a la inscripción en el RES o la autorización notarial, la SpA debe completar el Inicio de Actividades ante el SII para obtener su RUT definitivo, enrolarse en IVA bajo el Decreto Ley N° 825/1974 e Impuesto de Primera Categoría bajo el Decreto Ley N° 824/1974, y registrar su domicilio para efectos de patente municipal bajo el Decreto Ley N° 3.063.

Impuesto de Timbres y Estampillas — Decreto Ley N° 3.475: Las aportaciones de capital en la SpA pueden estar afectas al Impuesto de Timbres y Estampillas en la tasa del 0,8% sobre el capital pagado, conforme al artículo 1° del DL N° 3.475, cuando el aporte se documenta mediante pagaré o instrumento de crédito. Las aportaciones en dinero efectivo no generan este impuesto en la constitución inicial.

Los siguientes errores son frecuentes en la constitución y administración de una SpA en Chile y pueden generar consecuencias legales o tributarias:

Error 1 — Omitir la denominación "SpA" o "Sociedad por Acciones" en la razón social. El artículo 425 N° 2 del Código de Comercio exige esta mención obligatoria. Su omisión impide la inscripción en el Registro de Empresas y Sociedades (RES) y puede generar confusión con otros tipos societarios ante el Servicio de Impuestos Internos (SII) y la Comisión para el Mercado Financiero (CMF).

Error 2 — No verificar la disponibilidad del nombre antes de redactar el acta. El portal empresas.registro.cl ofrece un buscador de homonimia gratuito. Presentar una solicitud con un nombre ya registrado genera el rechazo de la inscripción y obliga a reiniciar el proceso, perdiendo tiempo y honorarios profesionales si se usó la vía notarial.

Error 3 — No especificar las facultades del representante legal para gravar bienes raíces. El Conservador de Bienes Raíces (CBR) exige que el acta mencione expresamente la facultad para enajenar y gravar inmuebles conforme al artículo 2143 del Código Civil. Sin esta mención expresa, el CBR rechazará cualquier inscripción hipotecaria sobre bienes raíces de la SpA, impidiendo usar el inmueble como garantía de financiamiento bancario.

Error 4 — No completar el Inicio de Actividades ante el SII dentro del plazo de dos meses. La omisión de este trámite impide que la SpA emita facturas electrónicas, solicite boletas de honorarios o participe en licitaciones públicas de ChileCompra. Adicionalmente, el SII puede aplicar multas por el retraso en el inicio de actividades conforme al artículo 97 N° 1 del Código Tributario.
