El presente Poder General NO autoriza al Mandatario para: (a) enajenar, hipotecar o gravar bienes raíces de la Empresa; (b) otorgar fianzas, avales o cauciones a favor de terceros; (c) realizar donaciones de activos de la Empresa; (d) celebrar contratos de transacción o comprometer derechos litigiosos sin instrucciones escritas del Mandante; ni (e) modificar los estatutos sociales o la escritura de constitución de la Empresa. Para cualquiera de estos actos se requerirá poder especial otorgado conforme al Artículo 2143 del Código Civil.

What Is a General Power of Attorney for Company Chile (Poder General de Representación)?

General Power of Attorney for Company Chile (Poder General de Representación) is a broad mandate instrument governed by Código Civil Article 2132 and Código de Comercio Article 233, by which a Chilean company (mandante) — organized as a Sociedad por Acciones (SpA) under Código de Comercio Articles 424–446, a Sociedad de Responsabilidad Limitada (Limitada) under Ley N° 3.918, or a Sociedad Anónima (S.A.) under Ley N° 18.046 — authorizes a representative (mandatario) to administer and represent the company across the full range of its ordinary commercial operations.

Código Civil Article 2132 defines the general mandate as one that covers all acts of administration (actos de administración) — distinguishing it from the special mandate which covers only specified acts. Acts of administration include: managing existing contracts, collecting debts, paying expenses, managing bank accounts, signing routine commercial agreements within the company's ordinary business scope, and representing the company before public authorities in administrative proceedings. Critically, even the broadest general mandate does not authorize acts of alienation (actos de disposición) — selling immovable property (bienes raíces), creating mortgages (hipotecas), or donating assets — which under Código Civil Article 2143 require an explicit special mandate.

Código de Comercio Article 233 governs the commercial dimension of the mandate, providing that commercial agents (factores or dependientes) conducting all aspects of a commercial business on behalf of a principal have the authority implied by the nature of the business entrusted. When Do You Need a General Power of Attorney for Company Chile (Poder General de Representación)?

A General Power of Attorney for a Company is needed whenever a Chilean business entity must appoint a representative to manage its ongoing operations, represent it before public authorities, and execute contracts on its behalf across the full range of its ordinary commercial activities.

New company administration: Newly incorporated SpA, SRL, or S.A. entities frequently execute a General Power of Attorney to appoint their first general manager (gerente general) or executive director, enabling the representative to open corporate bank accounts at BancoEstado or Banco de Chile, register the company with the Servicio de Impuestos Internos (SII) for IVA purposes, execute the initial commercial contracts with suppliers and clients, and set up electronic billing (factura electrónica) through the SII portal.

Scope of Administration Powers (Facultades de Administración): An explicit enumeration of the administration acts the mandatario is authorized to perform on behalf of the company. Standard administration powers for a Chilean company general representative include: (a) sign commercial contracts (contratos comerciales) within the ordinary course of the company's objeto social up to a specified monetary threshold; (b) open, operate, and close bank accounts (cuentas corrientes, cuentas de ahorro, cuentas vista) at CMF-regulated financial institutions; (c) sign, endorse, and negotiate commercial paper (letras de cambio, pagarés, cheques) under the Ley N° 18.092 on Titles of Credit; (d) hire and dismiss employees (contratar y despedir trabajadores) under the Código del Trabajo (DFL N° 1 de 2002); (e) represent the company before the Servicio de Impuestos Internos (SII) for tax registration, filings, and audit procedures; (f) represent the company before the Servicio Nacional de Aduanas for import/export operations; (g) represent the company before the Dirección del Trabajo in labor inspections and proceedings; (h) represent the company before municipal authorities (municipalidades) for commercial permits (patentes comerciales) and other administrative authorizations; and (i) execute and terminate lease agreements (contratos de arrendamiento) for commercial premises up to a specified term.

Judicial Representation Powers (Facultades de Representación Judicial): If the General Power includes judicial representation (representación judicial) — authority to sue and be sued (para litigar), file court documents, accept court notifications, and authorize legal counsel — this must be expressly stated. Código Civil Article 2143 and the Código de Procedimiento Civil require explicit authorization for judicial representation. The mandate should specify whether the mandatario can appoint lawyers (abogados habilitados) on behalf of the company before the Juzgados de Letras, Cortes de Apelaciones, and the Corte Suprema de Chile.

Substitution and Delegation (Sustitución y Delegación): Whether the mandatario can sub-delegate the power, in full or in part, to third parties. Under Código Civil Article 2135, delegation requires express authorization — the General Power should specify whether delegation is permitted, to whom, for which acts, and subject to what approval requirements.

Duration and Revocation (Vigencia y Revocación): The effective date, any expiry date, and revocation mechanism. Standard Chilean practice includes a no-term clause (vigencia indefinida) revocable by written notice, with a provision specifying the effective date of revocation and notification obligations to third parties under Código Civil Articles 2163–2173.
