DIRECTOR'S SERVICE AGREEMENT

Pursuant to the Quebec Business Corporations Act (LSAQ) arts. 110–144 and the Civil Code of Quebec (CCQ)
This Director's Service Agreement ('Agreement') is entered into as of [Agreement Date] between [Corporation Name] of [Corporation Address] ('Corporation') and [Director Name] of [Director Address] ('Director').
1. APPOINTMENT AND TERM
The Corporation hereby engages the Director to serve as [Director Role] of the Corporation's Board of Directors, effective [Appointment Date].

2. DUTIES AND FIDUCIARY OBLIGATIONS
The Director shall perform their duties in accordance with the Quebec Business Corporations Act (LSAQ), the Corporation's articles of incorporation, and this Agreement. The Director's statutory duties include:
- Duty of loyalty — to act honestly and in good faith with a view to the best interests of the Corporation (LSAQ art. 119)
- Duty of care — to exercise the care, diligence, and skill of a reasonably prudent person in comparable circumstances (LSAQ art. 122)
- Duty to disclose conflicts — to declare any personal interest in contracts involving the Corporation (LSAQ art. 120) and refrain from voting thereon
- Duty of confidentiality — to protect confidential information of the Corporation during and after the term of office
3. REMUNERATION AND BENEFITS

The Corporation shall indemnify the Director against claims, liabilities, costs, and expenses arising from the good faith exercise of their duties as Director, to the maximum extent permitted by LSAQ and the Corporation's articles.
4. CONFIDENTIALITY AND NON-COMPETE
The Director agrees to keep all confidential information of the Corporation strictly confidential during and after their term. Confidential information includes financial data, business strategies, client lists, and any information designated as confidential by the Corporation.
Non-compete restriction: [Non-Compete Period] after the end of the Director's term, within [Non-Compete Territory], the Director shall not engage in activities directly competing with the Corporation's core business, in accordance with CCQ art. 2089 (which requires that such restrictions be limited in duration, territory, and activity type to be enforceable).
5. TERMINATION AND GOVERNING LAW
This Agreement terminates automatically upon expiry of the term, resignation, or removal of the Director in accordance with LSAQ and the Corporation's articles. Either party may terminate this Agreement on 30 days' written notice.
This Agreement is governed by the laws of the Province of Quebec and the Quebec Business Corporations Act (LSAQ). Any dispute shall be submitted to the courts of Quebec.
