What Is a Business Opening Notice Mexico (Aviso de Apertura de Establecimiento)?

A Business Opening Notice Mexico (Aviso de Apertura de Establecimiento or Aviso de Apertura de un Centro de Trabajo) is a written formal notification submitted by an employer (patrón or empresa) to the relevant labour, municipal, and regulatory authorities upon opening a new commercial, industrial, or service establishment in Mexico — including stores (tiendas), factories (plantas industriales), offices (oficinas), warehouses (almacenes), restaurants (restaurantes), and service centres (centros de servicio). The notice fulfils multiple simultaneous legal obligations: employer registration before the Inspección Federal del Trabajo (IFT) under the Ley Federal del Trabajo (LFT); municipal business licence application (trámite de licencia de funcionamiento) before the municipal authority (ayuntamiento or alcaldía); and employer registration before the Instituto Mexicano del Seguro Social (IMSS) under the Ley del Seguro Social (LSS).

The Ley Federal del Trabajo Article 15 establishes that intermediary employers and contracting companies must register each work centre (centro de trabajo) with the Secretaría del Trabajo y Previsión Social (STPS) — and by analogy, Article 15-A through 15-D LFT (added by the Reforma Laboral of 2012 and further amended by the 2021 Reforma en Materia de Subcontratación) extend registration obligations to all employers operating in specialised outsourcing services (servicios especializados). The STPS administers the business establishment notification system through the Inspección Federal del Trabajo (IFT), which conducts workplace inspections (inspecciones laborales) of registered establishments to verify compliance with LFT obligations including minimum wage (salario mínimo), working hours (jornada laboral), safety and health (seguridad e higiene), and employment contract requirements.

Municipal business licensing requirements are established under the Ley General de Asentamientos Humanos, Ordenamiento Territorial y Desarrollo Urbano (LGAHOTDU) and the individual municipal reglamentos de licencias de funcionamiento of each Mexican municipality. Mexico has 2,469 municipalities (municipios) each with its own business licensing requirements — in major cities, the relevant authority is the Alcaldía (in Ciudad de México's 16 demarcaciones territoriales), the Municipio's Dirección de Desarrollo Económico, or the Dirección de Licencias y Permisos. For Ciudad de México, the Sistema de Apertura Rápida de Empresas (SARE), administered through the Ventanilla Única de Gestión Empresarial (VUGE), provides a single-window process for business opening notifications under Ley de Procedimiento Administrativo de la Ciudad de México.

The Ley del Seguro Social Articles 12 through 20 require every employer (patrón) who employs one or more workers (trabajadores) subject to the LSS to register as an employer (inscripción patronal) with the IMSS within 5 business days of hiring the first employee. The employer registration (registro patronal IMSS) is distinct from but related to the business opening notice — the same establishment information (nombre comercial, dirección, actividad económica, número de trabajadores) appears in both filings. IMSS assigns the employer an IMSS employer registration number (número de registro patronal) used for all social security contribution (cuotas obrero-patronales) reporting and payment.

The Secretaría de Economía's Sistema de Información Empresarial Mexicano (SIEM) requires commercial and industrial businesses to register their establishment details annually under the Ley de Cámaras Empresariales y sus Confederaciones — this registration provides statistical information for government planning and supports business-to-business discovery. The SIEM registration is managed through the applicable industry chamber (Cámara Nacional de Comercio — CANACO, Cámara Nacional de la Industria de la Transformación — CANACINTRA, or Cámara Nacional de la Industria de Restaurantes y Alimentos Condimentados — CANIRAC) based on the business's primary economic activity.

When Do You Need a Business Opening Notice Mexico (Aviso de Apertura de Establecimiento)?

A Business Opening Notice Mexico is required whenever an employer or business owner opens a new commercial, industrial, or service establishment in Mexico — whether an entirely new business or an additional location of an existing enterprise — to comply with LFT Article 15 labour authority registration, IMSS employer registration under LSS Articles 12–20, and municipal business licence requirements.

The notice is needed when a retail business (negocio de ventas al menudeo), restaurant, service company, or manufacturing plant opens its first location. Before beginning operations, Mexican businesses must register with the municipal authority to obtain the licencia de funcionamiento (business operating licence), with STPS/Inspección Federal del Trabajo for labour law purposes, and with IMSS as a registered employer. Operating without these registrations exposes the business owner to fines and closure orders.

The document is required when an existing Mexican company opens an additional commercial location or business branch. While the employer may already be registered with IMSS and STPS at the corporate level, each new establishment (establecimiento) may require a separate municipal licence, a separate IMSS work centre (registro de centro de trabajo) notification, and registration with INFONAVIT and CONSAR (Comisión Nacional del Sistema de Ahorro para el Retiro) for the new location's workers.

The notice is necessary when a foreign company establishes its first physical place of business in Mexico — an office, distribution centre, or retail location. The opening notice triggers all initial regulatory compliance obligations including RFC registration with SAT, IMSS employer registration, municipal licensing, and STPS registration, coordinated through the applicable Ventanilla Única de Gestión Empresarial.

Under LFT art. 15, LSS arts. 12–20, and municipal licensing regulations, any business that opens a physical establishment in Mexico where workers are employed must file the applicable opening notices before commencing operations — failure to register with IMSS, STPS, and the municipal authority subjects the employer to daily fines, IMSS audits recovering unregistered worker contributions, and labour authority closure orders.

What to Include in Your Business Opening Notice Mexico (Aviso de Apertura de Establecimiento)

A valid Business Opening Notice Mexico must contain the following elements to satisfy the requirements of the Inspección Federal del Trabajo, IMSS, municipal licensing authorities, and SAT:

Employer / Business Identification: Full legal name (denominación or razón social) and RFC (Registro Federal de Contribuyentes with homoclave) of the employer entity; commercial name (nombre comercial) of the establishment if different from the legal entity name; IMSS employer registration number (número de registro patronal IMSS) if already registered; and the type of legal entity (sociedad anónima, sociedad de responsabilidad limitada, persona física con actividad empresarial, etc.).

Establishment Address and Contact: Complete physical address of the establishment — street, building number, interior unit, colonia, municipio or alcaldía, state (entidad federativa), and postal code (código postal). This address must match the domicilio fiscal registered with SAT for CFDI purposes and the IMSS-registered workplace address. Telephone and email contact for the establishment.

Economic Activity Description: Description of the establishment's primary economic activity (actividad económica principal) using the Sistema de Clasificación Industrial de América del Norte (SCIAN) codes — the SCIAN code determines the applicable IMSS employer premium (prima de riesgo de trabajo), the applicable municipal licence category, and the STPS inspection frequency. Examples: SCIAN 461110 (comercio al por menor en tiendas de abarrotes), SCIAN 722511 (restaurantes con servicio completo), SCIAN 331111 (siderurgia integral).

Workforce Data: Estimated number of permanent workers (trabajadores permanentes) and temporary workers (trabajadores eventuales) to be employed at the establishment; the estimated payroll (nómina mensual estimada) for IMSS premium calculation purposes; and whether any workers will be employed in high-risk activities (actividades de alto riesgo) under the Reglamento Federal de Seguridad y Salud en el Trabajo.

Operating Hours and Shifts: Declared operating hours (horario de funcionamiento) — relevant for municipal licensing (particularly for establishments in residential zones subject to restricted hours under municipal reglamentos de uso de suelo) and for STPS compliance with LFT Articles 59 through 68 governing working hours and shift arrangements.

Required Annexes: Copies of the RFC registration document; notarial deed (acta constitutiva protocolizada) and Registro Público de Comercio certificate for legal entities; legal representative's identity document and power of attorney; proof of fiscal domicile (comprobante de domicilio); and any sector-specific permits such as COFEPRIS sanitary licence for food establishments, SEMARNAT environmental impact licence for industrial facilities, or SEDENA/SEGOB permits for regulated activities.
