El COMISIONISTA deberá emitir el CFDI correspondiente a cada comisión devengada, conforme a los Artículos 29 y 29-A del Código Fiscal de la Federación (CFF) y las especificaciones del SAT. El IVA aplicable (16%) se adicionará al importe de la comisión conforme al Artículo 14 de la Ley del Impuesto al Valor Agregado.

IV. OBLIGACIONES DE LAS PARTES

Obligaciones del Comisionista:

a) Seguir las instrucciones del COMITENTE conforme al Artículo 279 del Código de Comercio.

b) Rendir cuentas de su gestión con la periodicidad pactada, conforme al Artículo 292 del Código de Comercio.

c) Notificar al COMITENTE de cualquier circunstancia que pueda afectar el éxito de la comisión, conforme al Artículo 281.

d) Mantener estricta confidencialidad sobre información comercial del COMITENTE conforme a la Ley Federal de Protección a la Propiedad Industrial (LFPPI).

Obligaciones del Comitente:

a) Proporcionar al COMISIONISTA toda la información, catálogos y materiales necesarios para el desempeño de la comisión.

b) Pagar las comisiones devengadas en los plazos convenidos, conforme al Artículo 304 del Código de Comercio.

c) Reembolsar al COMISIONISTA los gastos extraordinarios debidamente documentados en que incurra en la ejecución del mandato, conforme al Artículo 296 del Código de Comercio.

V. VIGENCIA Y TERMINACIÓN

Cualquiera de las partes podrá dar por terminado este contrato mediante aviso por escrito con [Preaviso]. Las comisiones devengadas antes de la fecha efectiva de terminación serán pagadas conforme a los términos pactados.

VI. LEY APLICABLE Y RESOLUCIÓN DE CONTROVERSIAS

El presente contrato se rige por el Código de Comercio de los Estados Unidos Mexicanos (Artículos 273–308) y, supletoriamente, por el Código Civil Federal. Las controversias que no se resuelvan mediante negociación directa serán sometidas a la jurisdicción de los Juzgados de Distrito en Materia Mercantil competentes, con renuncia expresa a cualquier otro fuero que pudiera corresponder a las partes por razón de su domicilio presente o futuro.

What Is a Sales Commission Agent Contract Mexico (Contrato de Comisionista)?

A Sales Commission Agent Contract Mexico (Contrato de Comisionista) is a formal commercial agreement governed by the Código de Comercio de los Estados Unidos Mexicanos, specifically Articles 273 through 308, through which a comitente (principal) appoints a comisionista (commission agent) to perform commercial acts — including selling goods, soliciting orders, or negotiating contracts — on the comitente's behalf in exchange for a commission calculated as a percentage of the value of completed transactions. The Código de Comercio, promulgated on 7 October 1889 and published in the Diario Oficial de la Federación, defines the comisión mercantil in Article 273 as the mandate applied to commerce acts, distinguishing it from the civil mandate regulated by the Código Civil Federal.

The legal relationship between comitente and comisionista is fundamentally a commercial mandate (mandato mercantil) rather than an employment relationship under the Ley Federal del Trabajo. When Do You Need a Sales Commission Agent Contract Mexico (Contrato de Comisionista)?

A Sales Commission Agent Contract Mexico is required whenever a Mexican or foreign company appoints an independent intermediary to sell its products or services within Mexican territory and compensates that intermediary through commissions rather than a fixed salary. Commission Rate and Calculation: The percentage or fixed amount of commission (tasa de comisión) applicable to each sale, the base on which commission is calculated (net revenue, gross revenue, or invoice value excluding IVA), and the specific events that trigger the commission obligation — for example, order confirmation, customer payment, or product delivery. Article 304 Código de Comercio grants the right to commission upon completion of the mandated operation; the contract may provide for advance commissions subject to clawback upon customer non-payment.

Payment Terms and CFDI Requirements: The frequency and method of commission payment (mensual, bimestral), the deadline for payment after the triggering event, and the CFDI (Comprobante Fiscal Digital por Internet) issuance obligations of the comisionista under Articles 29 and 29-A of the Código Fiscal de la Federación (CFF) and the SAT's technical specifications (Anexo 20 de la Resolución Miscelánea Fiscal). Term and Termination: The initial term of the contract (definido or indefinido), notice requirements for termination, and the consequences of early termination including any obligation to pay commissions on pipeline orders generated before termination.
