4. PROCEDIMIENTOS DE GESTIÓN / COLLECTION PROCEDURES

El Gestor cumplirá toda la normativa aplicable en materia de prácticas de cobro, incluyendo: (a) RGPD (Reglamento UE 2016/679) y Ley Orgánica 3/2018 (LOPDGDD) — sin comunicar la situación financiera del deudor a terceros sin justificación legal / RGPD and LOPDGDD — no contact with third parties about debtor financial matters without legal justification; (b) directrices de la AEPD — contacto telefónico únicamente entre las 8:00 y las 21:00 de lunes a sábado / AEPD guidance — telephone contact only between 8:00 and 21:00, Monday to Saturday; (c) Ley Orgánica 1/1982 — sin comunicaciones que constituyan acoso, amenazas o violación del honor personal / Ley Orgánica 1/1982 — no communications constituting harassment, threats, or violation of personal honour; (d) Ley General para la Defensa de los Consumidores y Usuarios (RDL 1/2007) — protecciones aplicables a los deudores consumidores / applicable protections for consumer debtors.

5. COMISIÓN Y HONORARIOS / COMMISSION AND FEES

Todos los honorarios están sujetos al 21% de IVA conforme a la Ley 37/1992 del IVA. El Gestor emitirá facturas conformes al Real Decreto 1619/2012 de obligaciones de facturación / All commission and fees are subject to 21% IVA under Ley 37/1992 del IVA. The Collector shall issue invoices compliant with Real Decreto 1619/2012 de obligaciones de facturación. Los costes adicionales — aranceles notariales, tasas judiciales, honorarios de abogado y procurador — serán reembolsados por el Acreedor contra justificantes, previa autorización conforme a los umbrales de la Cláusula 4 / Additional costs — notarial fees, court filing fees, abogado and procurador fees — shall be reimbursed by the Creditor against receipts, subject to the prior authorisation thresholds in Clause 4.

6. PROTECCIÓN DE DATOS — ACUERDO DE ENCARGADO DEL TRATAMIENTO (ART. 28 RGPD) / DATA PROTECTION — RGPD ARTICLE 28 PROCESSOR AGREEMENT

El Gestor trata datos personales de los deudores por cuenta del Acreedor y tiene por tanto la condición de encargado del tratamiento conforme al artículo 4(8) del Reglamento (UE) 2016/679 (RGPD); el Acreedor es el responsable del tratamiento / The Collector processes personal data of debtors on behalf of the Creditor and is therefore a data processor (encargado del tratamiento) under Article 4(8) of the RGPD. The Creditor is the data controller (responsable del tratamiento). Esta Cláusula constituye el acuerdo de encargado del tratamiento exigido por el artículo 28 del RGPD / This Clause constitutes the mandatory data processor agreement required by Article 28 RGPD.

El Gestor se compromete a: (a) tratar los datos personales de los deudores únicamente conforme a las instrucciones documentadas del Acreedor y exclusivamente a los efectos del recobro bajo este Contrato / process debtor personal data only in accordance with documented instructions from the Creditor and solely for the purposes of debt recovery; (b) aplicar medidas técnicas y organizativas de seguridad adecuadas conforme al artículo 32 del RGPD — controles de acceso, almacenamiento cifrado y canales de comunicación seguros / implement appropriate technical and organisational security measures under Article 32 RGPD; (c) no recurrir a sub-encargados sin autorización previa y por escrito del Acreedor / not engage sub-processors without prior written authorisation from the Creditor; (d) notificar al Acreedor cualquier violación de la seguridad de los datos personales en un plazo de 72 horas desde que tenga conocimiento de la misma (artículo 33 RGPD) / notify the Creditor of any personal data breach within 72 hours (Article 33 RGPD); (e) a la extinción del Contrato, devolver al Acreedor todos los datos personales de los deudores y suprimir o destruir de forma segura todas las copias en su posesión, aportando confirmación escrita de la supresión / upon termination, return all debtor personal data to the Creditor and delete or securely destroy all copies, providing written confirmation of deletion. La Agencia Española de Protección de Datos (AEPD) — aepd.es — ha publicado directrices específicas sobre cobros y cumplimiento del RGPD que el Gestor garantiza aplicar en sus operaciones / The AEPD — aepd.es — has issued specific guidance on debt collection and RGPD compliance which the Collector warrants it applies in its operations.

7. DURACIÓN Y RESOLUCIÓN / DURATION AND TERMINATION

El Acreedor podrá resolver este Contrato de forma inmediata mediante notificación escrita si el Gestor utiliza métodos de cobro que infrinjan la legislación aplicable, incluyendo el RGPD, la Ley Orgánica 1/1982 o las directrices de la AEPD / The Creditor may terminate this Contract immediately upon written notice if the Collector uses collection methods that violate applicable law, including RGPD, Ley Orgánica 1/1982, or AEPD guidance. A la extinción, el Gestor deberá trasladar de inmediato al Acreedor todos los expedientes de deudores, la correspondencia, los registros de pagos y los datos personales / Upon termination, the Collector must immediately transfer all debtor files, correspondence, payment records, and personal data to the Creditor.

8. LEY APLICABLE Y JURISDICCIÓN / GOVERNING LAW AND JURISDICTION

Este Contrato se rige por la legislación española, principalmente el Código Civil (arts. 1709–1739), la Ley 3/2004 de Morosidad, la Ley de Enjuiciamiento Civil (LEC 1/2000) y el Reglamento (UE) 2016/679 (RGPD) / This Contract is governed by Spanish law, principally the Código Civil (arts. 1709–1739), Ley 3/2004 de Morosidad, Ley de Enjuiciamiento Civil (LEC 1/2000), and Reglamento (UE) 2016/679 (RGPD).
