El Fotógrafo se compromete a prestar servicios profesionales de fotografía comercial conforme a este contrato, regido por los artículos 1544–1546 del Código Civil (arrendamiento de servicios) / The Photographer agrees to provide professional photography services under this contract, governed by Código Civil Articles 1544–1546 (arrendamiento de servicios).

El Fotógrafo entregará fotografías de prueba para la selección del Cliente en el plazo acordado. El Cliente seleccionará las imágenes para la edición final. Las imágenes editadas finales se entregarán en el plazo indicado / The Photographer shall deliver proof images for the Client's selection within an agreed turnaround, after which the Client shall select the images for final editing. Final edited images shall be delivered by the delivery deadline stated above.
3. PROPIEDAD INTELECTUAL Y LICENCIA DE USO / INTELLECTUAL PROPERTY AND COPYRIGHT LICENCE
El Fotógrafo, como autor de las fotografías producidas al amparo de este contrato, ostenta inicialmente todos los derechos de explotación — reproducción, distribución, comunicación pública y transformación — conforme a los artículos 17–23 de la Ley de Propiedad Intelectual (Real Decreto Legislativo 1/1996, de 12 de abril — LPI) / The Photographer, as author of the photographs produced under this contract, initially holds all patrimonial rights — including reproduction, distribution, public communication, and transformation — under Articles 17–23 of the Ley de Propiedad Intelectual (RDL 1/1996 — LPI). Las fotografías originales que reflejen las elecciones creativas personales del Fotógrafo están protegidas como obras artísticas conforme al artículo 10.1.h de la LPI por un plazo de 70 años post mortem auctoris (art. 26 LPI) / Original photographs are protected as artistic works under Article 10.1.h LPI for a term of 70 years post mortem auctoris (Article 26 LPI).

Todos los honorarios están sujetos al IVA del 21% conforme a la Ley 37/1992, de 28 de diciembre, del Impuesto sobre el Valor Añadido. Las facturas se emitirán conforme al Real Decreto 1619/2012 de obligaciones de facturación / All fees are subject to IVA at 21% under Ley 37/1992. La licencia de propiedad intelectual no surtirá efecto ni se entregarán los archivos finales hasta que se haya recibido el pago íntegro / The intellectual property licence does not take effect and final file delivery will not occur until full payment of the agreed fees has been received. En caso de pago tardío, se devengarán intereses de demora conforme a la Ley 3/2004 de Morosidad al tipo de referencia del Banco de España más 8 puntos porcentuales / In the event of late payment, statutory interest accrues under Ley 3/2004 at the Banco de España reference rate plus 8 percentage points.
5. AUTORIZACIONES DE IMAGEN Y DERECHOS DE LAS PERSONAS / MODEL RELEASES AND IMAGE RIGHTS
Autorizaciones de imagen / Model Releases: [Model Release Responsibility]. Se deben obtener autorizaciones escritas de todas las personas identificables que aparezcan en fotografías destinadas a uso comercial, conforme a la Ley Orgánica 1/1982, de 5 de mayo, de protección civil del derecho al honor, a la intimidad personal y familiar y a la propia imagen / Written model releases must be obtained from all identifiable persons appearing in photographs intended for commercial use, in compliance with Ley Orgánica 1/1982. Los menores requieren el consentimiento de sus padres o tutores / Minors require parental or guardian consent.
Las fotografías que muestren personas identificables constituyen datos personales conforme al Reglamento (UE) 2016/679 (RGPD) y la Ley Orgánica 3/2018 (LOPDGDD) / Photographs featuring identifiable individuals constitute personal data under Reglamento (UE) 2016/679 (RGPD) and Ley Orgánica 3/2018 (LOPDGDD). 6. CANCELACIÓN Y APLAZAMIENTO / CANCELLATION AND POSTPONEMENT

En caso de aplazamiento solicitado por el Cliente, el Fotógrafo procurará adaptarse a la nueva fecha según disponibilidad; los costes adicionales de desplazamiento o preproducción serán a cargo del Cliente / In the event of postponement requested by the Client, the Photographer shall endeavour to accommodate the new date subject to availability; additional travel or pre-production costs incurred by the Photographer shall be charged to the Client. Para sesiones exteriores condicionadas por el tiempo, el aplazamiento por condiciones meteorológicas adversas es posible mediante acuerdo escrito entre ambas Partes sin incurrir en gastos de cancelación / For weather-dependent outdoor shoots, postponement due to adverse weather is permitted by mutual written agreement without cancellation charges.
7. PROTECCIÓN DE DATOS / DATA PROTECTION
Cada Parte trata los datos personales de la otra como responsable del tratamiento para la ejecución de este contrato (artículo 6.1(b) del RGPD) / Each Party processes the other's personal data as data controller for the purposes of performing this contract (Article 6.1(b) RGPD). Los datos personales se conservarán durante la vigencia del contrato y durante los 4 años siguientes en cumplimiento de las obligaciones de conservación fiscal conforme a la Ley 37/1992 y el RD 1619/2012 / Personal data shall be retained for the duration of the contract and for a further 4 years consistent with tax retention obligations under Ley 37/1992 and RD 1619/2012. 8. LEY APLICABLE Y JURISDICCIÓN / GOVERNING LAW AND JURISDICTION
Este contrato se rige por la legislación española, principalmente la Ley de Propiedad Intelectual (RDL 1/1996), el Código Civil y la Ley 37/1992 del IVA / This contract is governed by Spanish law, principally the Ley de Propiedad Intelectual (RDL 1/1996), the Código Civil, and Ley 37/1992 del IVA. Los litigios no resueltos amistosamente se someterán al Juzgado de lo Mercantil o al Juzgado de Primera Instancia acordado por las Partes, o en su defecto, al de la localidad del domicilio profesional del Fotógrafo / Disputes not resolved amicably shall be submitted to the Juzgado de lo Mercantil or Juzgado de Primera Instancia of the jurisdiction agreed by the Parties, or failing agreement, the courts of the Photographer's professional domicile.

El fotógrafo debe emitir facturas conformes al IVA (facturas) de acuerdo con el Real Decreto 1619/2012 de obligaciones de facturación, indicando la descripción del servicio, la cantidad, el importe neto, el 21 % de IVA por separado y el total bruto. El fotógrafo, como autónomo, declara y paga el IVA trimestralmente a través del Modelo 303 ante la Agencia Tributaria (AEAT) y presenta un resumen anual a través del Modelo 390. El fotógrafo puede ejercer el derecho de retención — retener la entrega de los archivos editados finales hasta que se reciba el pago — como remedio contractual legítimo conforme a los principios generales del Código Civil (exceptio non adimpleti contractus — artículo 1124 CC). El Contrato de Fotografía Comercial debe establecer expresamente que las licencias de derechos de autor otorgadas al cliente no surten efecto y que la entrega de los archivos finales no se producirá hasta que se haya recibido el pago íntegro de los honorarios acordados. Si el cliente no paga tras la entrega, el fotógrafo puede reclamar la deuda mediante el procedimiento monitorio conforme a los artículos 812 a 818 de la Ley de Enjuiciamiento Civil (LEC) para reclamaciones de hasta 6.000 euros, o mediante el procedimiento civil ordinario ante el Juzgado de Primera Instancia.
