What Is a Mutual Agreement to Terminate Contract Colombia?

The Mutual Contract Termination Agreement in Colombia is the legal instrument by which all parties to an existing contract consent to ending the contractual relationship bilaterally, settling all pending rights, obligations and claims arising from the terminated contract. This agreement is grounded in Article 1602 of the Colombian Civil Code — which establishes that every contract may be dissolved by the mutual consent of the parties who entered into it — and in the general principle that whoever has the power to create a contractual obligation also has the power to extinguish it in the same manner.

Under Colombian law, termination by mutual agreement is distinct from other forms of contract extinction: unilateral resolution for breach (pursuant to Article 1546 of the Civil Code and Article 870 of the Commercial Code), termination by expiry of the agreed term, absolute or relative nullity of the contract (Articles 1741-1756 of the Civil Code), and contractually reserved unilateral withdrawal. Mutual termination is the most orderly and least contentious way to conclude a contractual relationship, because the parties simultaneously agree on the effects of termination: outstanding balances, return of assets, release of guarantees and waiver of future claims.

In labor matters, termination by mutual agreement is one of the recognized grounds for ending an employment contract under Article 61, numeral 1, of the Colombian Substantive Labor Code (Codigo Sustantivo del Trabajo, CST). In this specific context, the agreement is subject to the non-waiver limitations on minimum rights under Article 14 of the CST, and to the legality review of the Labor Inspector (Inspector de Trabajo) of the Ministry of Labor when the worker might be waiving certain and indisputable rights. The Corte Suprema de Justicia, Sala de Casacion Laboral, has held that a mutual termination that conceals an unjustified dismissal can be declared void with full indemnity payable.

The Mutual Contract Termination Agreement acquires special importance for service contracts, supply agreements, commercial lease agreements and distribution contracts, where the parties may terminate the relationship early without incurring contractual penalties, provided both agree and document it formally. The full peace-and-satisfaction clause (paz y salvo total) included in these agreements — whereby each party declares it has no pending claims against the other — is a fundamental protection against future litigation before the Centro de Arbitraje de la Camara de Comercio de Bogota or the civil circuit courts.

Mutual termination (resciliacion) differs from contractual resolution, which operates when one party breaches and the other seeks to unwind the contract with damages under Article 1546 of the Civil Code. It also differs from unilateral termination, which only proceeds when the contract expressly permits it or when the law authorizes it (such as in the employment contract with prior notice under Article 64 of the CST). Resciliacion extinguishes the contract prospectively; the parties may agree on retroactive effects through restitution of what was received when the contract has not been performed. Under Article 871 of the Commercial Code, good faith governs the entire process of contract termination in Colombian mercantile law.

When Do You Need a Mutual Agreement to Terminate Contract Colombia?

The Mutual Contract Termination Agreement is required in the following contexts under Colombian business and civil law:

Early termination of commercial lease agreements: When landlord and tenant agree to end a commercial lease before the term expires, the mutual termination agreement documents the return of the premises, its condition at handover, settlement of the deposit, and mutual paz y salvo, preventing future claims for outstanding rent or damage to the premises.

End of commercial relationship between companies: When two companies decide to terminate a distribution, supply, IT services or consulting contract before the agreed term, the termination agreement regulates inventories, data, equipment, confidential information and other assets that must be returned to the respective parties.

Dissolution of joint ventures or strategic alliances: When the members of a commercial alliance decide to dissolve the collaboration, the termination agreement settles joint accounts, distributes assets generated during the alliance and releases each party from third-party obligations assumed on behalf of the alliance.

Franchise contract termination: Early termination of a franchise contract in Colombia is subject to the provisions of the Commercial Code and the contract itself. Mutual termination is common when the franchisee and franchisor decide to part amicably, governing trademark use, software licenses and know-how during the transition period, as well as the commercial cesantia owed to the agent under Article 1324 of the Commercial Code.

Construction contract liquidation: In construction contracts, when the parties agree to terminate the work before its conclusion for budgetary, technical or scheduling reasons, the termination agreement regulates the settlement of executed work certificates, retention guarantees, material balances and liabilities for work already completed.

The mutual termination mechanism is preferred when parties wish to exit a long-term supply or distribution contract without triggering penalty clauses. By documenting the agreement before a dispute arises, parties avoid litigation costs before the Centro de Arbitraje de la Camara de Comercio de Bogota and preserve the commercial relationship for future opportunities. Under Article 61 of the CST, mutual consent is also the cleanest exit for employment contracts when both employer and employee agree.

What to Include in Your Mutual Agreement to Terminate Contract Colombia

The Mutual Contract Termination Agreement must include the following elements to be legally effective in Colombia:

Identification of the terminated contract: Precise description of the contract — type, execution date, subject matter, original parties and reference number. This identification must be unambiguous so it is clear which contract is being terminated and from which date.

Effective termination date: Clear indication of whether the contract terminates on the date the agreement is signed or on a future agreed date. This date is determinative for calculating pending obligations, proportional settlements and liabilities.

Settlement of pending obligations: Detailed table of all outstanding balances between the parties at the time of termination — payments for services rendered, refunds, compensation, agreed indemnities for early termination and any other item arising from the contract. This settlement must be complete for the subsequent paz y salvo to be effective.

Return of assets, documents and access: Restitution obligations covering physical assets (equipment, inventories, materials), documents (original contracts, certifications, records), digital access credentials (systems, corporate email, platforms), trademarks and communication materials. Deadlines and return procedures must be established.

Post-termination confidentiality: Clause extending confidentiality obligations of the original contract to the post-termination period, governing the use of confidential information acquired during contract performance in accordance with Andean Community Decision 486 of 2000 on industrial property and Articles 260-266 on trade secrets.

Peace-and-satisfaction declaration (paz y salvo): Clause in which each party expressly declares that, once the obligations established in the agreement are fulfilled, it has no pending claims against the other party arising from the terminated contract, including waivers of early-termination indemnities if the parties so agree.

Post-contractual obligations: The agreement must identify obligations that survive termination: confidentiality (typically 2-5 years), non-competition in the relevant territory and business sector (must be reasonable in time and scope to be enforceable), warranties on products or services already delivered, and reporting or technical support obligations during a transition period.
