SEXTA. — RESPONSABILIDAD DEL CEDENTE

SÉPTIMA. — DECLARACIONES Y GARANTÍAS DEL CEDENTE

EL CEDENTE declara y garantiza que:

a) El contrato objeto de cesión es válido, vigente y exigible a la fecha del presente acuerdo.

b) No existen incumplimientos, mora o controversias pendientes relacionadas con el contrato.

c) El contrato no ha sido previamente cedido ni gravado con prenda, embargo o cualquier limitación de dominio.

d) Conforme al Artículo 888 del Código de Comercio, el CEDENTE garantiza la existencia y legitimidad del crédito al tiempo de la cesión.

OCTAVA. — PROTECCIÓN DE DATOS PERSONALES

En cumplimiento de la Ley 1581 de 2012 y el Decreto 1377 de 2013, las partes autorizan el tratamiento de los datos personales contenidos en el presente acuerdo y en el contrato cedido, exclusivamente para fines de ejecución contractual y cumplimiento de obligaciones legales. La Superintendencia de Industria y Comercio (SIC) es la autoridad competente en materia de protección de datos personales.

NOVENA. — LEY APLICABLE Y RESOLUCIÓN DE CONTROVERSIAS

El presente acuerdo se rige por los Artículos 1959 a 1963 del Código Civil, los Artículos 887 a 896 del Código de Comercio, y demás disposiciones civiles y comerciales aplicables. Las controversias se someterán al Juzgado Civil del Circuito competente del domicilio del CONTRATANTE CEDIDO, previa conciliación ante un centro de conciliación autorizado conforme a la Ley 640 de 2001, o arbitraje conforme a la Ley 1563 de 2012 si las partes así lo acuerdan.

What Is a Contract Assignment Agreement Colombia (Acuerdo de Cesión de Contrato)?

A Contract Assignment Agreement Colombia (Acuerdo de Cesion de Contrato) is a tripartite legal instrument through which one party to an existing contract — the assignor (cedente) — transfers both the rights (derechos) and obligations (obligaciones) arising from that contract to a third party — the assignee (cesionario) — with the consent of the remaining original party (contratante cedido), governed by the Codigo Civil colombiano (CC) — Ley 57 de 1887, Articles 1959 through 1963, and the Codigo de Comercio (CCo) — Decreto 410 de 1971, Article 887.

The Codigo Civil regulates the assignment of contractual rights through the framework of cesion de creditos (assignment of credits) in Articles 1959 through 1963. Under CC Article 1960, the assignment of a credit (personal right) is perfected between the assignor and the assignee by the delivery of the document (titulo) evidencing the obligation. However, to be effective against the debtor (deudor cedido) and third parties, the assignment must be notified to the debtor (notificacion) or accepted by the debtor (aceptacion) under CC Article 1961. The Corte Suprema de Justicia Sala de Casacion Civil has consistently held that notification or acceptance is a requirement of enforceability (oponibilidad), not validity — the assignment is valid between cedente and cesionario from the moment of delivery of the titulo.

The Codigo de Comercio provides a more thorough framework for the assignment of commercial contracts through CCo Article 887, which permits the assignment of contracts that do not involve obligations of an intuitu personae nature (based on the personal qualities of the contracting party).
