TERCERA. — PRECIO Y CONDICIONES DE PAGO

Las obligaciones tributarias derivadas de esta operación (retención en la fuente bajo el Estatuto Tributario, IVA si aplica según la naturaleza de la operación, y ganancia ocasional o renta bajo los Artículos 299-316 del Estatuto Tributario) serán asumidas por la parte que corresponda conforme a la normativa de la DIAN vigente.

CUARTA. — ENTREGA, INSTALACIÓN Y TRANSFERENCIA DE RIESGO

QUINTA. — GARANTÍAS POR VICIOS OCULTOS Y EVICCIÓN

El VENDEDOR garantiza: (i) tener plena propiedad y dominio de la maquinaria, libre de gravámenes, prendas y limitaciones (garantía de evicción, Artículo 1893 Código Civil); (ii) que la maquinaria no presenta vicios ocultos que la hagan inútil para el uso industrial previsto (saneamiento por vicios redhibitorios, Artículos 1914-1927 Código Civil y Artículo 934 Código de Comercio). El COMPRADOR dispondrá de seis (6) meses desde la entrega para notificar cualquier vicio oculto conforme al Artículo 935 del Código de Comercio.

El COMPRADOR deberá integrar la maquinaria en su Sistema de Gestión de Seguridad y Salud en el Trabajo (SG-SST) conforme al Decreto 1072 de 2015 y la Resolución 0312 de 2019 del Ministerio de Trabajo.

SEXTA. — LEY APLICABLE Y SOLUCIÓN DE CONTROVERSIAS

Este contrato se rige por el Código de Comercio y el Código Civil de Colombia. Las controversias se resolverán primero mediante conciliación extrajudicial ante un centro de conciliación autorizado por el Ministerio de Justicia conforme a la Ley 640 de 2001, y de no lograrse acuerdo, por la jurisdicción ordinaria civil de [Execution City].
