What Is a Service Level Agreement (SLA) Chile (Acuerdo de Nivel de Servicio)?

A Service Level Agreement Chile (Acuerdo de Nivel de Servicio — SLA) is a legally binding contract governed by Article 1545 of the Código Civil of Chile (enacted 14 December 1855, in force 1 January 1857) through which a service provider (prestador de servicios) and a client (contratante) define, measure, and enforce specific, quantifiable standards of service delivery. Under Article 1545 of the Código Civil, every lawfully executed contract constitutes a law for the contracting parties (ley para los contratantes), making the service levels, KPIs, penalty mechanisms, and escalation procedures contained in a Chilean SLA as legally binding as any statutory obligation.

The legal framework governing SLAs in Chile draws primarily from the Código Civil and the Código de Comercio (enacted 23 November 1865). The Código de Comercio Article 3 defines commercial acts (actos de comercio) — when an SLA relates to a commercial service transaction, the agreement falls under both civil and commercial jurisdiction, with the Juzgados de Letras exercising first-instance jurisdiction and the Cortes de Apelaciones hearing appeals. Article 1546 of the Código Civil establishes the good faith principle (principio de buena fe), requiring parties to perform their SLA obligations not only according to the literal terms but also in accordance with the nature of the obligation and commercial custom (costumbre mercantil), as recognized under Código de Comercio Article 4.

Los acuerdos de procesamiento de datos bajo la Ley 19.628 de 28 de agosto de 1999 (Ley sobre Protección de la Vida Privada), reformada sustancialmente por la Ley 21.719/2024 que crea la Agencia de Protección de Datos Personales (ADPD), requieren que los SLA que cubren el procesamiento de datos personales incluyan disposiciones de seguridad de datos, plazos de notificación de brechas y controles de autorización de subprocesadores conforme a la Ley 19.628 reformada. When Do You Need a Service Level Agreement (SLA) Chile (Acuerdo de Nivel de Servicio)?

Party Identification: Full legal identification of both the service provider (prestador de servicios) and the client (contratante), including complete legal names, RUT (Rol Único Tributario assigned by the SII), registered addresses, and authorized signatories with valid power of attorney (mandato) under Código Civil Articles 2116–2173.
