SEXTO: SEGURIDAD Y SEGUROS

El Prestador deberá acreditar antes del inicio de los servicios: (a) Afiliación de sus trabajadores a mutualidad de seguridad bajo la Ley 16.744 (ACHS, IST o Mutual de Seguridad) o al Instituto de Seguridad Laboral (ISL); (b) Seguro de responsabilidad civil profesional vigente; (c) Registro en la Dirección del Trabajo conforme a la Ley 20.123 (empresas contratistas). El Cliente, como empresa principal bajo el Artículo 66 bis de la Ley 16.744, ejercerá los derechos de fiscalización correspondientes.

SÉPTIMO: RESPONSABILIDAD

El Prestador responde por los daños causados a los equipos por culpa de su personal durante las intervenciones de mantenimiento, conforme al estándar de culpa leve del Artículo 44 del Código Civil. El Prestador no será responsable por: (a) defectos preexistentes del equipamiento documentados al inicio del contrato; (b) daños causados por fuerza mayor (caso fortuito o fuerza mayor) bajo el Artículo 45 del Código Civil, incluyendo sismos, inundaciones o cortes de suministro eléctrico fuera de especificación; (c) daños resultantes de uso indebido de los equipos por el Cliente o sus trabajadores. La responsabilidad total del Prestador por incidente no excederá el equivalente al valor anual del contrato.

OCTAVO: PLAZO Y TÉRMINO

Cualquiera de las Partes podrá poner término al contrato mediante aviso escrito con [Termination Notice] de anticipación. En caso de incumplimiento grave de cualquiera de las Partes, la parte afectada podrá poner término inmediato al contrato.

El presente contrato se rige por la legislación chilena, en particular el Código Civil Art. 1545 y el Código de Comercio. Las controversias serán sometidas al Centro de Arbitraje y Mediación de Santiago (CAM Santiago) o a los Juzgados de Letras en lo Civil competentes conforme al Código de Procedimiento Civil.
