SÉPTIMO: CLÁUSULA PENAL

OCTAVO: TÉRMINO ANTICIPADO

Cualquiera de las Partes podrá poner término anticipado al presente contrato mediante notificación escrita con 30 días de anticipación en caso de: (a) incumplimiento grave de las obligaciones de la otra Parte; (b) insolvencia o inicio de procedimiento de liquidación conforme a la Ley 20.720; (c) pérdida de vigencia del registro de diseño industrial por falta de renovación; o (d) acuerdo mutuo por escrito. Al término, el Licenciatario cesará inmediatamente el uso del diseño y retirará del mercado los productos que lo incorporen.

What Is a Industrial Design Licence Agreement Chile (Contrato de Licencia de Diseño Industrial)?

An Industrial Design Licence Agreement Chile (Contrato de Licencia de Diseño Industrial) is a legally binding contract governed by Article 55 of Ley 19.039 of 25 January 1991 (Ley de Propiedad Industrial, substantially amended by Ley 21.355 of 2021) through which the registered owner of an industrial design (licenciante) grants another party (licenciatario) the right to exploit that design commercially — including manufacturing, importing, selling, and offering for sale products incorporating the protected design — under defined conditions, for an agreed territory and term, in exchange for royalties or other consideration. The Instituto Nacional de Propiedad Industrial (INAPI), established by Ley 20.254 of 2008 under the Ministerio de Economía, Fomento y Turismo, administers the Registro de Diseños Industriales, in which industrial design registrations and associated licence agreements may be inscribed.

Industrial designs (diseños industriales) under Chilean law protect the ornamental or aesthetic aspects of a product — its visual appearance including shape, lines, colours, contours, textures, and materials — as distinct from the technical or functional features protected by patents under Articles 32–49 of Ley 19.039. Article 55 of Ley 19.039 defines an industrial design as any combination of lines or colours or any three-dimensional form that, when incorporated or applied to a product, gives it a particular visual appearance and is capable of serving as a model or pattern for the manufacture of other products. The design must be new (nuevo) in Chile — meaning it has not been previously disclosed — and must not be determined solely by the technical function of the product.
