ARTÍCULO 1°: NOMBRE, OBJETO, DOMICILIO Y DURACIÓN

1.1 Nombre: La sociedad se denominará [Company Name].

1.3 Domicilio: La sociedad tendrá su domicilio en [Domicile], República de Chile, sin perjuicio de poder establecer agencias o sucursales en cualquier lugar del país o del extranjero.

ARTÍCULO 2°: CAPITAL Y ACCIONES

2.1 Capital Autorizado: [Authorized Capital].

2.4 Plazo de Pago: El capital suscrito deberá ser pagado [Capital Payment].

2.5 Registro de Acciones: La sociedad mantendrá un Registro de Acciones conforme al Artículo 443 del Código de Comercio, en el que se anotarán la identidad y domicilio de cada accionista, el número y clase de acciones de su titularidad, las fechas de adquisición y enajenación, y cualquier gravamen o restricción sobre las acciones.

ARTÍCULO 3°: ADMINISTRACIÓN Y REPRESENTACIÓN

ARTÍCULO 4°: JUNTA DE ACCIONISTAS Y QUÓRUM

4.1 La Junta de Accionistas es el órgano supremo de la sociedad y se regirá por el Artículo 441 del Código de Comercio y los presentes estatutos.

4.2 Quórum de Constitución: Las juntas se constituirán válidamente con accionistas que representen la mayoría absoluta de las acciones con derecho a voto en primera citación, y con cualquier número en segunda citación.

4.3 Decisiones Ordinarias: Se adoptarán por mayoría simple de las acciones con derecho a voto presentes o representadas.

4.4 Decisiones Calificadas: Las materias reservadas indicadas en el Artículo 3.4 requieren aprobación del 75% de las acciones emitidas con derecho a voto.

4.5 Resoluciones sin Reunión: Los accionistas podrán adoptar acuerdos por escrito y sin reunión presencial cuando todos los accionistas con derecho a voto expresen su conformidad por escrito o por medios electrónicos verificables, dejándose constancia en el Libro de Actas.

ARTÍCULO 6°: DISOLUCIÓN Y LIQUIDACIÓN

6.1 La sociedad se disolverá por las causales del Artículo 444 del Código de Comercio y adicionalmente por: [Dissolution Causes].

6.2 Producida la disolución, la sociedad entrará en liquidación, la que será practicada por el liquidador designado por la Junta de Accionistas. Durante la liquidación la sociedad conservará su personalidad jurídica para los efectos de su conclusión.

6.3 Concluida la liquidación, se distribuirán los activos remanentes entre los accionistas en proporción a sus derechos económicos, respetando las preferencias de las Series preferidas.

La sociedad se rige por el Código de Comercio de Chile (Arts. 424–446), la Ley 20.190, la Ley 20.659 y supletoriamente por el Código Civil. Toda controversia entre accionistas o entre un accionista y la sociedad será sometida a: [Dispute Resolution].

What Is a SpA Articles of Incorporation Chile (Estatutos SpA)?

SpA Articles of Incorporation Chile (Estatutos de Sociedad por Acciones) are the foundational constitutional document of a Sociedad por Acciones — the most versatile corporate vehicle introduced into Chilean law by Ley 20.190 of 2007 through Articles 424 to 446 of the Código de Comercio — governing the internal rules, share structure, governance framework, shareholder rights, and dissolution conditions of the company.

The estatutos SpA perform a dual legal function in Chilean corporate law. As the company's constitutional document, the estatutos define the rules by which the SpA operates internally — including shareholder meeting procedures, voting thresholds, quorum requirements for different decisions, and the scope of administrator authority.
