What Is a Shareholders Meeting Minutes Chile (Acta de Junta de Accionistas)?

The Shareholders Meeting Minutes Chile (Acta de Junta de Accionistas) is the official written record of a shareholders' assembly (junta de accionistas) of a Chilean Sociedad Anónima (SA), governed by Ley 18.046 of 1981, Articles 54 through 67, which establish the legal framework for both ordinary and extraordinary shareholders' meetings. The acta de junta de accionistas documents all procedural steps, quorum verification, agenda items (tabla), individual vote tallies, resolutions adopted, and shareholder declarations — making it the primary instrument of shareholder governance in Chilean corporate law and the definitive evidence of corporate decisions for the Conservador de Bienes Raíces, CMF, SII, and judicial proceedings.

Ley 18.046 distinguishes two fundamental types of shareholders' meetings (juntas de accionistas). The junta ordinaria de accionistas (ordinary shareholders' meeting) under Article 55 must be held annually within four months following the close of the fiscal year (ejercicio comercial). The mandatory agenda for juntas ordinarias includes: examination and approval of the annual report (memoria anual), the balance sheet (balance), and the income statement (estado de resultados); approval of the profit distribution proposal (distribución de utilidades) and declaration of the minimum dividend (dividendo mínimo obligatorio of at least 30% of net profits under Art. 78); election of the Directorio for the next term (under Art. 31); appointment of external auditors (auditores externos) for SAAs and SACs that have adopted voluntary auditing; and any other matter within the competence of the junta ordinaria under Ley 18.046.

The junta extraordinaria de accionistas (extraordinary shareholders' meeting) under Article 57 may be convened at any time by the Directorio, at the request of shareholders representing at least 10% of issued shares, or by the CMF for SAAs. Extraordinary juntas address matters outside the routine annual cycle — particularly statutory amendments (modificaciones de estatutos) requiring the two-thirds supermajority of Art. 67, capital increases, mergers and divisions (fusiones y divisiones) under Arts. 94–100, dissolution (disolución) under Art. 103, the transformation of company type (transformación social), and the approval of material related-party transactions (operaciones con partes relacionadas) referred by the Comité de Directores under Art. 50 bis for SAAs.

The CMF (Comisión para el Mercado Financiero) exercises extensive oversight of SAA shareholders' meetings under Ley 21.000 and Ley 18.045. SAAs must notify the CMF of the junta convocation through the SEIL (Sistema de Envío de Información) platform at least 15 days before the meeting date for ordinary juntas and 8 days for extraordinary juntas under CMF Norma de Carácter General N° 30. The convocation notice (aviso de convocatoria) must also be published in two newspapers of national or regional circulation under Art. 59 of Ley 18.046 — typically El Mercurio de Santiago and a regional paper. CMF inspectors may attend SAA juntas as observers under Ley 21.000 Article 18.

The Juzgados de Letras en lo Civil of the SA's registered domicile exercise first-instance jurisdiction over junta validity challenges (impugnación de acuerdos de junta) brought by shareholders under Art. 69 of Ley 18.046 — which permits shareholders who voted against a junta resolution to challenge it within 60 days if the resolution violates Ley 18.046 or the SA's estatutos. The 60-day limitation period (plazo de caducidad) is strict — courts have uniformly refused to extend it. The Corte Suprema has confirmed that procedural defects in junta convocation, quorum, or voting can ground a junta impugnation, even if the substantive resolution would have been lawful if adopted correctly.

Shareholder voting rights in Chilean SAs are structured on the one share, one vote principle under Art. 21 of Ley 18.046 — each share carries one vote unless the estatutos create shares without voting rights (acciones sin derecho a voto, limited to 25% of issued shares under Art. 21 inciso 2). Shareholders may vote in person or through a mandatario (proxy) with a written poder (power of attorney) under Art. 64 of Ley 18.046, enabling institutional investors to participate through investment fund managers (administradoras de fondos de inversión regulated by the CMF under Ley 20.712) and AFP pension funds (Administradoras de Fondos de Pensiones regulated by the Superintendencia de Pensiones under DL 3.500).

When Do You Need a Shareholders Meeting Minutes Chile (Acta de Junta de Accionistas)?

Shareholders Meeting Minutes Chile are required for every junta de accionistas of a Chilean Sociedad Anónima — whether a junta ordinaria or a junta extraordinaria. Ley 18.046 Article 72 mandates that all shareholder resolutions be documented in a signed acta, making minute preparation a legal obligation for all Chilean SAs regardless of size or share structure.

The junta ordinaria acta is required annually as the primary corporate governance document recording the approval of financial statements, profit distribution, and board elections. Banks and financial institutions regulated under DFL N° 3 require certified copies of the most recent junta ordinaria acta as part of annual credit file reviews — to confirm board composition, dividend payments, and capital structure. The SII (Servicio de Impuestos Internos) may request certified juntas ordinarias actas to verify dividend distribution amounts in connection with Impuesto Global Complementario (IGC) withholding tax audits under Article 54 of the Ley de Impuesto a la Renta.

The junta extraordinaria acta is required when shareholders approve statute amendments (modificaciones de estatutos). Article 16 of Ley 18.046 requires the board to reduce the junta extraordinaria resolution to a public deed (reducción a escritura pública) for inscription at the Conservador de Bienes Raíces and publication in the Diario Oficial. The modification escritura pública must reference the junta acta, the session date, and the quorum and vote counts that demonstrate compliance with Articles 61 and 67.

Shareholders Meeting Minutes are required when shareholders elect or re-elect directors. Banks require a certified junta acta confirming the current Directorio composition and the identity of the legal representatives (representantes legales) with full board authority. The SII requires Formulario 3239 updates supported by the junta acta when the legal representative changes. The Conservador de Bienes Raíces requires certified junta actas for inscriptions related to statutory amendments and capital modifications.

For SAAs, the junta acta is required as a supporting document for CMF hecho esencial disclosures. Material decisions adopted at the junta — including dividend declarations, capital increases, merger approvals, and material related-party transaction approvals — must be reported to the CMF through the SEIL platform within 24 hours of the junta session under Ley 18.045 Art. 9 and CMF Norma de Carácter General N° 30. The hecho esencial disclosure must include the vote tally and the exact text of the junta resolution — extracted directly from the acta.

A certified copy of the junta acta is also required when shareholders exercise the right of withdrawal (derecho a retiro) under Ley 18.046 Art. 69 — granted to shareholders who voted against certain fundamental modifications (e.g., domicile change, corporate purpose change, or dissolution) and who wish to have their shares redeemed at the weighted average market price (precio promedio ponderado) established under Art. 70 of Ley 18.046.

What to Include in Your Shareholders Meeting Minutes Chile (Acta de Junta de Accionistas)

Valid Shareholders Meeting Minutes Chile under Ley 18.046 Articles 54–72 must contain specific mandatory elements to be legally effective and to support CMF, Conservador de Bienes Raíces, SII, and banking institution requirements.

Meeting Identification: The full legal name (razón social), RUT, and registered domicile of the SA; the type of meeting (junta ordinaria or junta extraordinaria); the session number; the date, time (hora), and place of meeting; and the name of the notary public (ministro de fe) or inspector of the Directorio acting as witness. For SAAs, the CMF inspector's attendance (if any) should also be recorded.

Convocation Compliance: Confirmation that the convocation was made in accordance with Ley 18.046 Articles 58 and 59 — specifying the dates of publication of the convocation notices in the required newspapers, the notice sent to shareholders registered in the Registro de Accionistas as of the record date (fecha de corte), and the notification to the CMF through the SEIL platform for SAAs. Defects in convocation are the most common grounds for junta impugnation under Art. 69.

Shareholder Attendance and Representation: A list of all attending shareholders (by name and RUT), the number of shares held by each, the total shares represented in person, the total shares represented by proxy (mandatarios), and the aggregate percentage of total issued shares present or represented. This establishes the quorum (quórum de constitución) required under Art. 61 of Ley 18.046.

Quorum Verification: For juntas ordinarias — first call requires majority of issued voting shares; second call proceeds with any number present. For juntas extraordinarias — first call requires absolute majority of issued voting shares; second call requires at least one-third. For fundamental modifications under Art. 67 — two-thirds of total issued voting shares at first and second call.

Agenda (Tabla) Coverage: All items on the agenda addressed in order. For juntas ordinarias, the mandatory items (financial statements, dividends, elections) must be confirmed as covered. Any item not on the convocation notice cannot be validly resolved at a junta extraordinaria.

Individual Vote Tallies: For each resolution, the exact count of shares voting in favour (a favor), against (en contra), and abstaining (abstención), expressed both in absolute share numbers and as a percentage of shares present. This granular count is essential for demonstrating compliance with Art. 61 or Art. 67 supermajority requirements, and for CMF disclosure.

Resolution Text: The exact text of each resolution adopted (acuerdo), numbered sequentially. For board elections, the names, RUTs, and nationalities of each director elected, and the vote count each received, must be included. For dividend declarations, the amount per share, the record date (fecha de corte para dividendos), and the payment date must be specified.

Shareholder Declarations and Minority Dissent: Any shareholder who voted against a resolution and wishes to preserve their right to challenge under Art. 69 or exercise derecho a retiro under Art. 70 should have their dissenting vote formally recorded in the acta with the specific resolution opposed.

Signatures: Under Article 72 of Ley 18.046, the acta must be signed by the Presidente de la Junta (typically the Presidente del Directorio), the Secretario de la Junta, and any ministro de fe present (Notario Público, Inspector de la Dirección del Trabajo, or CMF inspector). The signed acta is kept in the Libro de Actas de Junta de Accionistas — a mandatory corporate book under Ley 18.046.
