What Is a Mining Rights Declaration Mexico (Declaración de Derechos Mineros)?

A Mining Rights Declaration Mexico (Declaración de Derechos Mineros) is a formal declaration submitted by the holder (titular) of a mining concession (concesión minera) or mining assignment (asignación minera) to the Secretaría de Economía (SE) — through the Dirección General de Minas (DGM) — documenting the concession holder's mining rights, obligations, production activities, annual work (trabajo anual obligatorio), and regulatory compliance status under the Ley Minera and its Reglamento. Articles 19 through 23 of the Ley Minera establish the rights and obligations of concession holders and the reporting and compliance framework within which those rights must be exercised to prevent forfeiture (nulidad or cancelación) of the concession.

Mexico's mining legal framework underwent a major reform in 2023 with the publication of the Nueva Ley Minera in the Diario Oficial de la Federación (DOF) on May 8, 2023. The 2023 reform significantly restructured the legal framework governing mineral exploration and exploitation in Mexico: it eliminated the prior category of 'concesión minera' as a perpetually renewable 50-year concession and replaced it with a two-stage system of (i) 'concesión minera de exploración' for up to 6 years (renewable once for 4 additional years), and (ii) 'concesión minera de explotación' for up to 25 years (renewable for equal additional periods). The 2023 Ley Minera also reserved lithium and strategic minerals (minerales críticos) to the Mexican State, assigning their exploitation exclusively to a newly created state-owned enterprise (empresa productiva del Estado), and tightened community consultation (consulta indígena) requirements under the Convenio 169 de la Organización Internacional del Trabajo (OIT).

Under the prior Ley Minera framework (applicable to concessions granted before the 2023 reform, which grandfathered existing concessions), Articles 19 through 23 established the rights of concession holders — including the exclusive right to explore and exploit mineral substances in the concession area, the right to dispose of extracted minerals, the right to obtain surface-use rights over the land within the concession through expropriation or negotiation with surface landowners, and the right to construct necessary infrastructure. Corresponding obligations under Articles 22 and 23 included: annual performance of the minimum work (trabajo anual mínimo) as prescribed by the SE Reglamento; annual payment of the derechos sobre minería (mining duties) under the Ley Federal de Derechos (LFD) to the SAT; filing of annual mineral production reports (informes anuales de producción) with the DGM; and compliance with environmental obligations under the Ley General del Equilibrio Ecológico y la Protección al Ambiente (LGEEPA) and with indigenous community consultation requirements under the Ley Agraria and Convenio 169 OIT.

The Registro Público Minero (RPM), administered by the DGM, is the official registry of all mining concessions, assignments, and related legal acts in Mexico. Registration in the RPM is required for the concession to have legal effect against third parties, for transfer of the concession, and for pledging the concession as collateral (prenda sobre concesión minera). The Declaración de Derechos Mineros serves as the formal instrument documenting the concession holder's rights for use in administrative proceedings before the SE, the SAT, the SEMARNAT (environmental ministry), the Registro Agrario Nacional, and in commercial and financing transactions where the mining rights are pledged or transferred.

Mexico ranks among the world's top ten mineral producers and the mining sector generates approximately 8–9% of national export revenues. The Cámara Minera de México (CAMIMEX) represents domestic and foreign mining companies and provides regulatory guidance on compliance with the Ley Minera, the Ley Federal de Derechos mining duty framework, and SEMARNAT environmental regulations. Major mining districts — Sonora, Chihuahua, Zacatecas, Durango, San Luis Potosí, and Guerrero — each have regional DGM offices (Delegaciones Regionales de la Dirección General de Minas) that process concession title applications, annual work reports, and cancellation proceedings. The Procuraduría Federal de Protección al Ambiente (PROFEPA) conducts environmental inspections of mining operations and coordinates with SEMARNAT on enforcement of environmental conditions attached to Manifestaciones de Impacto Ambiental (MIAs) and Cédulas de Operación Anual (COAs).

When Do You Need a Mining Rights Declaration Mexico (Declaración de Derechos Mineros)?

A Mining Rights Declaration Mexico is needed in a variety of administrative, regulatory, commercial, and legal contexts where a concession holder must formally document and assert their mining rights and compliance obligations.

The declaration is required for annual reporting obligations — the Ley Minera and its Reglamento require concession holders to file annual reports (informes anuales) with the DGM documenting the work performed on the concession during the prior year. Failure to perform the minimum annual work (trabajo mínimo) and to report it to the DGM within the statutory period can result in cancellation of the concession under Ley Minera Article 54. The Declaración de Derechos Mineros provides the structure for organizing and presenting this mandatory annual report.

The document is needed for mining concession transfers (cesiones de derechos mineros) — Ley Minera Article 23 allows concession holders to transfer their concession rights to third parties through a cesión de derechos registered with the Registro Público Minero. The transferring party's Declaración de Derechos Mineros demonstrates the current status of the concession (whether it is in good standing, free of cancellation proceedings, and compliant with annual work obligations) — due diligence for a mining acquisition requires review of all prior declarations and DGM inspection records.

The declaration is required for mining financing and investment transactions — Mexican and international mining finance providers (banks, streaming companies, royalty companies, private equity funds) require comprehensive documentation of the concession holder's rights and compliance status before committing capital. The declaration, together with the DGM concession title and RPM registration, forms the core documentary package for any mining financing due diligence.

For environmental impact assessment (Estudio de Impacto Ambiental — EIA) submissions to the Secretaría de Medio Ambiente y Recursos Naturales (SEMARNAT), the concession holder must document their mining rights as part of the project description required by the Reglamento de la LGEEPA en Materia de Evaluación del Impacto Ambiental. The declaration is also needed for obtaining the Cédula de Operación Anual (COA) from SEMARNAT.

For operations in lands subject to indigenous community rights or ejido and comunal agrarian rights, the concession holder must present their mining rights documentation in formal consultation (consulta previa, libre e informada) proceedings with affected communities, as required by Convenio 169 OIT, SCJN jurisprudencia, and the 2023 Ley Minera reform provisions on indigenous consultation.

What to Include in Your Mining Rights Declaration Mexico (Declaración de Derechos Mineros)

A complete Mining Rights Declaration Mexico under Ley Minera arts. 19–23 must contain the following essential elements to be effective for regulatory reporting, transfer, and financing purposes.

Concession Holder Identification: Full legal name (for individuals — persona física: CURP, RFC, INE; for legal entities — persona moral: denominación social, RFC, representante legal name and RFC, e.firma of the entity); registered address (domicilio legal); and membership in the Cámara Minera de México (CAMIMEX) or other applicable industry organization if relevant.

Concession Identification: Official title number (título de concesión minera) as assigned by the Secretaría de Economía DGM; date of issuance (fecha de expedición); term of the concession (vigencia) — start and end dates; and the type of concession (exploración or explotación under the 2023 Ley Minera framework, or the prior 50-year concession category for pre-2023 titles). Reference to the Registro Público Minero folio and inscription date.

Geographic and Technical Description: The concession's geographic location — state (entidad federativa), municipality (municipio), locality (localidad), and concession area in hectares (superficie en hectáreas). The mineral substances authorized under the concession title (sustancias minerales autorizadas). Reference to the Carta Topográfica (INEGI topographic map) sheets covering the concession area, with corresponding UTM coordinates of the concession polygon vertices as registered in the RPM.

Annual Work Compliance: Description of all exploration, exploitation, assessment, and development work performed during the reporting year in compliance with the minimum annual work (trabajo anual mínimo) established by the SE Reglamento de la Ley Minera Articles 27–30. Categories of qualifying work include: geological mapping (cartografía geológica); geochemical and geophysical surveys; drilling (perforación) with meters drilled; underground development works (obras subterráneas de desarrollo); surface development works (obras superficiales); laboratory analysis (estudios de laboratorio); and rehabilitation of prior works. Total investment in qualifying work must meet or exceed the minimum threshold for the concession area size and type.

Mineral Production Report: For exploitation concessions, the quantity of each mineral substance extracted (toneladas métricas extraídas), processed, and sold during the reporting year; the smelter, refinery, or processing facility used; and the gross sales value (valor bruto de producción) for purposes of the Derecho Especial sobre Minería (7.5% on EBITDA) and the Derecho Extraordinario sobre Minería (0.5% on gross sales of gold, silver, and platinum) under the Ley Federal de Derechos Articles 268–271.

Mining Duties Payment Record: Reference to the annual Derechos sobre Minería payments made to the SAT — the semiannual payments due January 31 and July 31 for surface area rights (derecho por hectárea), and the annual Derecho Especial sobre Minería payment. Payment receipts (líneas de captura SAT) must be attached or referenced.

Environmental and Social Compliance: Summary of SEMARNAT authorizations (MIA approval, COA certificate, NOM-120-SEMARNAT-2011 compliance for exploration), water use permits (concesiones de aguas nacionales from CONAGUA), and compliance with indigenous community consultation obligations (Convenio 169 OIT proceedings conducted, agreements reached with ejido or comunal assemblies). Any PROFEPA inspection records and corrective action plans (planes de acción correctiva) issued during the reporting period must be included when applicable.

Forms-legal.com provides this Mining Rights Declaration Mexico template as a reference guide. Mining concession holders should work with an abogado minero (mining attorney) and a geologist (geólogo) or mining engineer (ingeniero minero) licensed with the DRO (Director Responsable de Obra Minera) registry to ensure annual reports comply with Ley Minera requirements and protect against concession cancellation proceedings. The consequences of concession cancellation — loss of all invested exploration capital, inability to recover the mineral resource, and potential contractual liability to financing partners — make rigorous annual compliance documentation one of the most critical risk management obligations in the Mexican mining sector.
