3. PROPIEDAD INTELECTUAL / INTELLECTUAL PROPERTY

El contenido original — publicaciones, textos, diseños gráficos, fotografías y vídeos — creado por el Gestor para el Cliente constituye obras protegidas conforme a los artículos 10 y siguientes de la Ley de Propiedad Intelectual (Real Decreto Legislativo 1/1996 — LPI) / Original content — posts, copy, graphic designs, photographs, and videos — created by the Manager for the Client constitutes protected works under Articles 10 and following of the Ley de Propiedad Intelectual (RDL 1/1996 — LPI). Para los gestores autónomos, los derechos de autor corresponden inicialmente al creador conforme al artículo 5 de la LPI; conforme al artículo 43.2 de la LPI, los derechos no cedidos expresamente permanecen en el Gestor / For self-employed (autónomo) managers, copyright initially vests in the creator under Article 5 LPI; under Article 43.2 LPI, rights not expressly licensed remain with the Manager.

Licencia de propiedad intelectual concedida al Cliente / IP Licence Granted to Client: [IP Licence]

El Gestor garantiza que todo el contenido publicado: (a) no infringe derechos de propiedad intelectual de terceros; (b) no viola el derecho a la propia imagen de ninguna persona conforme a la Ley Orgánica 1/1982; y (c) cumple las políticas de contenido de las respectivas plataformas de redes sociales. Las imágenes de stock y materiales de terceros incorporados por el Gestor estarán debidamente licenciados / The Manager warrants that all published content: (a) does not infringe any third-party intellectual property rights; (b) does not violate any person's right to their own image (derecho a la propia imagen) under Ley Orgánica 1/1982; and (c) complies with the content policies of the respective social media platforms. Stock images and third-party materials shall be properly licensed.

4. ACCESO A CUENTAS Y SEGURIDAD / ACCOUNT ACCESS AND SECURITY

El Cliente concederá al Gestor acceso de administrador a las cuentas de redes sociales gestionadas mediante las herramientas nativas de gestión de roles de cada plataforma — Facebook Business Manager, acceso a cuenta de Instagram, roles de gestor de página de empresa en LinkedIn — sin transferir la titularidad de la cuenta principal ni las credenciales de acceso personal / The Client shall grant the Manager administrative access to the managed social media accounts using platform-native role management tools — Facebook Business Manager admin roles, Instagram account access, LinkedIn Company Page manager roles — without transferring primary account ownership or personal login credentials. El Gestor utilizará la autenticación en dos pasos para todas las cuentas gestionadas y no compartirá credenciales de acceso con terceros sin el consentimiento previo y por escrito del Cliente / The Manager shall use two-factor authentication for all managed accounts and shall not share access credentials with third parties without the Client's prior written consent.

5. HONORARIOS Y PAGO / FEES AND PAYMENT

Honorarios mensuales de gestión (neto, sin IVA) / Monthly Management Retainer (net, excluding IVA): [Monthly Retainer]

Todos los honorarios están sujetos al 21% de IVA conforme a la Ley 37/1992 del IVA / All fees are subject to 21% IVA under Ley 37/1992 del IVA. Si el Gestor es autónomo, se aplicará la retención de IRPF (actualmente el 15% para profesionales consolidados conforme a la Ley 35/2006, o el 7% durante los tres primeros años de actividad profesional); el Cliente declarará el importe retenido ante la Agencia Tributaria (AEAT) mediante el Modelo 111 trimestral y el Modelo 190 anual / If the Manager is an autónomo, IRPF retention (currently 15% for established professionals under Ley 35/2006, or 7% in the first three years of professional activity) shall be applied; the Client shall declare the retained amount to the AEAT through Modelo 111 quarterly and Modelo 190 annually. Todas las facturas cumplirán el Real Decreto 1619/2012 de obligaciones de facturación / All invoices shall comply with Real Decreto 1619/2012 de obligaciones de facturación.

En caso de pago tardío, se devengarán intereses de demora conforme a la Ley 3/2004 de Medidas de Lucha contra la Morosidad en las Operaciones Comerciales al tipo de referencia del Banco de España más 8 puntos porcentuales, sin necesidad de previo aviso / In the event of late payment, statutory interest accrues under Ley 3/2004 at the Banco de España reference rate plus 8 percentage points, without need for notice.

6. PROTECCIÓN DE DATOS — ACUERDO DE ENCARGADO DEL TRATAMIENTO (ART. 28 RGPD) / DATA PROTECTION — RGPD ARTICLE 28 PROCESSOR AGREEMENT

El Gestor trata datos personales de la audiencia, los seguidores y los clientes del Cliente al acceder a las cuentas de redes sociales, la analítica, los mensajes directos y las campañas publicitarias. El Gestor actúa como encargado del tratamiento conforme al artículo 4(8) del Reglamento (UE) 2016/679 (RGPD); el Cliente es el responsable del tratamiento / The Manager processes personal data of the Client's audience, followers, and customers when accessing social media accounts, analytics, direct messages, and advertising campaigns. The Manager acts as a data processor (encargado del tratamiento) under Article 4(8) of the RGPD; the Client is the data controller (responsable del tratamiento). Esta Cláusula constituye el acuerdo de encargado del tratamiento escrito exigido por el artículo 28 del RGPD, conforme a las exigencias de la Agencia Española de Protección de Datos (AEPD) / This Clause constitutes the written data processor agreement required by Article 28 RGPD, as required by the AEPD.

El Gestor se compromete a: (a) tratar los datos personales únicamente conforme a las instrucciones documentadas del Cliente y exclusivamente a los efectos de prestar los servicios de gestión de redes sociales bajo este Contrato / process personal data solely in accordance with the Client's documented instructions; (b) aplicar medidas técnicas y organizativas de seguridad adecuadas — contraseñas seguras, autenticación en dos pasos, almacenamiento cifrado de los datos de audiencia descargados / implement appropriate technical and organisational security measures; (c) no compartir credenciales de acceso, datos de audiencia ni datos de clientes con terceros sin la autorización previa y por escrito del Cliente / not share access credentials, audience data, or customer data with third parties without the Client's prior written authorisation; (d) notificar al Cliente cualquier violación de la seguridad de datos personales en un plazo de 24 horas desde que tenga conocimiento de la misma / notify the Client of any personal data breach within 24 hours; (e) no recurrir a sub-encargados sin el consentimiento previo y por escrito del Cliente / not engage sub-processors without the Client's prior written consent; (f) a la extinción o vencimiento de este Contrato, devolver todos los datos personales y el acceso a las cuentas al Cliente y suprimir de forma segura todas las copias de datos personales en su posesión, aportando confirmación escrita de la supresión en un plazo de 48 horas desde la fecha de entrega / upon termination or expiry, return all personal data and account access to the Client and securely delete all copies of personal data, providing written confirmation of deletion within 48 hours.

7. DURACIÓN, PREAVISO Y RESOLUCIÓN / DURATION, NOTICE, AND TERMINATION

A la extinción por cualquiera de las Partes: (a) el Gestor entregará al Cliente un archivo completo de contenidos (todo el contenido publicado y en borrador) en un plazo de 48 horas tras el vencimiento del período de preaviso / the Manager shall deliver a complete content archive to the Client within 48 hours of the notice period expiry; (b) el acceso de administrador a las cuentas del Cliente se transferirá de nuevo al Cliente y los derechos de acceso del Gestor se revocarán en un plazo de 48 horas / the Client's account admin access shall be transferred back and the Manager's access rights revoked within 48 hours; (c) las campañas publicitarias en curso se pausarán o traspasarán de forma ordenada / any advertising campaigns in progress shall be paused or handed over in an orderly manner; (d) el Gestor cumplirá todas las obligaciones de devolución y supresión de datos del RGPD establecidas en la Cláusula 6 / the Manager shall comply with all RGPD data return and deletion obligations in Clause 6. El Cliente abonará todas las facturas pendientes hasta la fecha de extinción / The Client shall pay all outstanding invoices up to the termination date.

8. LEY APLICABLE Y JURISDICCIÓN / GOVERNING LAW AND JURISDICTION

Este Contrato se rige por la legislación española, principalmente el Código Civil (art. 1544), la Ley de Propiedad Intelectual (RDL 1/1996), la Ley 34/2002 (LSSI-CE), la Ley 34/1988 de Publicidad y el Reglamento (UE) 2016/679 (RGPD) / This Contract is governed by Spanish law, principally the Código Civil (art. 1544), Ley de Propiedad Intelectual (RDL 1/1996), Ley 34/2002 (LSSI-CE), Ley 34/1988 de Publicidad, and Reglamento (UE) 2016/679 (RGPD). Los litigios se resolverán ante el Juzgado de Primera Instancia o el Juzgado de lo Mercantil de la ciudad en que esté sito el domicilio profesional del Gestor, salvo acuerdo contrario de las Partes / Disputes shall be resolved before the Juzgado de Primera Instancia or Juzgado de lo Mercantil of the city where the Manager's professional domicile is located, unless otherwise agreed by the Parties.
