Se devengarán intereses de demora al tipo de referencia del BCE más 8 puntos porcentuales conforme a la Ley 3/2004 de Medidas de Lucha contra la Morosidad. Una indemnización de 40 € por factura se devenga automáticamente conforme al artículo 8 de la Ley 3/2004.

4. OBLIGACIONES EN MATERIA DE SEGURIDAD Y SALUD LABORAL

El subcontratista cumplirá todas las obligaciones en materia de prevención de riesgos laborales conforme a la Ley 31/1995 de Prevención de Riesgos Laborales (LPRL) y el Real Decreto 1627/1997 de disposiciones mínimas de seguridad y salud en obras de construcción. El subcontratista cumplirá el Plan de Seguridad y Salud de la obra y se coordinará con el Coordinador de Seguridad y Salud.

El subcontratista garantizará que todos los trabajadores de la construcción empleados en esta subcontrata estén en posesión de la Tarjeta Profesional de la Construcción (TPC) vigente, conforme a lo exigido por el V Convenio General del Sector de la Construcción.

5. GARANTÍAS Y SEGUROS

El subcontratista garantiza los trabajos frente a defectos de acuerdo con los plazos de garantía establecidos por la Ley 38/1999 de Ordenación de la Edificación (LOE): un año para defectos de acabado, tres años para defectos que afecten a la habitabilidad y diez años para defectos estructurales. El subcontratista mantendrá un seguro de responsabilidad civil durante la ejecución de los trabajos y los correspondientes períodos de garantía.

6. SUBCONTRATACIÓN ULTERIOR

El subcontratista no podrá subcontratar ninguna parte de los presentes trabajos sin el previo consentimiento escrito del contratista principal y únicamente cuando lo permitan los límites del nivel de la cadena de subcontratación del artículo 5 de la Ley 32/2006 LSSC. Cualquier subcontratación autorizada deberá anotarse en el Libro de Subcontratación.

7. DERECHO APLICABLE

El presente contrato se rige por la legislación española, principalmente la Ley 32/2006 LSSC, el Real Decreto 1109/2007, la Ley 38/1999 LOE, la Ley 31/1995 LPRL y el Real Decreto 1627/1997. Los conflictos mercantiles se resolverán ante el Juzgado de lo Mercantil competente por razón del lugar de situación de la obra.

What Is a Subcontracting Agreement Spain (Contrato de Subcontrata)?

A Subcontracting Agreement Spain (Contrato de Subcontrata) in the construction sector is a formal contract governed principally by Ley 32/2006, de 18 de octubre, reguladora de la subcontratación en el Sector de la Construcción (LSSC) and its development regulation, Real Decreto 1109/2007, de 24 de agosto, under which a principal contractor (contratista principal) — who has contracted directly with a property developer (promotor) or public authority to perform construction works — delegates the execution of part of those works to a specialist firm or individual (subcontratista). Article 3 LSSC defines subcontracting (subcontratación) as the practice by which a contractor or subcontractor entrusts all or part of the works contracted with them to another contractor or self-employed worker (trabajador autónomo), who commits to executing those works under the direction of whoever commissions them.

The Ley 32/2006 LSSC was enacted specifically to address the serious occupational health and safety risks arising from unregulated subcontracting chains in Spain's construction industry, which has historically had one of the highest workplace fatality rates in Europe. The statute establishes maximum subcontracting chain levels (niveles de subcontratación), mandatory registration requirements for construction companies, minimum capitalization and organisational requirements, and enhanced documentation obligations designed to confirm that all firms and workers on a construction site are properly qualified, registered, and insured.

Article 5 LSSC establishes the general subcontracting chain limits. In general construction works, a maximum of three levels of subcontracting are permitted — contractor, first-level subcontractor, and second-level subcontractor. A fourth level may only be permitted in exceptional circumstances duly justified by the principal contractor and documented in the Libro de Subcontratación (Subcontracting Book). Subcontracting below the third level by a specialist subcontractor (subcontratista especializado) is subject to particularly stringent conditions under Article 5.3 LSSC.

The Registro de Empresas Acreditadas (REA) is the central registry established under Article 6 LSSC, administered by the competent labour authority of each autonomous community (consejería de trabajo). All companies acting as contractors or subcontractors in the Spanish construction sector must be registered in the REA before commencing subcontracted works. REA registration requires the company to demonstrate: productive organisation with sufficient resources (medios propios), financial stability, technical capability, and a stable core workforce — at least 30% of the company's workforce must be permanent employees under Article 4.2 LSSC. When Do You Need a Subcontracting Agreement Spain (Contrato de Subcontrata)?

A Subcontracting Agreement Spain is required whenever a principal contractor (contratista) engaged in construction, civil engineering, or building renovation works in Spain delegates part of those works to a specialist firm or self-employed worker (trabajador autónomo), creating a legally regulated subcontracting relationship under Ley 32/2006 LSSC.

A Contrato de Subcontrata is needed when a general construction contractor (empresa constructora principal) engaging in residential building (edificación residencial), infrastructure (obra civil), or commercial construction awards a specific trade to a specialist — electrical installation, plumbing, HVAC, structural steelwork, façade works — under a written subcontract formalising obligations, price, schedule, and safety responsibilities.
