What Is a Livestock Sale Agreement Colombia (Compraventa de Semovientes)?

A Livestock Sale Agreement Colombia (Contrato de Compraventa de Semovientes) is a bilateral contract governed by Código Civil (CC) Article 1857 — Ley 57 de 1887 — through which a vendedor (seller) transfers ownership of semovientes (livestock capable of self-propelled movement, including cattle, horses, mules, pigs, sheep, and goats) to a comprador (buyer) in exchange for a price in Colombian pesos. Unlike real property, semovientes are bienes muebles (movable goods) under CC Article 655, so the compraventa is perfected by agreement on the thing and the price without requiring escritura pública.

The Instituto Colombiano Agropecuario (ICA) — the national agricultural and livestock health authority created by Decreto 1562 de 1955 and restructured by Decreto 4765 de 2008 — is the central regulatory institution for livestock transactions in Colombia. The ICA administers the SINIGAN (Sistema Nacional de Identificación e Información del Ganado Bovino), the national bovine cattle registry established by Ley 914 de 2004 and regulated by Resolución ICA 3714 de 2015. Every bovine transaction in Colombia requires a guía de movilización de ganado (livestock movement permit) issued by the ICA, which accompanies the animals from the farm of origin to the farm of destination and serves as the official proof of legal ownership transfer.

Ley 914 de 2004 (Sistema Nacional de Identificación e Información del Ganado Bovino y Bufalino) established the mandatory registration of all bovine and water buffalo cattle in Colombia in the SINIGAN database. Each animal is identified by a crotal (ear tag) with a unique alphanumeric code that links to the SINIGAN record containing ownership, origin farm, vaccination status, and movement history. The ICA through Resolución 3714 de 2015 regulates the identification, registry, and movement of bovine animals, requiring that all cattle sales be accompanied by valid SINIGAN registration and guía de movilización.

Sanitary requirements under Decreto 1500 de 2007 — the national meat hygiene decree issued by the Ministerio de la Protección Social (now Ministerio de Salud y Protección Social) — establish mandatory health standards for cattle intended for slaughter. The ICA issues certificados de sanidad animal (animal health certificates) for each farm, certifying the herd's vaccination status against aftosa (foot-and-mouth disease) under the programa nacional de erradicación de aftosa, brucelosis (brucellosis), tuberculosis bovina (bovine tuberculosis), and Newcastle disease for poultry. Farms in zonas de alta o baja prevalencia (high or low prevalence zones) established by the ICA are subject to different movement and testing requirements.

The Federación Colombiana de Ganaderos (FEDEGAN) — the national cattle ranchers' federation — operates the Fondo Nacional del Ganado (FNG), which collects the contribución parafiscal ganadera (livestock parafiscal contribution) under Ley 89 de 1993. The contribución is calculated on the commercial value of cattle sold and is collected by the buyer on behalf of the seller at the time of the transaction. The buyer withholds and remits the contribution to FEDEGAN. Failure to pay the contribución parafiscal can result in administrative sanctions under Ley 89 de 1993 Article 8.

The Código de Comercio (CCo — Decreto 410 de 1971) Articles 905 through 940 regulate commercial sale contracts when either party is a comerciante (merchant) — such as a cattle dealer, livestock auction house (subastadora de ganado), or meat processing company. Commercial livestock sales generate obligations regarding warranties against hidden defects under CCo Article 934, right of inspection before acceptance under CCo Article 923, and seller's obligations regarding the condition of the animals at delivery.

For equine (horse) transactions, the Ministerio de Agricultura y Desarrollo Rural and the ICA regulate horse health certificates and movement permits. Horses are identified by passport equino (equine passport) under ICA regulations. Porcine (pig) transactions are subject to ICA sanitary requirements under the marco normativo de porcicultura, with movement permits required and African swine fever surveillance protocols applicable.

The compraventa de semovientes frequently coexists with contracts for the productive use of land — arrendamiento de predio rural (rural land lease), aparcería (sharecropping under CC Articles 2199-2212), or contrato de compañía ganadera (livestock partnership) — where the buyer purchases the animals to place them on leased or shared land for productive exploitation.

When Do You Need a Livestock Sale Agreement Colombia (Compraventa de Semovientes)?

A Livestock Sale Agreement Colombia is needed whenever cattle, horses, pigs, sheep, goats, mules, or other semovientes are sold between private individuals or between a farmer and a livestock dealer within Colombian territory. Under CC Article 1857, the sale of movable property including semovientes is perfected by consent, but the ICA requires a guía de movilización to accompany every livestock movement, making a written sale agreement essential for compliance with Resolución ICA 3714 de 2015 and Ley 914 de 2004.

The agreement is needed when a ganadero (cattle rancher) sells part of the herd — for fattening (cría y levante), for dairy production (producción lechera), or for slaughter (sacrificio) — to another rancher, a livestock intermediary (comisionista de ganado), or a frigorífico (meat processing plant) regulated by the Ministerio de Salud under Decreto 1500 de 2007. The sale agreement establishes the agreed price, delivery conditions, and each party's responsibility for the guía de movilización and sanitary certificates.

A livestock sale agreement is needed when a buyer finances the purchase through an agricultural credit institution such as the Banco Agrario de Colombia, Finagro (Fondo para el Financiamiento del Sector Agropecuario), or a cooperativa agropecuaria. These institutions require a formal sale agreement as part of the crédito agropecuario application and typically register a prenda sobre semovientes (livestock lien) under Ley 1676 de 2013 as collateral. The prenda sobre semovientes must be registered in the Registro de Garantías Mobiliarias.

The document is required when livestock is sold through a subastadora de ganado (livestock auction house) operating under the autorización del ICA. Colombian livestock auctions in major trading centres — Medellín (Subasta Ganadera de Antioquia), Bogotá (Subagrán), Montería, Villavicencio, and Manizales — are required to issue formal purchase documentation for each transaction and report sales to SINIGAN.

A sale agreement is needed when the parties negotiate price above or below the prevailing market price (precio de mercado del ganado) published by FEDEGAN and need to document the agreed terms, delivery conditions, transportation responsibilities, and risk of loss during transit under CC Article 1607.

The agreement is needed when equines (horses, mules, donkeys) are being sold for agricultural work, sport, or breeding, and the parties require documentation of breed, health certificate, vaccination record, and pasaporte equino issued by the ICA. Horse sales in Colombia's Caribbean coast (Córdoba, Sucre, Bolívar) and llanos (Meta, Casanare) regions frequently involve high-value working and thoroughbred animals requiring thorough documentation.

What to Include in Your Livestock Sale Agreement Colombia (Compraventa de Semovientes)

A valid Livestock Sale Agreement Colombia under Código Civil Article 1857, Ley 914 de 2004, and Resolución ICA 3714 de 2015 must contain the following essential elements to document the transfer and comply with ICA sanitary and registration requirements.

Identification of Parties: Full legal name, cédula de ciudadanía (CC), address, and telephone of both the vendedor (seller) and comprador (buyer). For legal entity buyers or sellers — cooperativas agropecuarias, empresas ganaderas, frigoríficos — include razón social, NIT assigned by the DIAN, and CC of the representante legal. For transactions through a comisionista de ganado (livestock commission agent), include the agent's identification and the authority (mandato) under which the agent acts.

Livestock Description (Descripción de Semovientes): Complete identification of each animal or lot including: species (especie — bovino, equino, porcino, ovino, caprino, mular); breed (raza — Holstein, Brahman, Normando, Simmental, Criollo Colombiano for cattle; Paso Fino Colombiano for horses); approximate age (edad aproximada); sex (sexo — macho/hembra); reproductive condition (condición reproductiva — novilla, vaca, toro reproductor, buey, ternero/a); distinctive marks (señas particulares — color, markings, brands); crotal number (número de crotal) from the SINIGAN registry for bovine animals; and estimated or certified weight (peso en kilogramos, en pie or en canal).

SINIGAN Registration and ICA Documentation: For bovine animals, the SINIGAN registration status of each animal — individual crotal number for individually identified cattle, or herd-level registration for unweaned calves — must be referenced. The guía de movilización número issued by the ICA or delegated livestock inspector (inspector pecuario) authorising movement from the farm of origin (predio de origen) to the farm of destination (predio de destino) is a mandatory accompaniment to every livestock transaction under Resolución ICA 3714 de 2015.

Sanitary Certificates (Certificados Sanitarios): Current vaccination status and ICA certifications for aftosa (foot-and-mouth disease — under the Programa Colombia Libre de Aftosa del ICA), brucelosis (brucellosis — test results for cattle being sold for breeding), tuberculosis bovina (tuberculin test results where required by ICA regulations for the origin zone), and Newcastle disease or avian influenza for poultry. The certificado de sanidad del predio (farm health certificate) issued by the ICA's servicio seccional de salud animal must be current.

Sale Price and Payment (Precio y Forma de Pago): The agreed total purchase price in Colombian pesos (COP), stated both in numbers and letters. The price basis should be specified — por cabeza (per head), por kilo en pie (per live weight kilogram), or por kilo en canal (per carcass kilogram, for animals going directly to slaughter). Payment method — cash, bank transfer, cheque de gerencia, or agricultural credit drawdown (desembolso de crédito agropecuario). Deduction of the contribución parafiscal ganadera payable to FEDEGAN under Ley 89 de 1993 from the purchase price.

Delivery Conditions (Condiciones de Entrega): Location and date of delivery — on the farm of origin (en finca), at the livestock auction (en subastadora), or at the destination farm. Responsibility for transport costs (fletes de transporte), which in Colombia are typically borne by the buyer under commercial custom (usos del comercio agropecuario). Risk of loss (riesgo de pérdida): under CC Article 1607, risk of loss passes to the buyer upon delivery of the animals — the parties may agree otherwise. Weight determination procedure: whether weighing occurs at origin, destination, or deducting standard merma en tránsito (transit weight loss, typically 3-5% for cattle transport in Colombia).

Hidden Defects and Warranty (Vicios Ocultos): Colombian law under CC Article 1893 requires the seller to disclose known hidden defects that affect the livestock's fitness for their intended use. Specific warranties relevant to livestock include: absence of reportable diseases (enfermedades de declaración obligatoria — fiebre aftosa, brucelosis, tuberculosis, rabia) under Resolución ICA 3714 de 2015; absence of pregnancy (gestación) in animals sold as non-pregnant; correct age representation; and absence of genetic defects for breeding animals. The acción redhibitoria under CC Article 1914 prescribes six months from delivery for livestock.

Contribución Parafiscal Ganadera: Explicit allocation of the contribución parafiscal ganadera payable to FEDEGAN under Ley 89 de 1993. The buyer withholds the contribution from the purchase price and remits it directly to FEDEGAN. The applicable rate established by FEDEGAN's board is calculated on the sale price per head or per kilogram.

Forms-legal.com provides this Livestock Sale Agreement Colombia as a practical template for cattle and livestock transactions. Every livestock sale should comply with ICA guía de movilización requirements, and both parties should retain copies of all sanitary certificates and SINIGAN records. For high-value breeding animals or large commercial transactions, an abogado specialising in derecho agropecuario and a veterinario certificado by the ICA should be consulted.

Under Colombian law, the Codigo Civil governs marriage, divorce, custody, and maintenance. The Ley 1098 de 2006 (Codigo de la Infancia y la Adolescencia) protects minors through the ICBF (Instituto Colombiano de Bienestar Familiar). The Ley 640 de 2001 governs conciliation. The Registraduria Nacional del Estado Civil records births, marriages, and deaths. The Defensoria del Pueblo protects fundamental rights.
