Para la escritura de compraventa se aplican los Arts. 1793 a 1850 del Código Civil, el Reglamento del Conservador de Bienes Raíces (DS N°2.695) y la Ley N° 6.382 sobre Impuesto a las Ventas y Servicios respecto del Impuesto de Timbres y Estampillas.

What Is a Special Power of Attorney for Real Estate Sale Chile (Poder Especial Compraventa)?

A Special Power of Attorney for Real Estate Sale Chile (Poder Especial para Compraventa) is a targeted mandato instrument governed by Código Civil Articles 2141 through 2143, by which a mandante (property owner/principal) grants specific and express authority to a mandatario (attorney-in-fact) to execute a real estate purchase or sale transaction on the mandante's behalf before a Notario Público in Chile, with the power to sign the escritura pública de compraventa and authorize the inscription of the property transfer at the Conservador de Bienes Raíces (CBR).

CC Article 2141 establishes the rules governing the special mandate for specific transactions — a mandato especial limited to a defined business or transaction must be interpreted strictly and cannot be extended by implication to cover related or similar transactions not expressly mentioned. CC Article 2142 addresses the mandatario's obligations regarding property sales — the mandatario must act in accordance with the mandante's specific instructions regarding price, payment terms, and conditions, and cannot deviate from those instructions without the mandante's consent. CC Article 2143 establishes the mandatario's personal liability for unauthorized deviations from the mandante's instructions in specific mandate transactions.

The legal foundation for requiring express authority in real estate mandates derives from CC Article 2132 inciso 2, which establishes that a general mandate does not confer authority to sell, mortgage, or alienate real estate. CC Article 1801 separately requires that real estate sales (compraventas de bienes raíces) be executed by escritura pública to be valid — this formal requirement means the mandatario's authority to sign the escritura pública on behalf of the mandante must itself derive from an escritura pública. The Conservador de Bienes Raíces throughout Chile will refuse to inscribe any property transfer signed by a mandatario whose authority does not appear in a properly executed and specific escritura pública de poder especial.

The poder especial para compraventa is extensively used in Chilean real estate practice — the Santiago CBR processes thousands of property inscriptions annually where one or both parties act through mandatarios under poderes especiales. The Asociación de Notarios y Conservadores de Chile recognizes the poder especial as a fundamental instrument of the Chilean property market, enabling transactions where the buyer or seller is abroad, incapacitated, or otherwise unable to appear personally before the Notario Público.

For property transactions involving married persons, the poder especial must consider the matrimonial property regime (régimen matrimonial). Under CC Article 1749, a married person under the sociedad conyugal regime requires the other spouse's authorization (autorización del cónyuge) to sell or mortgage real estate forming part of the sociedad conyugal. This means the escritura pública de poder especial must include either the spouse's authorization or a separate escritura of spousal consent, which the Notario Público and CBR will verify before proceeding.

When Do You Need a Special Power of Attorney for Real Estate Sale Chile (Poder Especial Compraventa)?

A Special Power of Attorney for Real Estate Sale Chile is needed whenever a property owner (vendedor) or buyer (comprador) cannot personally appear before a Notario Público to execute the escritura pública de compraventa.

Common situations include: property owners living abroad (in the United States, Europe, or elsewhere) who need to sell their Chilean property and cannot travel to Chile for the escritura signing; elderly or ill persons who cannot attend the Notaría; buyers who are abroad at the time of closing and cannot be present at the Notario Público's office; property transactions where one party is in a different city — for example, a property in Valparaíso sold by an owner who lives in Punta Arenas; and transactions involving companies (SpA, SRL, S.A.) whose legal representative is unavailable but whose board has authorized the transaction.

The poder especial para compraventa is also used in coordinated transactions — property developers (inmobiliarias) selling multiple units (departamentos, casas in condominios) often grant poderes especiales to their sales executives to sign escrituras on behalf of the company without requiring the legal representative to attend every single closing.

What to Include in Your Special Power of Attorney for Real Estate Sale Chile (Poder Especial Compraventa)

A valid Special Power of Attorney for Real Estate Sale Chile under CC Articles 2141–2143 must contain:

Principal Identification: Full name, RUT, nationality, marital status, profession, and domicile of the mandante. If married under sociedad conyugal, spousal authorization under CC Article 1749 must appear in the instrument.

Agent Identification: Full name, RUT, nationality, profession, and domicile of the mandatario.

Property Identification: Precise description of the specific property being sold or purchased — address (calle, número, comuna, Región), CBR inscription details (foja, número, año in the Registro de Propiedad of the relevant CBR), lot number (número de lote), and current RUT-based SII valuation (avalúo fiscal del SII).

Transaction Type and Terms: Whether the authority is to sell (vender) or buy (comprar); authorized price range (precio autorizado) or exact price (precio fijo); payment terms (contado, crédito hipotecario, lease back); and any specific conditions the mandatario must observe.

Express Sale/Purchase Authority (CC Art. 2132 inc. 2): Explicit statement authorizing the mandatario to execute the escritura pública de compraventa before a Notario Público, receive or pay the purchase price, and perform all acts necessary to complete the transaction.

CBR Inscription Authority: Express authorization to sign all documents required for inscription of the property transfer at the Conservador de Bienes Raíces, including receipts and tax payment certificates.

SII Tax Compliance: Authorization to comply with all SII tax obligations of the mandante in the transaction — including capital gains tax (impuesto al mayor valor) under Ley de Renta and Ley N.° 20.780.

Mortgage Cancellation or Establishment: Express authority (if applicable) to cancel existing mortgages (alzamiento de hipotecas) on the property or to establish new mortgages (constituir hipotecas) in favor of the purchasing bank.

Duration: Specific validity period for the power — typically 6 to 12 months from the date of execution, reflecting market conditions and the specific transaction timeline.
