CUARTO: LEY APLICABLE Y EXTINCIÓN DEL MANDATO

El presente poder general se rige por los Arts. 2116 a 2173 del Código Civil de Chile. El mandato se extingue por las causales del Art. 2163 CC: ejecución del negocio encomendado, expiración del plazo, revocación del mandante, renuncia del mandatario, muerte de cualquiera de las partes, quiebra o insolvencia de cualquiera de las partes, interdicción de cualquiera de las partes, y por la cesación de las funciones del mandante si el mandato fue dado en ejercicio de ellas.

La revocación del mandante surte efecto respecto de terceros desde que éstos hayan sido notificados conforme al Art. 2165 CC.

What Is a General Notarial Power of Attorney Chile (Poder General Notarial)?

A General Notarial Power of Attorney Chile (Poder General Notarial) is a public deed instrument governed by Código Civil Articles 2132 through 2136, executed before a Notario Público, by which a mandante (principal) grants broad administrative authority to a mandatario (attorney-in-fact) to act on the mandante's behalf across a wide range of legal, financial, and administrative matters. The instrument is distinct from a mandato especial (special power of attorney) in that it confers general authority rather than authority limited to specific transactions.

CC Article 2132 defines the scope of a general mandate: it authorizes acts of administration (actos de administración) including collecting debts and receivables, paying obligations, pursuing judicial claims against debtors, contracting repairs for administered assets, and generally performing all acts necessary for the conservation and management of the mandante's patrimony. However, CC Article 2132 inciso 2 establishes the critical limitation that a general mandate does not authorize acts of disposition — selling, mortgaging, or alienating real estate — unless those powers are expressly conferred.

CC Articles 2133–2136 govern additional aspects of mandate interpretation and the extent of delegated authority. CC Article 2133 establishes rules for interpreting the scope of authority when the mandate's language is ambiguous. CC Article 2134 provides that the mandatario must act in accordance with the instructions of the mandante and in their best interest when instructions are unclear. CC Article 2135 addresses the mandatario's authority to appoint substitutes (delegados or sustitutos). CC Article 2136 establishes that the delegación (delegation) of the mandate to a third party is valid only if the mandante has expressly authorized it or if it is implied by the nature of the business.

The Notarías de Chile — regulated by Código Orgánico de Tribunales Articles 399–437 — authenticate the poder general notarial as an escritura pública, giving it the highest evidentiary weight under Chilean law. Third parties — banks regulated by the CMF (Comisión para el Mercado Financiero), the SII (Servicio de Impuestos Internos), the CBR (Conservador de Bienes Raíces), the Servicio de Registro Civil e Identificación, and contracting counterparties — verify the mandatario's authority through certified copies (copias autorizadas) of the escritura pública issued by the Notaría.

For estate planning purposes, the poder general notarial is frequently used alongside testamentary instruments — elderly persons who have executed a testamento solemne before a Notario Público often simultaneously grant a poder general to a trusted family member or professional to manage their affairs while they are alive and capable, providing continuity of financial management without the need to revoke and regrant authority for each specific transaction.

When Do You Need a General Notarial Power of Attorney Chile (Poder General Notarial)?

A General Notarial Power of Attorney Chile is needed whenever a person requires broad ongoing representation across multiple areas of their legal and financial life in Chile.

Common situations include: Chilean nationals living or working abroad who need a trusted representative in Chile to manage their finances, properties, tax filings with the SII (Formulario 22 declaration), banking at Banco de Chile or BancoEstado, and dealings with government agencies; elderly or ill persons who wish to delegate management of their affairs to a family member or trusted advisor while retaining legal capacity; business owners who need an apoderado to represent the company before the SII, Dirección del Trabajo, CMF, and municipalities for patentes comerciales; and property owners who engage professional administrators (administradores de propiedades) for their real estate portfolio.

The poder general is also used in estate planning contexts alongside testamentary instruments — a testador who has executed their will before a Notario Público may simultaneously grant a poder general to facilitate asset management during their lifetime.

What to Include in Your General Notarial Power of Attorney Chile (Poder General Notarial)

A valid General Notarial Power of Attorney Chile under CC Articles 2132–2136 must contain:

Principal Identification: Full name, RUT, nationality, marital status, profession, and domicile of the mandante.

Agent Identification: Full name, RUT, nationality, profession, and domicile of the mandatario.

General Administrative Powers (CC Art. 2132): Enumeration of all administrative acts authorized — collecting debts, paying obligations, pursuing judicial claims, managing accounts at CMF-regulated banks, filing SII tax returns, and representing before government agencies.

Express Disposition Powers (CC Art. 2132 inc. 2): If selling, mortgaging, or alienating real estate is intended, each disposition act must be expressly enumerated — the CBR and Notarios Públicos require express authority for each type of real estate act.

Judicial Powers (CPC Art. 7): Express inclusion of the special judicial powers required for litigation — desistimiento, aceptar demanda contraria, absolver posiciones, renunciar recursos, transigir, comprometer.

Banking and Financial Powers: Express authority for CMF-regulated bank operations, signing cheques, executing pagarés under Ley N.° 18.092, electronic transfers.

Tax Powers: Authority to represent before SII, file Formulario 22, respond to fiscalizaciones.

Substitution Clause (CC Art. 2135–2136): Whether the mandatario may delegate authority to a sustituto and under what conditions.

Duration and Revocation: Fixed term or indefinite duration; revocation under CC Article 2163 by escritura pública.
