II. ESTATUTOS DE LA ASOCIACIÓN CIVIL

ARTÍCULO PRIMERO — DENOMINACIÓN:

ARTÍCULO QUINTO — SOCIOS: ADMISIÓN, DERECHOS Y OBLIGACIONES

Podrá ser socio de la asociación toda persona física o moral que sea admitida por resolución de la Asamblea General o de la Mesa Directiva conforme a los presentes estatutos. Los socios tendrán derecho a: voz y voto en la Asamblea General; participar en las actividades y programas de la asociación; acceder a los registros contables y actas conforme a la Ley.

Los socios estarán obligados a: pagar las cuotas ordinarias y extraordinarias aprobadas por la Asamblea; cumplir los presentes estatutos y los acuerdos de la Asamblea; desempeñar los cargos para los que sean designados. La separación voluntaria o exclusión forzosa de socios se regulará conforme al Artículo 2681 del Código Civil Federal y los presentes estatutos.

ARTÍCULO SEXTO — ÓRGANOS DE GOBIERNO

6.1 ASAMBLEA GENERAL DE SOCIOS:

La Asamblea General es el órgano supremo de gobierno. Se reunirá en sesión ordinaria cuando menos una vez al año dentro del primer trimestre del ejercicio para: aprobar el informe anual de actividades y estados financieros; elegir a la Mesa Directiva; fijar cuotas; y resolver los asuntos de su competencia. Quórum: [Asamblea Quorum]. Las resoluciones se tomarán por mayoría simple de votos presentes, salvo los casos en que los presentes estatutos exijan mayoría calificada.

6.2 MESA DIRECTIVA:

La Mesa Directiva estará integrada por un Presidente, un Secretario y un Tesorero, electos por la Asamblea General por períodos de [Directiva Term], con posibilidad de reelección.

La Mesa Directiva representará legalmente a la asociación, administrará su patrimonio, ejecutará los acuerdos de la Asamblea General, y tendrá las facultades de dominio, administración y pleitos y cobranzas que le otorguen los presentes estatutos y los poderes notariales correspondientes.

ARTÍCULO SÉPTIMO — PATRIMONIO

El patrimonio de la asociación estará integrado por: las aportaciones iniciales de los socios fundadores ([Initial Contribution]); las cuotas ordinarias ([Annual Fee]) y extraordinarias; los donativos y herencias que reciba; los bienes adquiridos con fondos propios; y los ingresos generados por sus actividades. Los activos de la asociación no podrán ser distribuidos entre los socios durante la vigencia ni a la liquidación de la asociación — el remanente de liquidación será transmitido a otra donataria autorizada o a la Federación, conforme al Artículo 80 de la Ley del Impuesto sobre la Renta.

ARTÍCULO OCTAVO — DISOLUCIÓN Y LIQUIDACIÓN

La asociación se disolverá por: resolución de la Asamblea General con mayoría calificada de dos terceras partes de los socios; imposibilidad de realizar el objeto social; o resolución judicial conforme al Artículo 2685 del Código Civil Federal. En caso de disolución, la Asamblea General nombrará un Liquidador quien cubrirá todas las obligaciones pendientes; el remanente patrimonial será transmitido a la institución autorizada que designe la Asamblea, conforme a la Ley del Impuesto sobre la Renta Artículo 80.

ARTÍCULO NOVENO — REGISTRO FISCAL Y CONTABILIDAD

La asociación se registrará ante el SAT dentro de los 30 días siguientes a la inscripción en el Registro Público de la Propiedad y del Comercio para obtener su RFC como persona moral del régimen de las personas morales con fines no lucrativos (Título III de la LISR). El ejercicio fiscal cerrará el [Fiscal Year]. La asociación llevará contabilidad conforme al Código Fiscal de la Federación y al Reglamento del CFF, y presentará las declaraciones informativas requeridas por el SAT.

What Is a Civil Association Agreement Mexico (Contrato de Asociación Civil)?

A Civil Association Agreement Mexico (Contrato de Asociación Civil — A.C.) is the foundational document that creates an asociación civil — a non-profit legal entity (persona moral) formed by two or more individuals (personas físicas) or legal entities (personas morales) who agree to pool resources, efforts, and activities to pursue a common licit purpose that is not predominantly economic in nature, governed by the Código Civil Federal (CCF) Articles 2670 through 2687 and the equivalent provisions of the applicable state civil code where the association has its legal domicile.

The asociación civil is one of Mexico's most commonly used non-profit organisational structures, distinct from the sociedad civil (which may have an economic profit motive), the fundación (which requires an endowment fund), and the Institución de Asistencia Privada (IAP, which is regulated by state beneficence laws). The A.C. form is used by professional associations (colegios de profesionistas), cultural organisations, sports clubs, neighbourhood associations (asociaciones de vecinos), educational institutions, charitable organisations, religious associations (after separate registration under the Ley de Asociaciones Religiosas y Culto Público — LARCP), and civil society organisations (OSC — organizaciones de la sociedad civil) that seek formal legal personality without the profit-distribution structure of commercial entities.

Article 2670 of the Código Civil Federal defines the asociación civil as the legal act by which two or more persons agree to combine, not in a transitory manner, to realise a common, licit purpose that is not predominantly economic. The key distinguishing characteristic is the absence of a predominant economic profit motive — members of an A.C. may not distribute profits or dividends among themselves, though the association may generate income to fund its operations and purposes. This non-distribution constraint distinguishes the A.C. from a sociedad civil or sociedad mercantil.

The Código Civil Federal Article 2673 requires that the association's statutes (estatutos) — which are typically incorporated within the association agreement or attached as an annex — establish: the association's name (denominación), which must include the suffix Asociación Civil or A.C.; its purpose (objeto); its domicile; the conditions for admission, separation, and exclusion of members; the rights and obligations of members; the governance structure (asamblea general and directiva board); and the rules for dissolution and liquidation of assets.

For tax purposes under the Ley del Impuesto sobre la Renta (LISR) Article 79, asociaciones civiles may apply for authorisation as donatarias autorizadas (authorised donee organisations) from the SAT, which allows donors to deduct their donations as deducciones autorizadas under Article 151 LISR. A donataria autorizada status requires the A.C. to have a specific qualifying purpose (cultural, educational, scientific, health, environmental, sports, or social development) and to comply with annual transparency reporting requirements to the SAT through the Servicio de Administración Tributaria's Directorio de Donatarias Autorizadas. Associations registered in the Registro Federal de Organizaciones de la Sociedad Civil administered by the Instituto Nacional de Desarrollo Social (INDESOL) may access federal government funds and participate in public tender processes for social development contracts.

All asociaciones civiles must register with the SAT and obtain an RFC (Registro Federal de Contribuyentes) as personas morales del régimen de las personas morales con fines no lucrativos, under Title III of the Ley del Impuesto sobre la Renta. The Registro Público de la Propiedad y del Comercio (RPPC) in the state where the association is domiciled provides legal certainty and third-party notice through inscripción of the constitutive act.

When Do You Need a Civil Association Agreement Mexico (Contrato de Asociación Civil)?

A Civil Association Agreement Mexico is required whenever two or more persons wish to create a formal non-profit legal entity (persona moral) to pursue a common licit purpose — such as professional, cultural, social, educational, sporting, or civic activities — under a legal structure that provides the association with legal standing (personalidad jurídica) to own property, enter contracts, sue and be sued, and hire employees as an employer distinct from its individual members.

The agreement is needed when a group of professionals (médicos, abogados, ingenieros, arquitectos) forms a colegio de profesionistas or professional chamber to regulate the practice of their profession, administer continuing education programmes, and represent members before government authorities. Under the Ley Reglamentaria del Artículo 5° Constitucional relativo al Ejercicio de las Profesiones en el Distrito Federal and equivalent state professional practice laws, professional associations must be formally constituted as asociaciones civiles to exercise delegated self-regulatory functions.

An A.C. constitutive act is required when a neighbourhood or community group forms a homeowners' association (asociación de colonos or asociación de residentes) to manage common areas, negotiate with municipal authorities, and administer collective services — the A.C. structure gives the association legal capacity to open bank accounts, enter service contracts with private providers, and pursue legal actions against non-contributing residents or municipal authorities on behalf of the community.

The agreement is needed when civil society organisations (OSC) seek to formalise their activities to access federal or state government funds, international donor grants, corporate social responsibility (RSE) contributions, or European Union development cooperation funds — all of which require the recipient to be a legally constituted entity with RFC, bank account, and governance structures capable of producing financial accountability reports.

Under the Código Civil Federal Articles 2670–2687 and the LISR Title III, an A.C. constitutive agreement is required when the founders wish to apply for donataria autorizada status with the SAT — a prerequisite for donors to claim tax deductions for their contributions. Educational institutions (escuelas), cultural centres (centros culturales), libraries (bibliotecas), and environmental conservation organisations operating under the A.C. structure commonly seek donataria autorizada designation.

The agreement is also needed when an international non-governmental organisation (INGO) establishes a Mexican affiliate chapter as a local A.C. to execute programmes in Mexico — the local A.C. is the counterpart required by Mexican government agencies (SEMARNAT, SEP, SALUD, SEDESOL) for programme implementation agreements and receives international funds from the INGO parent as donaciones de fuente extranjera requiring SHCP authorisation under the Ley Federal para la Prevención e Identificación de Operaciones con Recursos de Procedencia Ilícita.

What to Include in Your Civil Association Agreement Mexico (Contrato de Asociación Civil)

A valid Civil Association Agreement Mexico under the Código Civil Federal Articles 2670–2687 must contain the following essential elements to create a legally valid asociación civil and to satisfy SAT registration, RPPC inscription, and governance requirements.

Denomination and Suffix: The association's official name (denominación social) must include the words Asociación Civil or the abbreviation A.C. as a mandatory suffix under Article 2673 CCF. The name must be unique — the Secretaría de Economía's Registro Público de Comercio and the RPPC of the relevant state require a name availability search (solicitud de búsqueda de denominación) before registration is accepted.

Object and Purpose (Objeto Social): A clear and specific description of the non-profit activities the association will pursue — professional development, cultural promotion, sports, environmental conservation, social assistance, community development, or other licit non-predominantly-economic purposes. The object must not include commercial profit distribution — any revenue generated must be reinvested in the association's stated purposes. For donataria autorizada applications, the SAT requires the object to fall within one of the qualifying purpose categories of Article 79 LISR.

Legal Domicile (Domicilio Social): The state and municipality where the association has its principal place of activity — this determines which state civil code applies suppletorily to CCF, which state's RPPC has jurisdiction for inscription, and which state SAT office processes the RFC registration. Associations operating in multiple states may register at any state where they maintain a principal activity.

Membership (Socios): The founding members (socios fundadores) with their full names, CURP, RFC, and official identity document numbers. The conditions for admission of new members, minimum membership requirements, member rights (derecho a voz and voto in the Asamblea General, right to access association records, right to participate in association activities), and member obligations (cuotas ordinarias and extraordinarias, attendance obligations, compliance with statutes). The grounds for voluntary separation (separación voluntaria) and involuntary exclusion (exclusión) of members under Article 2681 CCF, including the procedure for the governing body or Asamblea to decide on exclusions.

Governing Bodies (Órganos de Gobierno): The Asamblea General de Socios is the supreme governing body — its quorum requirements, voting procedures, meeting frequency (at least annual), and exclusive powers (approval of financial statements, election of Directiva, amendment of statutes, dissolution decision). Dissolution and Liquidation: The causes and procedures for dissolution of the association — voluntary dissolution by Asamblea resolution with qualified majority, judicial dissolution for illicit object under Article 2685 CCF, or statutory causes. Upon dissolution, the Liquidador appointed by the Asamblea must pay all debts, and the remaining assets (remanente de liquidación) must be transferred to another A.C. or donataria autorizada with similar purposes — assets of a non-profit A.C. cannot be distributed to members upon dissolution under LISR Article 80.
