What Is a New Construction Declaration Agreement Spain (Declaración de Obra Nueva)?

A New Construction Declaration Agreement Spain (Declaración de Obra Nueva) is a formal notarial deed executed before a Spanish Notario (notary public) that officially declares the existence and completion of a newly constructed building or significant structural works on a property, enabling inscription in the Registro de la Propiedad (Land Registry) and the Catastro Inmobiliario (Cadastre) in accordance with Article 20 of the Ley 38/1999 de Ordenación de la Edificación (LOE) and the Real Decreto Legislativo 1/2004, de 5 de marzo, por el que se aprueba el Texto Refundido de la Ley del Catastro Inmobiliario.

The Declaración de Obra Nueva is one of the most fundamental instruments in Spanish real estate law, required whenever a landowner or developer (promotor) completes construction of a new building — residential, commercial, or industrial — and wishes to legally incorporate the structure into the property registry alongside the underlying land. Without this declaration, the building has no independent legal existence in the Registro de la Propiedad, meaning it cannot be mortgaged, sold, inherited, or otherwise legally transferred as a standalone unit separate from the bare land parcel (solar).

Spanish law distinguishes two forms of Declaración de Obra Nueva under Article 20 LOE. The first is the Declaración de Obra Nueva en Construcción (declaration of works in progress), executed during the building phase once the foundation licence (licencia de obras) has been granted by the Ayuntamiento (municipal authority) — this allows the developer to arrange mortgage financing on the partially completed structure. The second is the Declaración de Obra Nueva Terminada (declaration of completed works), executed upon completion of construction once the Certificado Final de Obra has been issued by the director de obra (architect of record) and the licensed occupancy certificate (licencia de primera ocupación or certificado de habitabilidad, depending on the Autonomous Community) has been obtained.

The Ley 13/2015, de 24 de junio, de Reforma de la Ley Hipotecaria (Reform of the Mortgage Law) substantially reformed the requirements for Declaraciones de Obra Nueva. Under the amended Article 202 of the Ley Hipotecaria (LH), the Registro de la Propiedad now requires that new constructions be registered with a georeferenced building footprint (representación gráfica georreferenciada) prepared by a licensed technical architect (arquitecto técnico) or topographer and validated by the Dirección General del Catastro through the IDUFIR (Identificador Único de Finca Registral) or the new Código Registral Único (CRU) system.

The Agencia Tributaria and the Comunidad Autónoma tax office require that the Declaración de Obra Nueva trigger tax compliance for the Impuesto sobre el Valor Añadido (IVA) on new residential construction at 10% under Ley 37/1992 del IVA Article 91, or the Impuesto sobre Transmisiones Patrimoniales y Actos Jurídicos Documentados (ITP-AJD) at rates set by each Comunidad Autónoma for the Actos Jurídicos Documentados (AJD) component, calculated on the declared value of the construction. Additionally, the Impuesto sobre Bienes Inmuebles (IBI) administered by the Ayuntamiento will be updated through the Catastro to reflect the new taxable value of the completed building.

Spain's Ley de Suelo (Real Decreto Legislativo 7/2015, de 30 de octubre) imposes urban planning compliance requirements on any new construction — the building must comply with the applicable Plan General de Ordenación Urbana (PGOU) or Plan Parcial of the municipality, including permitted uses, building height limits (número de plantas), setbacks (retranqueos), and buildable surface (superficie edificable). Failure to obtain the required licencia de obras from the Ayuntamiento before commencing construction, or building outside the permitted parameters, renders the construction ilegal (illegal building — construcción ilegal or fuera de ordenación) and may expose the owner to demolition orders (orden de demolición) issued under Article 51 of the Ley de Suelo and administrative sanctions.

When Do You Need a New Construction Declaration Agreement Spain (Declaración de Obra Nueva)?

A New Construction Declaration Agreement Spain is required by law every time a landowner, property developer (promotor inmobiliario), or building cooperative (cooperativa de viviendas) completes the construction of a new building or significant structural addition on a property registered in the Registro de la Propiedad. The declaration is necessary to legally incorporate the completed structure into the Spanish land registry system and must precede any sale, mortgage, or subdivision of the completed units.

The Declaración de Obra Nueva Terminada is needed immediately after the director de obra (project architect) issues the Certificado Final de Obra confirming that construction complies with the approved project and the licencia de obras granted by the Ayuntamiento. What to Include in Your New Construction Declaration Agreement Spain (Declaración de Obra Nueva)

Description of the Construction: A detailed physical description of the new building including: number of floors above and below ground (plantas sobre rasante y sótanos), total constructed surface area (superficie construida total) and usable surface area (superficie útil) per floor and per unit, permitted use (uso) — residential, commercial, industrial, or mixed — building materials, structural system, and any common elements (elements comunes) where the declaration covers a building to be divided into horizontal property units.
