PRIMERA — OBJETO

El SUMINISTRADOR se obliga a entregar periódicamente al CONTRATANTE, conforme al cronograma de obra, los siguientes materiales de construcción con las especificaciones técnicas indicadas: [Descripción de Materiales]. Los materiales serán destinados a la obra: [Obra Destino]. Todos los materiales deben cumplir las normas técnicas colombianas (NTC) aplicables y las especificaciones del Reglamento Colombiano de Construcción Sismo Resistente NSR-10 (Decreto 926 de 2010).

SEGUNDA — PRECIO, FORMA DE PAGO Y AJUSTE

Los precios unitarios acordados son: [Precios Unitarios]. Las condiciones de pago son: [Condiciones de Pago]. El mecanismo de ajuste de precios pactado es: [Mecanismo de Ajuste]. La mora en el pago de facturas generará intereses de mora a la tasa máxima legal permitida por la Superintendencia Financiera de Colombia.

TERCERA — PLAZO Y ENTREGAS

El presente contrato rige a partir del [Fecha de Inicio] y tendrá una duración de [Plazo del Suministro]. Las entregas se realizarán conforme al cronograma de obra del CONTRATANTE, con aviso mínimo de 48 horas para pedidos de concreto premezclado y de 72 horas para otros materiales. El SUMINISTRADOR entrega los materiales en la obra [Obra Destino], siendo la transferencia del riesgo al momento de la entrega en obra con firma del acta de recibo por parte del CONTRATANTE.

CUARTA — CONTROL DE CALIDAD Y NO CONFORMIDAD

El SUMINISTRADOR entregará certificado de calidad de laboratorio por cada despacho de concreto (ensayos de resistencia a la compresión conforme a la Norma NTC 673) y certificado del fabricante para acero de refuerzo y demás materiales estructurales. Los materiales que no cumplan las especificaciones técnicas pactadas o los requisitos del NSR-10 serán rechazados por el CONTRATANTE mediante notificación escrita, y el SUMINISTRADOR deberá retirarlos de la obra y reemplazarlos dentro de las cuarenta y ocho (48) horas siguientes, sin costo adicional para el CONTRATANTE.

This contract is primarily governed by Articles 968 to 980 of the Colombian Código de Comercio, which define the supply contract as one in which one party undertakes to exchange periodic deliveries of goods or services to the other in exchange for a price.

The technical framework for construction materials supply in Colombia is determined by the NSR-10 (Reglamento Colombiano de Construcción Sismo Resistente), adopted through Decreto 926 de 2010, which establishes minimum technical specifications for structural materials such as concrete, reinforcing steel, structural masonry, and structural wood. **Identification of parties.** Name or company name of the supplier and contractor, NIT or ID, domicile, legal representative (if legal entities), and valid Cámara de Comercio registration. For the supplier, indicate the supplier registration number with the Cámara de Comercio and, if applicable, ISO 9001 quality certifications for the materials production process.

Rejected materials must be removed from the site within 24 hours of non-conformity notification, at no cost to the contractor.

**Transport and risk.** Definition of applicable Incoterm: if the price includes transport and unloading at the site (CIP or DAP equivalent), risk transfers to the contractor at the delivery site; if the price is ex-plant (EXW equivalent), the contractor assumes transport and risk from the supplier's plant. The supplier must ensure transport complies with Ministerio de Transporte regulations (Decreto 1609 de 2002 for hazardous materials if applicable).

**Supplier warranties.** Quality warranty for materials during the construction period and during the work stability warranty period (ten years for structure under Decreto 1077 de 2015).
