What Is a Motorcycle Bill of Sale Mexico (Compraventa de Motocicleta)?

A Motorcycle Bill of Sale Mexico (Compraventa de Motocicleta) is a formal written contract governed by Article 2248 of the Código Civil Federal (CCF) that records the voluntary transfer of ownership (dominio) of a motorcycle from a seller (vendedor) to a buyer (comprador) in exchange for a fixed price (precio cierto y en dinero). The compraventa de motocicleta follows the same legal framework as the vehicle bill of sale under CCF Articles 2248–2283, adapted to the specific registration, documentation, and safety requirements applicable to motorcycles in Mexico.

Motorcycles in Mexico are registered as motor vehicles under the Padrón Vehicular administered by each state's Secretaría de Movilidad, Secretaría de Transporte, or equivalent authority. Each motorcycle is assigned a Número de Identificación Vehicular (NIV) — equivalent to the VIN used internationally — which is stamped on the frame (chasis) and appears on the Factura Original (manufacturer or importer invoice) and the Tarjeta de Circulación (vehicle registration card). The Registro Público Vehicular (REPUVE), administered by the Secretariado Ejecutivo del Sistema Nacional de Seguridad Pública (SESNSP) under the Ley del Registro Público Vehicular (LRPV) of 1 June 2004, maintains a national database of registered motorcycles, reported thefts, and fiscal encumbrances — verification through repuve.gob.mx before any transaction is essential.

Motorcycles present particular theft and documentation risks in Mexico. The Guardia Nacional statistics published by the SESNSP consistently show motorcycles among the most frequently stolen vehicle categories in states including Estado de México, Veracruz, Guerrero, and Michoacán. A buyer who purchases a stolen motorcycle — even in good faith — faces confiscation without compensation, as ownership title was never lawfully transferred from the true owner. The written compraventa contract, combined with a verified REPUVE consultation and physical inspection of the NIV stamping consistency with the Factura, provides the buyer's primary defence against this risk.

Mexican traffic law under the Reglamento de Tránsito applicable in each state and the Ciudad de México requires motorcycle operators to carry the Tarjeta de Circulación in the vehicle's name at all times, along with proof of insurance under the requirements established by each state's mobility authority. Several states — including Jalisco, Nuevo León, and Ciudad de México — require motorcycle operators to wear approved helmets under NOM-206-SCFI as a matter of traffic regulation independent of the civil ownership documentation.

The Ley Federal para la Prevención e Identificación de Operaciones con Recursos de Procedencia Ilícita (LFPIORPI) of 17 October 2012 classifies the purchase and sale of vehicles — including motorcycles — above certain value thresholds as vulnerable activities (actividades vulnerables) subject to reporting obligations to the Unidad de Inteligencia Financiera (UIF) of the Secretaría de Hacienda y Crédito Público. Transactions above 3,210 times the daily UMA paid in cash must be reported through the SAT's Declaraciones Informativas platform, making electronic payment the preferred method for higher-value motorcycle transactions.

For imported motorcycles originally manufactured in the United States or Canada, additional documentation requirements apply under the Decreto por el que se establecen las condiciones para la importación definitiva de vehículos usados. The buyer must verify that the motorcycle was legally imported through the Administración General de Aduanas with a valid Pedimento de Importación before purchasing — motorcycles without a proper import pedimento cannot be legally registered in the Mexican Padrón Vehicular regardless of how long they have been operating in Mexico.

When Do You Need a Motorcycle Bill of Sale Mexico (Compraventa de Motocicleta)?

A Motorcycle Bill of Sale Mexico is required whenever ownership of a motorcycle changes hands between private parties or between a business and an individual in a transaction not covered by a formal dealership invoice (Factura de agencia).

The document is necessary for the cambio de propietario (ownership transfer) registration procedure at the state Secretaría de Movilidad. Without a signed compraventa contract presented alongside the endorsed Factura, official identification of both parties, and the current Tarjeta de Circulación, the state authority will not process the registration transfer. The seller who fails to ensure the buyer completes the title transfer remains exposed to traffic fines, liability for accidents, and fiscal obligations on the motorcycle until the registration is updated — in practice, this means both parties benefit from promptly completing the cambio de propietario.

The compraventa is also needed when the motorcycle is used as collateral (prenda) for a loan under the Ley General de Títulos y Operaciones de Crédito (LGTOC). If the buyer finances the purchase through a private lender, the compraventa contract may include a pacto de reserva de dominio (retention of title clause) under Article 2329 CCF allowing the seller to retain legal ownership until full payment, with the Factura held in escrow or by the lender. This arrangement protects both parties and provides the lender with security.

For insurance purposes under the Ley sobre el Contrato de Seguro (LCS) administered by the Comisión Nacional de Seguros y Fianzas (CNSF), a motorcycle insurance policy requires proof of the insured's right to possess the vehicle — the compraventa contract and endorsed Factura serve this purpose during the period before the Tarjeta de Circulación is updated in the new owner's name. Motorcycle insurers operating under CNSF supervision require the NIV and Factura number for policy issuance.

The document is also required for fiscal clearance when the seller is a taxpayer registered with the SAT under the Ley del Impuesto sobre la Renta (LISR) or Ley del IVA — the compraventa provides the agreed price used as the basis for the CFDI (Comprobante Fiscal Digital por Internet) issued by the seller under Article 29 of the Código Fiscal de la Federación (CFF).

What to Include in Your Motorcycle Bill of Sale Mexico (Compraventa de Motocicleta)

A valid Motorcycle Bill of Sale Mexico under the Código Civil Federal Article 2248 must include the following elements to enable registration transfer and protect both parties.

Identification of Parties: Full legal name, CURP, RFC if applicable, official identity document number (INE/IFE credential or passport), and domicile of both seller (vendedor) and buyer (comprador). For legal entities, RFC, Registro Público de Comercio number, and legal representative details are required.

Motorcycle Identification: Complete description including make (marca), model (modelo), year (año modelo), engine displacement in cubic centimetres (cilindrada en cc), colour (color), Número de Identificación Vehicular (NIV stamped on the frame), engine number (número de motor), Tarjeta de Circulación number, and current licence plate number (número de placas). The Factura Original number and issuing entity must be referenced.

REPUVE Verification: Confirmation that the seller and/or buyer consulted the REPUVE national registry at repuve.gob.mx before signing, with the REPUVE consultation folio number recorded in the contract, confirming no theft report or fiscal encumbrance. Physical verification that the NIV stamped on the motorcycle frame matches the NIV on the Factura and Tarjeta de Circulación is critical — mismatches indicate frame tampering.

Factura Endorsement and Delivery: Explicit statement that the seller delivers the endorsed original Factura (or complete endorsed chain) at the time of signing. The endorsement on the reverse of the Factura must include the seller's full name, CURP, signature, date, and the buyer's full name to be accepted by the state Secretaría de Movilidad for re-registration.

Sale Price and Payment: Agreed total price in MXN, payment method (cash, SPEI bank transfer, or cheque), and payment date. Amounts above 3,210 UMA paid in cash may trigger LFPIORPI reporting to the UIF/SAT.

Condition and Warranty: Clear statement of the motorcycle's mechanical condition and whether it is sold as-is (en el estado que guarda, sin garantía) or with specific warranties. Kilometre reading (lectura del odómetro) at time of sale should be documented.

Transfer of Obligations: Assignment to the buyer of responsibility for Tenencia or state vehicle control tax, insurance, and all traffic and fiscal obligations from the date of the compraventa. Buyer's commitment to complete the cambio de propietario at the relevant state Secretaría de Movilidad within the statutory period.

Outstanding Fines and Liens: Seller's declaration that no outstanding traffic infractions (infracciones de tránsito) registered against the motorcycle's licence plates remain unpaid, and that no fiscal liens (embargos fiscales) or administrative encumbrances are registered against the vehicle in the REPUVE or in the SAT's enforcement records. Any known outstanding fines should be disclosed and the parties should agree on responsibility for clearing them before or as a condition of the transfer.

SAT Compliance: Where the seller is a registered taxpayer (persona física con actividad empresarial or persona moral), the seller's obligation to issue a Comprobante Fiscal Digital por Internet (CFDI) through the SAT portal under CFF Article 29, with the agreed sale price as the tax base, the buyer's RFC as recipient data, and IVA at 16% applied if the sale is made in the course of taxable commercial activity under LIVA Article 1. Private sales between non-commercial individuals typically do not require CFDI issuance, but the written compraventa contract serves as the supporting document for the buyer's SAT records.

Default and Remedies: Consequences if the seller fails to deliver the endorsed Factura or if the motorcycle is later found to be stolen or encumbered — including the buyer's right to rescind the sale and claim full restitution of the purchase price plus damages under CCF Articles 2119–2135 (eviction warranty) and 2142–2163 (hidden defects warranty).
