THE EMPLOYER AND THE MEP CONTRACTOR HAVE AGREED AS FOLLOWS:

1. DEFINITIONS AND GOVERNING LAW

1.1 "Contract" means this MEP Works Contract and all documents listed in Clause 2; "MEP Works" means all mechanical, electrical, and plumbing works described in Clause 3; "Commissioning" means testing, calibration, and handover of all MEP systems to the satisfaction of the Employer, the Engineer, and the relevant UAE authorities; "Defects Liability Period" means the period following Taking-Over during which the MEP Contractor is obliged to remedy defects at its own cost.

1.2 This Contract is governed by the laws of the United Arab Emirates, including the UAE Civil Code (Federal Law No. 5 of 1985), Arts 872-896 on muqawala. Article 880 of the UAE Civil Code imposes non-excludable ten-year decennial liability for structural MEP defects threatening building safety. The Commercial Transactions Law (Federal Decree-Law No. 50 of 2022) applies to commercial obligations. VAT at 5% applies under Federal Decree-Law No. 8 of 2017.

2. CONTRACT DOCUMENTS

2.1 The following documents form the Contract: [MEP Documents]. In case of conflict, priority is: (a) this agreement; (b) MEP Specification; (c) Drawings; (d) Bill of Quantities.

3. MEP SCOPE OF WORKS

3.1 Project: [Project Name].

3.2 The MEP Contractor shall design (where required), supply, install, test, commission, and hand over all MEP systems as follows: [MEP Scope].

3.3 The MEP Contractor shall comply with: (a) the UAE Fire and Life Safety Code of Practice issued by the UAE Civil Defence Authority; (b) DEWA/ADDC/AADC utility connection requirements; (c) UAE Green Building Regulations (Dubai Municipality) or the Abu Dhabi Estidama Pearl Rating System, as applicable; (d) all relevant local authority approvals required for MEP systems commissioning and connection.

4. TIME, PAYMENT, AND RETENTION

4.1 The MEP Contractor shall commence on [Commencement Date] and complete within [Completion Period].

4.2 Delay liquidated damages of [Delay Damages] apply from the due completion date. Art. 390 of the UAE Civil Code (Federal Law No. 5 of 1985) permits courts to adjust this figure to actual loss.

5. TESTING AND COMMISSIONING

5.2 Taking-Over of MEP systems requires: (a) satisfactory completion of all commissioning activities; (b) DEWA, ADDC, or AADC approval of utility connections; (c) UAE Civil Defence Authority sign-off on fire and life safety systems; (d) BMS handover to the Employer's FM team with as-built drawings and O&M manuals.

5.3 The MEP Contractor shall provide a minimum 12-month Defects Liability Period from Taking-Over and shall maintain trained service engineers available in the UAE throughout the Defects Liability Period.

6. DECENNIAL LIABILITY AND INSURANCE

6.1 The MEP Contractor acknowledges that Art. 880 of the UAE Civil Code (Federal Law No. 5 of 1985) imposes ten-year decennial liability for structural MEP defects that cause collapse or threaten the structural safety of the building. This liability is non-excludable and runs from Taking-Over.

6.2 The MEP Contractor shall maintain the following insurance: [Insurance Requirements]. Policies shall be with insurers licensed by the Insurance Authority of the UAE and name the Employer as an additional insured.

7. DISPUTE RESOLUTION

8. GENERAL

8.2 This Contract is the entire agreement between the parties. Amendments must be in writing. Electronic communications are valid under the Electronic Transactions and Trust Services Law (Federal Decree-Law No. 46 of 2021).
