SUBCONTRACTOR AGREEMENT (CONSTRUCTION)

This Subcontractor Agreement ("Agreement") is entered into as of [Commencement Date] between: **Main Contractor:** [Main Contractor Name], with a registered address at [Main Contractor Address], Business Registration Number: [Main Contractor B R N] ("Main Contractor"); and **Subcontractor:** [Subcontractor Name], with a registered address at [Subcontractor Address], BR/HKID Number: [Subcontractor B R N] ("Subcontractor"). 1. Project Details

1.1 Project Name: [Project Name] 1.2 Project Site: [Project Site] 1.3 The Subcontractor is engaged to perform the following scope of work ("Works"): [Scope Of Work] 1.4 Commencement Date: [Commencement Date] 1.5 Completion Date: [Completion Date] 1.6 The Subcontractor shall complete the Works by the Completion Date, subject to any extensions of time granted in writing by the Main Contractor.

2. Payment Terms

2.1 The total Subcontract Sum is [Contract Sum] (Hong Kong Dollars). 2.2 Payment Schedule: [Payment Schedule]. 2.3 Retention: [Retention Percentage]% of each progress payment shall be retained until practical completion of the Works. The retention monies shall be released within 14 days of practical completion. 2.4 Payment Terms: Payments shall be made within [Payment Terms Days] days of receipt of a valid invoice from the Subcontractor. 2.5 The Subcontractor shall submit invoices with supporting documentation. Disputed items shall be notified within 7 days of invoice receipt. 2.6 The parties acknowledge the applicability of the Construction Industry Security of Payment Ordinance (Cap. 649) to payment disputes arising under this Agreement.

3. Obligations of the Subcontractor

3.1 The Subcontractor shall perform the Works in a good and workmanlike manner, using materials of the quality specified and in accordance with: (a) The Buildings Ordinance (Cap. 123) and all subsidiary legislation; (b) Relevant codes of practice and standards; (c) The instructions of the Main Contractor and the Architect/Engineer. 3.2 The Subcontractor shall comply with all applicable laws, including the Occupational Safety and Health Ordinance (Cap. 509) and the Construction Sites (Safety) Regulations. 3.3 The Subcontractor shall not sub-sub-contract any part of the Works without the prior written consent of the Main Contractor. 3.4 The Subcontractor shall permit access to the Works by the Main Contractor, the Employer's representatives, and relevant authorities at all times. 3.5 The Subcontractor shall be responsible for cleaning up its work areas and removing waste materials from site.

4. Insurance and Compliance

4.1 Employees' Compensation Insurance: [Employees Compensation]. The Subcontractor shall maintain Employees' Compensation Insurance as required by the Employees' Compensation Ordinance (Cap. 282) for all persons employed by the Subcontractor on the Works. 4.2 Public Liability Insurance: The Subcontractor shall maintain Public Liability Insurance with a minimum coverage of [Public Liability Amount] per occurrence. 4.3 The Subcontractor shall provide the Main Contractor with copies of all insurance certificates before commencing the Works and shall maintain such insurances for the duration of the Works. 4.4 CIC Registration: [Csc Workers Registration]. The Subcontractor shall ensure all workers employed are properly registered under the Construction Workers Registration Ordinance (Cap. 583) where required. 4.5 The Subcontractor shall comply with the Personal Data (Privacy) Ordinance (Cap. 486) in respect of any personal data collected or processed in connection with the Works.

5. Defects Liability

5.1 The Subcontractor shall remedy at its own cost any defect, shrinkage, or fault in the Works which appears within the Defects Liability Period of [Defects Liability Period] from the date of practical completion. 5.2 Failure to remedy defects within a reasonable time after notice shall entitle the Main Contractor to engage others to carry out such remedial works at the Subcontractor's expense.

6. Termination

6.1 The Main Contractor may terminate this Agreement by giving 14 days' written notice if the Subcontractor: (a) Fails to proceed regularly and diligently with the Works; (b) Becomes insolvent or enters into liquidation; (c) Commits a material breach of this Agreement. 6.2 Upon termination, the Subcontractor shall be paid for work properly completed up to the date of termination, less any costs incurred by the Main Contractor as a result of the termination.

7. Dispute Resolution and Governing Law

7.1 The Parties shall first attempt to resolve any dispute by negotiation within 14 days of written notice. 7.2 If negotiation fails, either Party may refer a payment dispute to adjudication under the Construction Industry Security of Payment Ordinance (Cap. 649). 7.3 Other disputes shall be referred to arbitration under the HKIAC Administered Arbitration Rules, with the seat of arbitration in Hong Kong. 7.4 This Agreement shall be governed by and construed in accordance with the [Governing Law].

What Is a Subcontractor Agreement (Construction) (Hong Kong)?

A Subcontractor Agreement (Construction) in Hong Kong is a legally binding contract between a main contractor and a specialist trade subcontractor for the execution of defined construction works, compliant with the Buildings Ordinance (Cap. 123), the Construction Industry Security of Payment Ordinance (Cap. 649), and the standards of the Construction Industry Council (CIC) established under the Construction Industry Council Ordinance (Cap. 587). Hong Kong's construction industry delivers billions of dollars of building and infrastructure works annually — from private residential and commercial developments to major public infrastructure projects including the MTR extensions, highway works, and government building programmes. Main contractors appointed by employers under standard-form contracts such as the General Conditions of Contract for Building Works (issued by the HKSAR Government), NEC contracts, or bespoke employer's conditions typically subcontract the majority of physical works to specialist trade subcontractors.

The Buildings Ordinance (Cap. 123), administered by the Buildings Department, sets the statutory standards for construction works in Hong Kong. All building works require a Registered General Building Contractor (RGBC) as main contractor and Registered Specialist Contractors (RSC) for designated specialist works including foundation works, site formation, demolition, and minor works. Construction subcontracts within the scope of Cap. 649 give both main contractors and subcontractors the right to serve payment claims and refer payment disputes to the Adjudication Registry for rapid binding determination. Cap. 649 applies to construction contracts for building works in Hong Kong where the contract price or the value of work done exceeds HK$5 million, or to any construction contract for building works defined under the Buildings Ordinance (Cap. 123).

Safety on Hong Kong construction sites is regulated by the Factories and Industrial Undertakings Ordinance (Cap. 59), the Construction Sites (Safety) Regulations, and the Occupational Safety and Health Ordinance (Cap. 509). Green Card safety training administered by the Construction Industry Training Authority (CITA) is mandatory for all workers on Hong Kong construction sites. No GST or VAT applies to construction subcontracts in Hong Kong.

When Do You Need a Subcontractor Agreement (Construction) (Hong Kong)?

A Construction Subcontractor Agreement in Hong Kong is needed whenever a main contractor engages a specialist trade subcontractor for any element of a building or civil engineering project. The agreement should be executed before the subcontractor commences mobilisation or site activities — oral subcontracts and letters of intent provide inadequate legal protection in Hong Kong's complex construction regulatory environment.
